19、y or failure of performance under this contract where such failure or delay is caused by Force Majeure, being any event, occurrence or circumstance reasonably beyond control of either party, including but not limited to failure or delay caused by or resulting from Acts of God, strikes, fires, floods

20、, earthquake, landslide, typhoon, cyclone, storm , wars, ( whether declared or undeclared ), riots, delays of carriers due to breakdown imposed by any governmental authority ( including allocations, priorities, requisitions, quotas, and price controls).a承包商或者ICDAS受不可抗力影響無(wú)法履行合同規(guī)定的義務(wù)或者延遲履行的，任一方對(duì)此不承擔(dān)任何

21、責(zé)任。若發(fā)生超出任何一方合理控制范圍內(nèi)的不可抗力事件、不可抗力發(fā)生以及不可抗力情況，包括但不限于天災(zāi)、罷工、火災(zāi)、水災(zāi)、地震、山體滑坡、臺(tái)風(fēng)、颶風(fēng)、暴風(fēng)雨、戰(zhàn)爭(zhēng)（已宣戰(zhàn)或未宣戰(zhàn)）、暴動(dòng)、因政府當(dāng)局頒布的限制性條款（包括配給、優(yōu)先權(quán)、征用、配額及價(jià)格控制等）導(dǎo)致的運(yùn)輸延誤等造成義務(wù)無(wú)法履行或義務(wù)履行延誤。bIf the CONTRACTOR is prevented, hindered or delayed from or in performing any of its obligations under the Contract by an event of Force Majeure, t

22、hen it shall notify the ICDAS in writing of the occurrence of such event and the circumstances thereof within fourteen (14) days after the occurrence of such event.b如果承包商因不可抗力而被妨礙、阻礙或者延遲履行其在本合同中的任一規(guī)定義務(wù)時(shí)，承包商應(yīng)在不可抗力事件發(fā)生的十四（14）天內(nèi)以書(shū)面形式通知ICDAS此類(lèi)事件和情況的發(fā)生。cThe CONTRACTOR shall be excused from the performanc

23、e or punctual performance of its obligations under the Contract for so long as the relevant event of Force Majeure continues and to the extent that the CONTRACTORs performance is prevented, hindered or delayed. The time for completion shall be extended reasonably.c如果相關(guān)不可抗力事件仍在發(fā)生，而且在一定程度上妨礙、阻礙或者延遲了承包

24、商對(duì)義務(wù)的履行，則應(yīng)予以免除承包商履行本合同中規(guī)定義務(wù)或準(zhǔn)時(shí)履行義務(wù)的責(zé)任。完工時(shí)間應(yīng)適當(dāng)進(jìn)行延長(zhǎng)。dWhile affected by the event of Force Majeure, the CONTRACTOR shall use reasonable efforts to mitigate the effect thereof upon its performance of the Contract and shall seek all reasonable alternative means for performance not prevented by the Force

25、Majeure event.d.當(dāng)受到不可抗力事件影響時(shí)，承包商應(yīng)采用合理措施減少不可抗力事件對(duì)其履行合同義務(wù)的影響，并應(yīng)尋求合理的替代手段履行未受不可抗力影響的義務(wù)。eDelay or non-performance of the CONTRACTOR hereto caused by the occurrence of any event of Force Majeure shall not:e因發(fā)生的任何不可抗力事件而延遲或者不能履行義務(wù)的承包商，不應(yīng)：a)Constitute a default or breach of the Contact; or b)Give rise to a

26、ny claim for damages or additional cost or expense occasioned thereby to the CONTRACTOR; orc)Cause the forfeiting of the Performance Bond and impose the liquidated damage to the CONTRACTOR.a)構(gòu)成違反或者違背本合同；b)引起任何需承包商承擔(dān)的賠償損失或者額外費(fèi)用或開(kāi)支c)造成履約保證書(shū)失效，向承包商征收違約賠償金。5Taxes and Duties5繳稅All taxes, custom duties an

27、d other dues arising in Turkey shall be paid by the ICDAS.在土耳其產(chǎn)生的賦稅，關(guān)稅和其他賦稅將由ICDAS繳納。6Arbitration6仲裁All disputes in the connection with the execution of this Contract shall be settled through friendly negotiations between the two Parties. Failing the friendly negotiation does not relieve both of any

28、 of the parties form fulfilling the Contract. In the case of being unable to settle disputes each party shall have right for arbitration to ICC (international Chamber of Commerce) International Court of Arbitration in accordance with the Provisional Rules of Procedures Promulgated by the said Arbitr

29、ation Commission. The Arbitration shall take place in Switzerland and Swiss material law shall apply.在執(zhí)行本合同時(shí)，所產(chǎn)生的糾紛應(yīng)由雙方友好協(xié)商解決。通過(guò)友好協(xié)商，雙方才能共同完成合同。如果糾紛不能解決，依照仲裁委員會(huì)暫行議事規(guī)程，雙方有權(quán)利向ICC國(guó)際仲裁法院申請(qǐng)仲裁。仲裁在瑞士進(jìn)行，瑞士實(shí)體法適用于仲裁。aThe Arbitration proceeding shall be carried out in the English language.a仲裁過(guò)程將用英語(yǔ)進(jìn)行。bThe arbi

30、tral award shall be final and binding on both Parties.b該仲裁裁決為最終裁決，對(duì)雙方均有約束力。cThe arbitration fee shall be borne by the losing Party, except as otherwise stipulated in the arbitral award.c仲裁費(fèi)用由敗訴方承擔(dān)，仲裁裁決中規(guī)定情況除外。7Effectiveness, Variation, Suspension and Termination of the Contract and Miscellaneous7合同的

31、效力、變更、中止、終止及其它The Contract shall become effective and binding upon the two parties after completion of all the following:在進(jìn)行完以下各項(xiàng)后，此合同將生效并對(duì)雙方具有約束力：aThe Contract has been duly signed by the authorized representatives of both parties;a合同已經(jīng)由雙方授權(quán)代表如期簽署；bThe effective date of the Contract is from signatu

32、re.b合同生效期自簽署日起。cThis Contract shall be written in English with four copies for each Party holding two copies.c書(shū)面合同為英文，一式四份，雙方各持有兩份。dMinutes from all meetings between the two Parties, written in English if signed and decided by both parties, shall become Appendices and thus integral parts of the Cont

33、ract. All commercial and technical communications between the two Parties shall be in the English language. If in writing, duplicate will be produced.d對(duì)于雙方參與的會(huì)議，如雙方均有簽署或決策，會(huì)議紀(jì)要應(yīng)為英文版本，并作為附件成為合同的一部分。雙方之間的所有商務(wù)和技術(shù)交流均使用英語(yǔ)，若為書(shū)面形式，應(yīng)有復(fù)本。eICDAS shall appoint one authorized representative to be in charge of a

34、ll commercial and technical matters relating to the CONTRACTOR. Any correspondences addressed to the ICDAS representative from the CONTRACTOR are required in two copies one for the representative, one to the ICDAS. The ICDAS shall inform the CONTRACTOR two weeks after the effective date of the Contr

35、act of the name of the authorized representative and his postal address.eICDAS將任命一名授權(quán)代表全權(quán)負(fù)責(zé)所有和承包方相關(guān)的商務(wù)及技術(shù)事宜。承包方發(fā)給ICDAS代表的所有往來(lái)函件均需提供復(fù)制兩份，ICDAS和代表各持一份。ICDAS應(yīng)在合同生效日兩周內(nèi)通知承包方被授權(quán)代表的人名及郵寄地址。fWhere for reasons occurring in the ICDASs country and not of the CONTRACTORs intention, the CONTRACTOR is prevented

36、from continuing with the Contract for a period, the two parties shall corne to negotiation and if necessary the ICDAS may suspend the Contract. The ICDAS shall bear any expenses incurred by the CONTRACTOR during the period of Suspension that are to be agreed upon by the two Parties.f如由于ICDAS所在國(guó)家的原因，

37、而非承包方的原因造成承包方無(wú)法繼續(xù)合同，雙方應(yīng)進(jìn)行協(xié)商，如有必要ICDAS會(huì)中止合同。在合同中止期間（需雙方一致同意），ICDAS將會(huì)承擔(dān)承包方的任何損失。gThe ICDAS shall have the right at any time for any reason to terminate the whole or part of the Contract by giving written notice to the CONTRACTOR specifying the extent and the effective date of such termination. The ICD

38、AS will pay the CONTRACTOR the following amount:gICDAS有權(quán)在任何時(shí)間由于任何原因終止整個(gè)或部分合同，并向承包方給出書(shū)面通知具體說(shuō)明合同終結(jié)的范圍及生效日期。ICDAS將會(huì)向承包商支付以下款項(xiàng)：(1)Payment for all or part of the Works properly performed according to the Contract and the relevant expenses prior to the date of termination.(1)在合同終結(jié)日前按照合同已執(zhí)行的全部或部分工作，其應(yīng)付款項(xiàng)及相

39、關(guān)費(fèi)用。(2)Any other actual reasonable and necessary direct expenses, such as air ticket, transportation cost, etc(2)其它實(shí)際發(fā)生的合理且必需的直接費(fèi)用，如機(jī)票、交通費(fèi)用等。hAny correspondence, notice or request given by either Party to the other Party shall be deemed to have been officially given if in writing and delivered perso

40、nally, forwarded by registered or certified airmail, cabled, facsimiled by telefax or telexed and addressed to such Party in accordance to the official address, telephone. Telex and telefax hereof, and if confirmation or receipt is acknowledged by the receiving Party and/or his facilities of the Com

41、munication.h任何一方向另一方發(fā)出的手簽信函、通知或要求，以及接收方及（或）其設(shè)備認(rèn)可的函證或收據(jù)，都應(yīng)通過(guò)書(shū)面方式進(jìn)行，并親自遞送，或通過(guò)已登記或具有證明文件的航空郵件，電報(bào)、傳真轉(zhuǎn)送發(fā)往此方的官方地址、電話、電報(bào)及傳真。All the amendments, supplement and alterations to the terms and conditions of the Contract shall be made in written form and signed by the authorized representatives of the two Partie

42、s and shall constitute an integral part of the Contract and have the same legal force as the Contract.合同中所有關(guān)于術(shù)語(yǔ)和條件的修訂、補(bǔ)充、變更都應(yīng)經(jīng)過(guò)書(shū)面形式進(jìn)行，并由雙方授權(quán)代表簽字，同時(shí)作為合同的一部分存在，和合同具有同等法律效力。a.The CONTRACTOR has the right to terminate the contract and the employee persons will stop the services in power plant if ICDAS d

43、ont pay the salary and benefits stipulated in the contract. This termination will be informed by written form to ICDAS 10 days before the real action. This action will not influence the right for CONTRACTOR to claim further compensation.a.如果ICDAS未按照合同支付薪酬及福利，承包方有權(quán)終止合同并停止對(duì)電廠的服務(wù)。合同終止的通知應(yīng)在實(shí)際停止服務(wù)前10天通過(guò)書(shū)面形式通知ICDAS。
