3、約定 /Commitment1)甲方將如上的模具寄存于乙方。所有寄存模具的所有權(quán)歸甲方所有。非經(jīng)甲方書(shū)面同意，乙方不得為自己或他人復(fù)制或仿制該模具。Party A puts the above moulds in Party B. The own ership of the storagemoulds belongs to Party A. Party B cannot copy or imitate the moulds for itself or for others without the writte n permissi on of Party A.2)乙方承諾不去掉寄存模具上的名稱

4、和標(biāo)記，并將這些寄存模具與其它企業(yè)的物品分開(kāi)存放，使這些寄存模具能夠很容易地被辨別出來(lái)。Party B promises not to remove the name and marks on the storagemoulds and keep them separately with other items in order that they can be identified easily.3)任何寄存于乙方的本約模具只能由受過(guò)專門(mén)培訓(xùn)的員工使用和操作。除正常磨損外，乙方承諾對(duì)這些寄存模具進(jìn)行維護(hù)以使其保持良好的狀態(tài)，且保管期間發(fā)生的一切費(fèi)用由乙方承擔(dān)。在保管或使用這些寄存模具時(shí)，乙方

5、要為這些模具投保，保險(xiǎn)金額應(yīng)等同于這些寄存模具的替換成本，若有丟失或損壞，則以同等價(jià)格賠付給甲方。Onlyspecially trained staff can use and operate the moulds. In addition to normal wear and tear, Party B promises to maintain the storage moulds in order to keep them in good condition and undertake all the costs that occurred during the keeping time.

6、 Party B should buy insurance for the storage moulds when keeping or using them. The insurance amount should be equal to the replacement cost of the storage moulds. If lost or damaged, Party B should compensate Party A with the mould price listed on the agreement.4)乙方應(yīng)當(dāng)對(duì)用寄存模具生產(chǎn)出的樣件進(jìn)行檢驗(yàn)，以確定這些模具是否符合甲方

7、的工程圖紙和規(guī)范要求。乙方必須在收到甲方的書(shū)面確認(rèn)樣件合格后正式批量生產(chǎn)產(chǎn)品。Party B should inspect the samplewhich is produced by the storage mould to determine whether the moulds fit with the engineering drawings and specifications from Party A. Party B will start mass production after receiving the written confirmation and acceptance

8、 from Party A.5)乙方每月向甲方提交一份有關(guān)各模具的維護(hù)報(bào)告。報(bào)告內(nèi)容應(yīng)包括：上一個(gè)月對(duì)模具進(jìn)行維護(hù)的情況以及該模具的當(dāng)前狀況。 Party B should submit a monthly maintenance report about the moulds to Party A. The report shouldinclude the mould' s maintenance conditions of last month and its currentsituation.6)未經(jīng)甲方書(shū)面同意，乙方如利用或提供本約之模具為甲方以外之人加工、生產(chǎn)或?qū)⑵渖a(chǎn)之產(chǎn)品

9、銷售給甲方以外之任何人時(shí)，乙方須給付甲方其生產(chǎn)、轉(zhuǎn)售總值之十倍違約金。If Party B uses the storagemould to process, produce or manufacture the products to sell to any person other than Party A without the writtenpermission of Party A, Party B shall pay Party A of its production and resale value of ten times the penalty.7)甲方可隨時(shí)取回該模具，乙方

10、不得以任何理由扣留，否則自甲方要求取回該模具之日起，每逾期一日，按該模具總價(jià)之25% 進(jìn)行罰款，由甲方支付給乙方之貨款中自行扣除。如貨款不敷抵扣時(shí)，由乙方另行賠償。 Party Acan take back the storage moulds at any time, Party B should not detain them for any reason or from the date thatParty A required to take back the moulds, each overdue day, Party B shall pay the penalty of 25%

11、of total moulds' costto Party A and the penalties will be deducted from the mouldskeeping cost paid to Party B. If payment is insufficient to offset, Party B should pay for the compensation separately.四、保密責(zé)任/ Confidentiality未經(jīng)甲方允許，乙方不得將甲方所提供的圖紙及技術(shù)資料以口頭、書(shū)面、出示和借用的方式轉(zhuǎn)泄露給第三方。如有發(fā)生信息泄露, 甲方有權(quán)追究其法律責(zé)任。Wi

12、thout the permission of Party A, PartyB should not disclose the drawings and technical information which are provided by Party A in oral, written, showing and lending way to the third Party. If Party B revealed such information, Party A has the right to pursueParty B ' s legal responsibility.五、其

13、他約定/ Others1)本協(xié)議受中華人民共和國(guó)的法律法規(guī)管轄，并應(yīng)依照中華人民共和國(guó)的法律法規(guī)解釋。The agreement shallbe governed by, and interpreted in accordance with, the laws and regulations of the People' s Republic of China.2)除非雙方采用書(shū)面形式，否則對(duì)本協(xié)議的任何修正均屬無(wú)效。Any amendments to this agreement shall not bevalid unless made by the Parties in writ

14、ing.3)本協(xié)議一式兩份， 每份皆具有同等法律效力。This agreement is made in two original copies, both of whichare equally valid.4)本協(xié)議在雙方簽訂本協(xié)議之日立即生效。This agreement shall take effect immediately upon thedate of execution by the Parties.5)凡涉及本協(xié)議或因本協(xié)議而發(fā)生的所有爭(zhēng)執(zhí)，都應(yīng)通過(guò)友好協(xié)商解決。如果在書(shū)面要求協(xié)商的通知發(fā)出后的三十 (30)天內(nèi)不能解決， 則該爭(zhēng)執(zhí)應(yīng)提交乙方所在地有管轄權(quán)的法院進(jìn)行裁決。A

15、ll the disputes andcontroversies of every kind and nature between the Parties arising out of or in connection with the agreement or the execution hereof shall be settled by friendly negotiation between the Parties.
