The sellers Certificate a

8、nd waybill certifying that extra documents have been dispatched according to the contract terms by express airmail. 賣(mài)方有關(guān)另外用特快郵寄壹套單據(jù)給開(kāi)證申請(qǐng)人的證明書(shū)及郵寄底單。 9. Certificate of No Wooden Packing or Certificate of Fumigation.非木包裝聲明或熏蒸證。 In addition， the Sellers shall， within three days after shipment， send by e

9、xpress airmail one extra sets of the aforesaid documents directly to the Buyers. 另外，賣(mài)方應(yīng)于貨物發(fā)運(yùn)后三天內(nèi)，用特快專遞寄送一套上述的單據(jù)給買(mǎi)方。 11. SHIPMENT： The Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipment is allowed. Partial shipment is not allowed. 運(yùn)輸：賣(mài)方應(yīng)于

10、交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港，不許分批，允許轉(zhuǎn)運(yùn)。 12. SHIPPING ADVICE： The sellers shall， immediately upon the completion of the loading of the goods， advise by fax the buyers of the Contract No.， commodity， quantity， invoiced value， gross weight， name of vessel and date of delivery etc. In case due to the sellers not

11、having faxed in time， all losses caused shall be borne by the sellers. 裝運(yùn)通知： 賣(mài)方應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā)票價(jià)值、毛重、運(yùn)輸工具名稱、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買(mǎi)方。如果由于賣(mài)方未能通知買(mǎi)方而造成的所有損失均由賣(mài)方承擔(dān)。 13. GUARANTEE OF QUALITY： The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship，

12、brand new and unused， and complies in all respects with the quality and specification stipulated in this Contract. The guarantee period shall be 12 months counting from the date of signing the Acceptance Report of this machine at the end-users site. 質(zhì)量保證：賣(mài)方保證合同貨物采用最好的材料、精湛的做工、全新、未使用過(guò)、質(zhì)量和技術(shù)規(guī)格均符合合同的要求

13、。質(zhì)保期為最終用戶簽定驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi)。 14. CLAIMS： Within 90 days after the arrival of the goods at destination， should the quality， specification， or quantity be found in unconformity with the stipulations of the Contract except those claims for which the insurance company or not the owners of the vessel are liabl

14、e， the Buyers shall， on the strength of the Inspection Certificate issued by the State Administration for Entry-Exit Inspection and Quarantine of P.R.C. or the site inspection report issued by the sellers engineer， have the right to claim for replacement with new goods， or for compensation， and all

15、expenses (such as inspection charges， freight for returning the goods and for sending the replacement， insurance premium， storage and loading and unloading charges etc.) shall be borne by the Sellers. As regards quality， the Sellers shall guarantee that if within 12 months from the date of signing t

16、he acceptance report of this machine， damages occur in the course of operation by reason of inferior quality， bad workmanship or the use of inferior materials， the Buyers shall immediately notify the Sellers in writing and put forward a claim supported by Inspection Certificate issued by the State A

17、dministration for Entry-Exit Inspection and Quarantine of P.R.C. .The Certificate so issued shall be accepted as the base of a claim. The Sellers， in accordance with the Buyers claim shall be responsible for the immediate elimination of the defect(s)， complete or partial replacement of the commodity

18、 or shall devaluate the commodity according to the state of defect(s)， . If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim， the claim shall be reckoned as having been accepted by the Sellers. 索賠：貨物抵達(dá)目的地后90天內(nèi)，如果質(zhì)量、技術(shù)規(guī)格或數(shù)量發(fā)現(xiàn)與合同的規(guī)定不符(除過(guò)保險(xiǎn)公司和運(yùn)輸公司的責(zé)任所負(fù))，買(mǎi)方應(yīng)該依據(jù)

19、中華人民共和國(guó)出入境檢驗(yàn)檢疫局的檢驗(yàn)報(bào)告或者是賣(mài)方的調(diào)試人員在安裝調(diào)試時(shí)出具的報(bào)告，有權(quán)要求替換或補(bǔ)償，所有的費(fèi)用(包括商檢費(fèi)、替補(bǔ)件來(lái)回的運(yùn)費(fèi)、保險(xiǎn)費(fèi)、倉(cāng)儲(chǔ)費(fèi)、貨物裝貨卸貨費(fèi)等)均由賣(mài)方承擔(dān)。賣(mài)方的質(zhì)量保證為簽定關(guān)于此批貨物的驗(yàn)收?qǐng)?bào)告后12個(gè)月內(nèi);由于貨物內(nèi)在的質(zhì)量、差的做工、選材不當(dāng)而造成操作中的貨物損壞，買(mǎi)方應(yīng)立即書(shū)面通知賣(mài)方，并同時(shí)隨附中國(guó)商檢局出具的檢驗(yàn)報(bào)告作為索賠依據(jù)。賣(mài)方在接到買(mǎi)方的索賠后，有責(zé)任立即解決相應(yīng)的質(zhì)量問(wèn)題、全部或部分地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià); 如果賣(mài)方在收到買(mǎi)方的上述索賠后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣(mài)方所接受。 15. FORCE MAJEU

20、RE： The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure， which might occur during the process of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above a

21、nd within fourteen days thereafter， the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Competent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers， however， are still under the obli

22、gation to take all necessary measures to hasten the delivery of the goods. In case the accident lasts for more than 10 weeks， the Buyers shall have the right to cancel the Contract. 不可抗力：對(duì)于制造或裝船運(yùn)輸過(guò)程中可能產(chǎn)生的不可抗力而造成的遲交貨或不能交貨，賣(mài)方可以不承擔(dān)責(zé)任。賣(mài)方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將有關(guān)情況通知買(mǎi)方，并且賣(mài)方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門(mén)出具的證明不可抗力產(chǎn)生的文件寄送給買(mǎi)方。在此情

23、況下，賣(mài)方仍應(yīng)盡最大努力采取各種措施促使貨物的發(fā)運(yùn)。如果事故持續(xù)十周，買(mǎi)方有權(quán)取消該合同。 16. LATE DELIVERY AND PENALTY： Should the Sellers fail to make delivery on time as stipulated in the Contract， with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the delivery on condition th

24、at the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty， however， shall not exceed 5% of the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days less than seven days shoul

25、d be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract， the Buyers shall have the right to cancel the contract and the Sellers， in spite the cancellation， shall still pay the aforesaid penalty to the Buyers without delay. 遲交貨和罰金：如果賣(mài)方未能按合同規(guī)定及時(shí)交貨(除了本合同15條款所言的不可抗力)，買(mǎi)方同意在賣(mài)方付罰金的前提下遲交貨。罰金的金額不超過(guò)遲交貨的合同貨物部分的價(jià)值的5%，罰金按每7日0.5%計(jì)算，少于7日的增加天數(shù)按7日計(jì)。如果賣(mài)方未能于合同規(guī)定
