2025商務(wù)英文合同范本全書2025BusinessEnglishContractTemplateManualAGREEMENTNO.DATED:BETWEEN:(hereinafterreferredtoas"PartyA")(hereinafterreferredtoas"PartyB")RECITALS:WHEREAS,PartyAisengagedinthebusinessofandwishestoengagetheservicesofPartyBfor;andWHEREAS,PartyBiswillingandabletoprovidetheservicesasdescribedinthisAgreement;NOW,THEREFORE,PartyAandPartyB,intendingtobelegallybound,agreeasfollows:1.SERVICESTOBEPROVIDED1.1ScopeofServices.PartyBshallprovidethefollowingservicestoPartyA:1.2QualityStandards.AllservicesprovidedbyPartyBshallmeetthestandardsspecifiedinExhibitattachedhereto.1.3**Delays.**AnydelayintheprovisionofservicesbyPartyBshallbepromptlycommunicatedtoPartyA,andPartyAshallhavetherighttoextendthetimelineorseekalternativearrangementsincaseofmaterialdelays.2.FEESANDPAYMENTS2.1Fees.PartyBshallchargePartyAthefee(s)asdetailedinExhibit,inclusiveofallapplicabletaxesandothercharges.2.2PaymentTerms.PartyAshallpaythefeeswithindaysofreceivinganinvoicefromPartyB.Allpaymentsshallbemadetothefollowingbankdetails:BankName:AccountHolder:AccountNumber:2.3LatePaymentCharges.Ifpaymentisnotmadewithinthestipulatedperiod,PartyAshallbeliableforalatepaymentchargeofpermonthontheoutstandingamount.3.OBLIGATIONSOFTHEPARTIES3.1PartyA'sObligations.Provideallnecessaryinformation,materials,andsupporttoPartyBinatimelymanner.EnsurethatitsemployeesandagentscomplywithallapplicablelawsandregulationswheninteractingwithPartyB.PaythefeesasspecifiedinthisAgreementinatimelymanner.3.2PartyB'sObligations.Provideservicesinaccordancewiththeagreedscope,quality,andtimeline.MaintaintheconfidentialityofanyinformationsharedbyPartyA.ComplywithallapplicablelawsandregulationsintheperformanceofthisAgreement.4.TERMSANDCONDITIONS4.1Confidentiality.BothpartiesagreetokeepallinformationrelatedtothisAgreementconfidentialandnottodiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.ThisconfidentialityobligationshallsurvivetheterminationofthisAgreement.4.2IntellectualProperty.AllintellectualpropertyrightsinanyworkproducedordevelopedunderthisAgreementshallbelongtoPartyA,subjecttopaymentoftheagreedfees.PartyBshallnotuseanyintellectualpropertycreatedunderthisAgreementforanypurposeotherthanasspecifiedinthisAgreementwithoutthepriorwrittenconsentofPartyA.4.3LimitationofLiability.Neitherpartyshallbeliableforanyindirect,incidental,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.ThemaximumliabilityofPartyBforanybreachofthisAgreementshallbelimitedtothetotalfeespaidbyPartyAunderthisAgreement.4.4Insurance.PartyBshallmaintainadequateinsurancecoverageduringthetermofthisAgreementtoprotectagainstanyliabilityarisingoutofitsoperations.Uponrequest,PartyBshallprovidePartyAwithacopyoftheinsurancepolicy.5.TERMINATION5.1TerminationforCause.EitherpartymayterminatethisAgreementwithimmediateeffectiftheotherpartybreachesanymaterialtermofthisAgreementandfailstocuresuchbreachwithindaysofreceivingwrittennotice.5.2TerminationforConvenience.EitherpartymayterminatethisAgreementupondays'writtennoticeifnoservicesorgoodsarerequiredunderthisAgreement.5.3EffectofTermination.Upontermination,PartyBshallimmediatelyceaseallservices,andPartyAshallpayalloutstandingfeesuptothedateoftermination.6.DISPUTERESOLUTION6.1Negotiation.IntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiation.6.2Mediation.Ifthedisputecannotberesolvedthroughnegotiation,itshallbereferredtoamutuallyagreedmediatorforresolution.6.3Arbitration/Litigation.Ifmediationfails,thedisputeshallberesolvedthrougharbitrationinorthroughlitigationinthecourtsof,whicheverischosenbythepartiesinwriting.7.GOVERNINGLAWThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof,withoutregardtoitschoiceoflawrules.8.AMENDMENTSAnyamendmentstothisAgreementmustbemadeinwritingandsignedbybothparties.9.MISCELLANEOUS9.1EntireAgreement.ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,representations,orunderstandings,whetheroralorwritten.9.2Assignment.NeitherpartyshallassignortransferanyofitsrightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheotherparty.9.3ForceMajeure.Neitherpartyshallbeliableforanyfailureordelayinperformanceduetoeventsbeyondtheirreasonablecontrol,includingbutnotlimitedtonaturaldisasters,war,orgovernmentactions.INWITNESSWHEREOF,thepartiesheretohaveexecute
