ThisMedicalContract(hereinafterreferredtoas"theContract")isherebyexecutedbetweenthefollowingparties:

NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:

1.ScopeofServices:TheMedicalInstitutionagreestoprovidethePatientwiththenecessarymedicalservicesandtreatmentasrequiredbythePatient'scondition,includingbutnotlimitedtodiagnosis,consultation,examination,treatment,andfollow-upcare.

2.TreatmentPlan:TheMedicalInstitutionshall,uponexaminationofthePatient'scondition,developandimplementasuitabletreatmentplan.ThePatientagreestofollowthetreatmentplanprovidedbytheMedicalInstitutionandtoattendallscheduledappointments.

3.FeesandPayment:ThePatientagreestopaytheMedicalInstitutionallfeesincurredinconnectionwiththemedicalservicesandtreatmentprovided.ThefeesshallbedeterminedinaccordancewiththeMedicalInstitution'sfeescheduleandmaybesubjecttochangefromtimetotime.Paymentforservicesrenderedshallbemadewithintheagreedtimeframe,failingwhichtheMedicalInstitutionreservestherighttochargeinterestontheoutstandingamount.

4.Confidentiality:TheMedicalInstitutionagreestomaintaintheconfidentialityofthePatient'smedicalinformationandtousesuchinformationsolelyforthepurposeofprovidingmedicalservicesandtreatmenttothePatient.

5.Liability:TheMedicalInstitutionshallexerciseduecareandskillinprovidingmedicalservicesandtreatmenttothePatient.However,theMedicalInstitutionshallnotbeliableforanydamagesarisingfromthePatient'sfailuretofollowthetreatmentplanorfromanyunforeseeneventsbeyondtheMedicalInstitution'scontrol.

6.Duration:ThisContractshallremainineffectforaperiodof[Specifyduration],commencingonthedateofthisContractandterminatingon[Specifyterminationdate].TheContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[Specifynoticeperiod]dayspriortotheterminationdate.

2.ThirdParty'sResponsibilities:

a.TheThirdPartyshallberesponsiblefortheoverallmanagementandcoordinationofthemedicalservicesprovidedtothePatient.

b.TheThirdPartyshallensurethattheMedicalInstitutionadherestotheagreed-upontreatmentplanandprovideshigh-qualitymedicalcare.

c.TheThirdPartyshallhavetheauthoritytoreviewandapprovethetreatmentplanandmakerecommendationsforanynecessaryadjustments.

3.RightsoftheMedicalInstitution:

a.TheMedicalInstitutionshallhavetherighttorefuseanytreatmentorservicethatisdeemedtobeunsafeorunethical.

b.TheMedicalInstitutionshallhavetherighttorequesttheThirdPartytoprovideadditionalresourcesorsupporttofacilitatetheprovisionofmedicalservices.

c.TheMedicalInstitutionshallhavetherighttoterminatetheAgreementupontheoccurrenceofamaterialbreachbytheThirdPartyorthePatient.

4.Patient'sResponsibilities:

a.ThePatientagreestofollowthetreatmentplanprovidedbytheMedicalInstitutionandtoattendallscheduledappointments.

b.ThePatientagreestoprovideaccurateandcompletemedicalinformationtotheMedicalInstitutionandtheThirdParty.

c.ThePatientagreesnottoseekmedicaltreatmentfromanyothermedicalinstitutionwithoutthepriorconsentoftheThirdParty.

5.FeesandPayment:

a.ThePatientagreestopaytheMedicalInstitutionallfeesincurredinconnectionwiththemedicalservicesandtreatmentprovided,asdeterminedbytheMedicalInstitution'sfeeschedule.

b.TheThirdPartyagreestoactasanintermediaryforpaymentarrangementsbetweenthePatientandtheMedicalInstitution,ensuringthatfeesarepaidpromptlyandaccurately.

c.Intheeventofnon-payment,theThirdPartyshallhavetherighttoseekreimbursementfromthePatientforanyoutstandingamounts.

6.ThirdParty'sRights:

a.TheThirdPartyshallhavetherighttoreceivecompensationforitsservicesasagreeduponinaseparateagreementbetweentheThirdPartyandtheMedicalInstitution.

b.TheThirdPartyshallhavetherighttoauditthemedicalrecordsandbillingpracticesoftheMedicalInstitutiontoensurecompliancewiththetermsofthisAgreement.

7.ThirdParty'sLiability:

a.TheThirdPartyshallbeliableforanydamagesarisingfromitsfailuretofulfillitsresponsibilitiesunderthisAgreement.

b.TheThirdPartyshallbeliableforanycostsincurredbytheMedicalInstitutionorthePatientduetoitsnegligenceorbreachofcontract.

8.LimitationsofLiability:

a.TheMedicalInstitutionshallnotbeliableforanydamagesarisingfromthePatient'sfailuretofollowthetreatmentplanorfromanyunforeseeneventsbeyondtheMedicalInstitution'scontrol.

b.TheThirdPartyshallnotbeliableforanydamagesarisingfromtheMedicalInstitution'sfailuretoprovideservicesasagreeduponinthisAgreement.

9.Termination:

a.ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast[Specifynoticeperiod]dayspriortotheterminationdate.

b.Intheeventoftermination,theThirdPartyshallensurethatthePatient'smedicalrecordsareproperlytransferredtoanothermedicalinstitutionorhealthcareprovider.

ThepurposeoftheinvolvementoftheThirdPartyinthisAgreementistoenhancethemanagementandcoordinationofthemedicalservicesprovidedtothePatient.TheThirdPartyactsasanintermediary,ensuringthattheMedicalInstitutionadherestotheagreed-upontreatmentplanandthatthePatientreceiveshigh-qualitymedicalcare.TheThirdPartyalsoprovidesamechanismforpaymentarrangementsandqualityassurance,therebysafeguardingtheinterestsoftheMedicalInstitution.

TheprimaryobjectiveofPartyA(theMedicalInstitution)inthisAgreementistoensurethatthePatientreceivesthebestpossiblemedicaltreatmentwhilealsoprotectingitsowninterests.ByhavingtheThirdPartyinvolved,theMedicalInstitutiongainsaccesstoadditionalresourcesandsupport,anditisabletoterminatetheAgreementintheeventofamaterialbreachbytheThirdPartyorthePatient.ThisarrangementallowstheMedicalInstitutiontofocusonprovidingmedicalservices,confidentthattheadministrativeandmanagementaspectsarebeinghandledbyadedicatedentity.

c.TheManagershallprovidetheOwnerandtheInvestorwithregularupdatesontheproperty'sconditionandfinancialstatus.

5.RightsoftheOwner:

a.TheOwnershallhavetherighttoapproveanymajorchangestotheproperty,includingrenovationsoralterations.

b.TheOwnershallhavetherighttoreceiveacopyofallfinancialreportsandstatementsrelatedtotheproperty.

c.TheOwnershallhavetherighttoterminatetheAgreementwiththeManagerupontheoccurrenceofamaterialbreachbytheManager.

6.FeesandPayment:

7.LimitationsofLiability:

b.TheManagershallnotbeliableforanydamagesarisingfromunforeseeneventsbeyonditscontrol.

8.Termination:

a.ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchnoticeisgivenatleast[Specifynoticeperiod]dayspriortotheterminationdate.
