WHEREAS,theCustomerdesirestohavetheManufacturerproduceandsupplycertainproductsfortheCustomerunderthetermsandconditionssetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thePartiesagreeasfollows:
1.ScopeofAgreement
1.1TheManufacturershallproduceandsupplytotheCustomer[ProductDescription](the"Products")inaccordancewiththespecifications,quantities,anddeliveryschedulessetforthinExhibitAattachedhereto(the"Exhibit").
2.QualityStandards
2.1TheProductsshallcomplywiththequalitystandardsandspecificationssetforthinExhibitBattachedhereto(the"QualityStandards").
3.IntellectualPropertyRights
3.1TheManufacturershallretainallrights,title,andinterestinandtoanyandallintellectualpropertyrightsassociatedwiththedesign,development,andproductionoftheProducts(the"Manufacturer'sIP").
4.ManufacturingandProduction
4.1TheManufacturershallusereasonableeffortstoensurethattheProductsaremanufacturedinatimelyandefficientmanner,inaccordancewiththespecificationsandQualityStandards.
5.PricingandPaymentTerms
5.1ThepricefortheProductsshallbeassetforthinExhibitCattachedhereto(the"PricingSchedule").
5.2PaymentfortheProductsshallbemadebytheCustomertotheManufacturerinaccordancewiththepaymenttermssetforthinExhibitDattachedhereto(the"PaymentTerms").
6.Delivery
6.1TheManufacturershalldelivertheProductstotheCustomerattheaddresssetforthinExhibitEattachedhereto(the"DeliveryAddress")inaccordancewiththedeliveryschedulessetforthinExhibitA.
7.WarrantiesandLiability
7.1TheManufacturerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery(the"Warranty").
7.2TheManufacturer'sliabilityforanybreachoftheWarrantyshallbelimitedtothereplacementorrepairofthedefectiveProducts,attheManufacturer'ssolediscretion.
8.Confidentiality
8.1ThePartiesagreetomaintaintheconfidentialityofallnon-publicinformationdisclosedbyeitherPartytotheotherinconnectionwiththisAgreement(the"ConfidentialInformation").
9.TermandTermination
9.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Term],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
9.2EitherPartymayterminatethisAgreementupon[NoticePeriod]writtennoticetotheotherParty,intheeventofamaterialbreachofthisAgreementbytheotherPartythatisnotcuredwithinareasonableperiodoftime.
10.GoverningLawandDisputeResolution
10.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
10.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesof[ArbitrationInstitution].
INWITNESSWHEREOF,thePartieshaveexecutedthisOriginalEquipmentManufacturerAgreementasoftheEffectiveDate.

2.2TheThirdPartyshallensurethattheThirdPartyProductsmeettheQualityStandardsandshallberesponsibleforanydefectsintheThirdPartyProducts.
3.IntellectualPropertyRights
3.1TheManufacturershallretainallrights,title,andinterestinandtoanyandallintellectualpropertyrightsassociatedwiththedesign,development,andproductionoftheProducts(the"Manufacturer'sIP").
3.2TheThirdPartyshallretainallrights,title,andinterestinandtoanyandallintellectualpropertyrightsassociatedwiththedesign,development,andproductionoftheThirdPartyProducts(the"ThirdParty'sIP").
4.ManufacturingandProduction
4.1TheManufacturershallusereasonableeffortstoensurethattheProductsaremanufacturedinatimelyandefficientmanner,inaccordancewiththespecificationsandQualityStandards.
4.2TheThirdPartyshallprovidetheManufacturerwiththenecessarysupportandassistancetointegratetheThirdPartyProductsintotheProducts.
5.PricingandPaymentTerms
5.1ThepricefortheProductsshallbeassetforthinExhibitCattachedhereto(the"PricingSchedule").
5.2PaymentfortheProductsshallbemadebytheCustomertotheManufacturerinaccordancewiththepaymenttermssetforthinExhibitDattachedhereto(the"PaymentTerms").
5.3TheManufacturershallreceiveapremiumfortheintegrationoftheThirdPartyProducts,asspecifiedinExhibitEattachedhereto(the"IntegrationPremium").
6.Delivery
6.1TheManufacturershalldelivertheProductstotheCustomerattheaddresssetforthinExhibitA.
6.2TheThirdPartyshalldelivertheThirdPartyProductstotheManufacturerattheaddresssetforthinExhibitFattachedhereto(the"ThirdPartyDeliveryAddress").
7.WarrantiesandLiability
7.1TheManufacturerwarrantsthattheProductsshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[WarrantyPeriod]fromthedateofdelivery(the"Warranty").
7.2TheManufacturer'sliabilityforanybreachoftheWarrantyshallbelimitedtothereplacementorrepairofthedefectiveProducts,attheManufacturer'ssolediscretion.
7.3TheThirdPartyshallbesolelyliableforanydefectsintheThirdPartyProductsandshallindemnifytheManufactureragainstanyclaimsarisingfromsuchdefects.
8.Confidentiality
8.1ThePartiesagreetomaintaintheconfidentialityofallnon-publicinformationdisclosedbyeitherPartytotheotherinconnectionwiththisAgreement(the"ConfidentialInformation").
8.2TheThirdPartyagreestomaintaintheconfidentialityoftheManufacturer'sIPandtheCustomer'sbusinessinformation.
9.TermandTermination
9.1ThisAgreementshallcommenceontheEffectiveDateandshallcontinueforaperiodof[Term],unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.
9.2EitherPartymayterminatethisAgreementupon[NoticePeriod]writtennoticetotheotherParty,intheeventofamaterialbreachofthisAgreementbytheotherPartythatisnotcuredwithinareasonableperiodoftime.
10.ThirdParty'sObligationsandRights
10.1TheThirdPartyshallprovidetheManufacturerwiththeThirdPartyProductsinatimelymannerandinaccordancewiththespecifications.
10.2TheThirdPartyshallprovidetechnicalsupportandassistancetotheManufacturerfortheintegrationoftheThirdPartyProductsintotheProducts.
10.3TheThirdPartyshallhavetherighttoreceivetheIntegrationPremiumuponsuccessfulintegrationanddeliveryoftheThirdPartyProducts.
11.Customer'sRightsandInterests
11.1TheCustomershallhavetherighttoinspectandapprovetheProductspriortodelivery.
11.2TheCustomershallhavetherighttoterminatethisAgreementupon[NoticePeriod]writtennoticetotheManufacturerandtheThirdParty,intheeventofamaterialbreachbyeitherPartythatisnotcuredwithinareasonableperiodoftime.
11.3TheCustomershallhavetherighttoreceivetheProductsinaccordancewiththedeliveryschedulesandspecifications.
12.LimitationofLiability
12.1TheManufacturerandtheThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforinconnectionwiththisAgreement.
12.2TheManufacturer'sandtheThirdParty'stotalliabilityforanyclaimarisingoutoforinconnectionwiththisAgreementshallnotexceedthetotalamountpaidbytheCustomertotheManufacturerunderthisAgreement.
13.GoverningLawandDisputeResolution
13.1ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
13.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughbindingarbitrationinaccordancewiththerulesof[ArbitrationInstitution].

5.PricingandPaymentTerms
5.1ThepricefortheProductsshallbeassetforthinExhibitCattachedhereto(the"PricingSchedule").
5.2PaymentfortheProductsshallbemadebytheCustomertotheManufacturerinaccordancewiththepaymenttermssetforthinExhibitDattachedhereto(the"PaymentTerms").
5.3TheCustomershallhavetherighttonegotiatethepricingoftheThirdPartyProductswiththeThirdPartyandshallberesponsibleforanycostsassociatedwiththeThirdPartyProducts.
6.Delivery

9.Manufacturer'sObligationsandRights
9.1TheManufacturershallhavetheobligationtoproduceandsupplytheProductsinaccordancewiththespecificationsandQualityStandards.
9.2TheManufacturershallhavetherighttoreceivepaymentfortheProductsfromtheCustomer.
9.3TheManufacturershallhavetherighttonegotiatethepricingoftheThirdPartyProductswiththeThirdParty,subjecttotheCustomer'sapproval.
10.ThirdParty'sObligationsandRights
10.1TheThirdPartyshallhavetheobligationtoprovidetheThirdPartyProductstotheManufacturerinatimelymannerandinaccordancewiththespecifications.
10.2TheThirdPartyshallhavetherighttoreceivepaymentfortheThirdPartyProductsfromtheCustomer.
10.3TheThirdPartyshallhavetherighttonegotiatethepricingoftheThirdPartyProductswiththeManufacturer,subjecttotheCustomer'sapproval.
11.LimitationofLiability
11.1TheManufacturerandtheThirdPartyshallnotbeliableforanyindirect,special,orconsequentialdamagesarisingoutoforin
