houghanymendment,supplementsorrevisedtobemadetothiscontract.ARTICLE12REPRESENTATIONSANDWARRANTSOFTHELENDERI.TheLenderrepresentsandwarrantsasfollows:1.TheLenderisastate-ownedcommercialbankorbranchdulyorganizedandvalidlyexistingunderthelawofP.R.CandapprovedbytheIndustryandCommercialAdministrationandholdsthefinancialinstitutionslegalpersonlicensesandfinancialinstitutionsoperationlicensetobequalifiedtooperatefinancialbusiness.2.TheLenderhastakenallnecessaryactiontoauthorizetheexecutionofthiscontractandperformanceofitsobligationsunderthiscontract.TheLenderisdulyauthorizedtoextendthisloan.II.TheLenderwarrantsasfollows:1.TheLendershallextendtheloaninaccordancewiththeprovisionssetforthinthisContract.2.CollectinterestsinaccordancewiththeregulationsofthePeoplesBank.ARTICLE13EVENTSOFBREACHCONTRACTANDSETTLEMENT:I.SettlementoftheBorrowerbreachofcontract1.Eventofbreachofcontract:（1）TheBorrowerfailstousetheloaninaccordancewiththeagreedusageoftheLoan;（2）TheBorrowerfailstorepaythedueprincipalandpaytheinterests,expensesorotherpayableinaccordancewiththeagreedtermofthiscontract;（3）TheBorrowerbreachestherepresentationandwarrantssetforthinArticle11.（4）TheBorrowerbreachesotherloanagreementsorguarantyagreementsortheGuarantorbreachtheguarantyagreementwhichmaymakeimpacttheBorrowertoperformtheobligationsunderthiscontract.（5）ConclusiveevidencetoshowthattheBorrowerlosethecapacityofcreditorduringperformanceoftheobligationunderthiscontract,thefinancialconditionsoftheGuarantorareseriouslydeterioratingorotherreasonscausedtheGuarantorthecapacityofcreditdecline.（6）TheBorrowerbreachestheotherobligationsunderthiscontract.2.Undertheabovecircumstances,theLendershallhaverightto:（1）RequesttheBorrowertorectifywithintheperioddesignedbytheLender;（2）Ceaseinextendingtheloanorcancelthecredit;（3）DeclaretheloanunderthiscontractisdueandtheLendershallhaverighttodeducttheoutstandingamountfromtheaccountoftheBorrower.TheBorrowershallnotappealagainsttheLender.（4）DeclaretheloanisdueunderotherloanagreementsbetweentheLenderandtheBorrower,requesttheBorrowertorepaytheloanprincipals,interests,andotherexpenses.II.ThesettlementfortheLenderbreachofthecontract1.TheLenderfailstoextendtheloanasagreedinthiscontractwithoutanyreasons;2.TheLenderbreachestheagreedinterestrateandcollectionaddinterestsorotherfees;3.TheLenderbreachestheprovisionssetforthinArticle12;4.Undertheabovecircumstances,theBorrowershallhaverightto:（1）RequesttheLendertorectify;（2）Repaytheloanaheadoftimeandrefusetopayanycompensationforprepayment.ARTICLE14DEDUCTIONTheBorrowershallpayinfullforthepaymentwithoutanycounteractionoranycondition.ARTICLE15ASSIGNMENTOFTHEDEBTANDCREDIT1.TheBorrowershallnotassignitsrightandliabilityunderthiscontracttootherthirdpartywithoutanywrittenapprovaloftheLender;2.IntheeventtheBorrowerassignitsrightandliabilityunderthiscontracttootherthirdpartyunderthewrittenconsentoftheLender,thethirdpartyshallabidethiscontractwithoutanycondition.ARTICLE16PERFORMANCEOFOBLIGATIONANDWAIVEROFRIGHTS1.TheBorrowerisindependentcontractorunderthiscontract,itwillnotimpactbyanyotherrelationsbetweentheBorrowerwithotherpartyexcepttheotherprovisionssetforthinthiscontract.2.TheLendergiveanyextension,toleration,favortotheBorrowerorpermittheBorrowertodelayofperformanceanyobligationunderthiscontractshallnotimpairanyrightsoftheLenderinaccordancewiththiscontractandlaws,regulation,itshallbedeemedtohavewaiveditsrightsunderthiscontractandtheobligationshallbeperformedbytheBorrowerunderthiscontract.ARTICLE17AMENDMENT,SUPPLEMENTANDINTERPRETATIONOFTHECONTRACT1.Thiscontractcouldbeamendedandsupplementeduponthewrittenagreementsconcludebytheparties.Anyaamendmentandsupplementshallbeintegralpartyofthiscontract.2.Intheeventchangeoflaws,regulationsorlegalpracticewhichwillcauseanytermscontainedinthisContractbecomeillegal,invalidorlossofpractice,theotherpartofthiscontractshallnotbeimpairedbyit.Thebothpartiesshallmakeeffortstochangetheillegal,invalidorlossofpracticepart.3.ForthemattersnotreferredinthiscontractshallbeconstruedinaccordancewiththeprovisionsofthePeoplesBankofChina.ARTICLE18DISPUTERESOLUTION,GOVERNINGLAWANDWAIVEROFEXEMPTION1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChin.Thedisputesarisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputesshallbesubmittedtothePeoplesCourtofthelocationoftheLenderforjudgment.2.TheBorrowershallnotrejectanyobligationduringthesettlementofdisputes.3.Theexecutionandperformanceofthiscontractandtherelatedtransactioniscivilbehavior.TheBorrowershallnotappealtotakeactiontoexemptfromtheobligationunderthiscontract.（ifbothpartiesagreetoapplyarbitration,theabovetermshallbe:）1.Theconclusion,interpretationanddisputeresolutionshallbesubjecttotheLawsofthePeoplesRepublicofChin.Thedisputearisingfromtheexecutionofthiscontractshallbesettledthroughfriendlyconsultationbybothparties.Incasenosettlementcanbereached,thedisputesshallbesubmittedtoChinaInternationalEconomicandtradearbitrationcomm
