visionoftheirservices.3.3LegalAdvisors:Legaladvisorsshallprovidelegalopinionsandshallnotberesponsiblefortheexecutionofthetransaction.Theyshallnotbeliableforanyloss,damage,orliabilityarisingfromtheprovisionoftheirservices.3.4FinancialInstitutions:Financialinstitutionsinvolvedinthetransactionshallperformtheirdutiesinaccordancewithapplicablelawsandregulations.Theyshallnotbeliableforanyloss,damage,orliabilityarisingfromtheirperformanceofsuchduties.3.5RegulatoryAuthorities:Regulatoryauthoritiesshallperformtheirdutiesinaccordancewithapplicablelawsandregulations.Theyshallnotbeliableforanyloss,damage,orliabilityarisingfromtheirperformanceofsuchduties.4.LimitationofLiabilityofThirdParties4.1TheliabilityofThirdPartiesshallbelimitedtothescopeoftheirrespectiveservicesandshallnotexceedthefeespaidforsuchservices.4.2ThirdPartiesshallnotbeliableforanyloss,damage,orliabilityarisingfromthefollowing:ThefailureofthepartiestoperformtheirobligationsunderthisAgreement.Theactionsorinactionsoftheparties.Thedecisionsmadetheparties.Anyunforeseeneventsorcircumstancesbeyondtheircontrol.5.IndemnificationofThirdParties5.1ThepartiesagreetoindemnifyThirdPartiesagainstanyclaims,actions,proceedings,losses,damages,costs,andexpensesarisingoutoforinconnectionwiththeperformanceoftheirdutiesunderthisAgreement.5.2Theindemnificationshallcoveranyloss,damage,orliabilityincurredThirdPartiesinrelationtothetransaction,includingbutnotlimitedtolegalfees,arbitrationfees,andsettlementamounts.6.Confidentiality6.1AllThirdPartiesinvolvedinthetransactionshallmaintaintheconfidentialityoftheinformationprovidedtothemtheparties.6.2ThirdPartiesshallnotdiscloseanyconfidentialinformationtoanythirdpartywithoutthepriorwrittenconsentoftheparties.7.TerminationofThirdPartyInvolvement7.1IfaThirdPartyfailstoperformtheirdutiesinaccordancewiththisAgreement,thepartiesmayterminatetheirinvolvementwithsuchThirdParty.7.2Upontermination,thepartiesshallpromptlynotifytheThirdPartyandshalltakeallnecessarystepstoensurethesmoothtransitionofthetransaction.8.AdditionalProvisions8.1ThepartiesmayengageadditionalThirdPartiesatanytimeduringthetermofthisAgreement,providedthatsuchengagementdoesnotconflictwiththeprovisionsofthisAgreement.8.2ThepartiesagreetoprovideThirdPartieswithallnecessaryinformationanddocumentationtoenablethemtoperformtheirdutieseffectively.8.3ThepartiesagreetocooperatewithThirdPartiesintheperformanceoftheirdutiesandtoprovidethemwithanyassistancerequired.EndofSecondPart第三部分：其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一：附件列表：1.ShareholderAgreement:AdetailedagreementoutliningtherightsandobligationsoftheshareholdersoftheCompany,includingvotingrights,dividendpolicies,andtransferrestrictions.4.DueDiligenceReport:AreportpreparedaqualifiedthirdpartyauditordetailingtheresultsoftheduediligenceinvestigationconductedontheCompany.6.EnvironmentalAssessment:AnenvironmentalassessmentreportpreparedaqualifiedenvironmentalconsultantdetailingtheenvironmentalimpactoftheCompany'soperations.7.RegulatoryApprovals:CopiesofallnecessaryregulatoryapprovalsobtainedtheCompany,includinglicenses,permits,andcertifications.8.EmployeeContracts:CopiesofallemploymentcontractsofkeyemployeesoftheCompany,includingthosewithcriticalknowledgeorexpertise.9.TechnologyAgreements:AnyagreementsrelatedtotheCompany'sintellectualproperty,includingpatents,trademarks,andlicensingagreements.10.LeaseAgreements:CopiesofallleaseagreementsfortheCompany'sfacilitiesandequipment.11.PurchaseOrdersandInvoices:AlistofalloutstandingpurchaseordersandinvoicesrelatedtotheCompany'soperations.12.InsurancePolicies:CopiesofallinsurancepoliciesheldtheCompany,includingliability,property,anddirectors'andofficers'insurance.DetailedRequirementsandExplanations:ShareholderAgreement:ThisagreementiscrucialforensuringthatallshareholdersareonthesamepageregardingthegovernanceandoperationoftheCompany.CompanyFinancialStatements:ThesestatementsprovideaclearpictureoftheCompany'sfinancialhealthandperformance.BusinessPlan:ThisplanoutlinestheCompany'sfuturedirectionandhelpstoassessitspotentialforgrowthandprofitability.DueDiligenceReport:ThisreportensuresthattheTransfereeisfullyawareofanypotentialrisksassociatedwiththeacquisition.LegalOpinion:Thisopinionprovideslegalcertaintythatthetransferisvalidandenforceable.RegulatoryApprovals:ThesedocumentsconfirmthattheCompanyhasallnecessarypermissionstooperate.EmployeeContracts:ThesecontractsprotecttheinterestsofboththeCompanyanditsemployees.LeaseAgreements:TheseagreementsensurethattheCompanyhasaccesstothenecessaryfacilitiesandequipment.PurchaseOrdersandInvoices:ThesedocumentsprovideaclearrecordoftheCompany'sfinancialtransactions.InsurancePolicies:ThesepoliciesprotecttheCompanyagainstpotentialliabilitiesandlosses.說(shuō)明二：違約行為及責(zé)任認(rèn)定：1.FailuretoPayTransferPrice:IftheTransfereefailstopaytheTransferPriceinaccordancewiththetermsoftheAgreement,theTransferormayterminatetheAgreementandseekdamages.2.FailuretoObtainNecessaryApprovals:Ifeitherpartyfailstoobtainthenecessaryapprovalsforthetransferofshares,theotherpartymayterminatetheAgreementa
