2025版國(guó)際技術(shù)培訓(xùn)合同英文翻譯與培訓(xùn)課程開發(fā)及實(shí)施服務(wù)合同本合同共三部分組成，僅供學(xué)習(xí)使用，第一部分如下：ContractforInternationalTechnicalTrainingTranslation,CurriculumDevelopment,andImplementationServicesThisAgreement(the“Agreement”)ismadeandenteredintoasof_______________(the“EffectiveDate”),andbetweenthefollowingparties:Contractor:Name:_______________Address:_______________Country:_______________Client:Name:_______________Address:_______________Country:_______________Whereas,theContractorisaqualifiedentitywithexpertiseintechnicaltrainingtranslation,curriculumdevelopment,andimplementationservices;andWhereas,theClientisinterestedinobtainingtheservicesoftheContractortoprovideinternationaltechnicaltrainingtranslation,curriculumdevelopment,andimplementationservices;andWhereas,thepartieswishtoenterintothisAgreementtosetforththetermsandconditionsunderwhichtheContractorwillprovidesuchservicestotheClient,NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromiseshereincontained,thepartiesheretoagreeasfollows:1.ScopeofServicesTheContractoragreestoprovidethefollowingservicestotheClient:1.1TechnicalTrainingTranslation:TheContractorshalltranslatethetechnicaltrainingmaterialsprovidedtheClientfromthesourcelanguagetothetargetlanguage(s)asspecifiedintheAgreement.1.3ImplementationServices:TheContractorshallimplementthetechnicaltrainingprogramaccordingtotheagreeduponschedule,ensuringthatalltrainingactivitiesareconductedefficientlyandeffectively.2.ServicesDelivery2.2.1Translatedtechnicaltrainingmaterialsinthetargetlanguage(s).2.2.2Developedcurriculumforthetechnicaltrainingprogram.2.2.3Implementationreportdetailingthetrainingactivitiesconductedandtheresultsachieved.3.FeesandPayment3.1Fees:ThetotalfeesfortheservicesprovidedtheContractorshallbeasfollows:3.1.1TranslationServices:_______________(amountincurrency).3.1.2CurriculumDevelopmentServices:_______________(amountincurrency).3.1.3ImplementationServices:_______________(amountincurrency).4.IntellectualProperty4.1OwnershipofWork:Allintellectualpropertyrightsinandtothetranslatedtechnicaltrainingmaterials,developedcurriculum,andanyotherworkproducedtheContractorunderthisAgreementshallbetheexclusivepropertyoftheClient.5.Termination5.1NoticeofTermination:EitherpartymayterminatethisAgreementuponwrittennoticetotheotherpartyiftheotherpartyfailstoperformitsobligationsunderthisAgreementwithin_______________(numberofdays)daysafterreceivingwrittennoticeofsuchfailure.6.GeneralProvisions6.1GoverningLaw:ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof_______________(country).6.2DisputeResolution:AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthroughgoodfaithnegotiations.Ifthepartiesfailtoresolvethedisputewithin_______________(numberofdays)daysfromthedateofthefirstwrittennoticeofdispute,thedisputeshallbesubmittedtothecourtsof_______________(country)forresolution.6.3Amendments:ThisAgreementmaybeamendedonlyawrittenagreementexecutedbothparties.EndofFirstPart第二部分：第三方介入后的修正ThisAgreementmayinvolvetheparticipationofthirdpartiesforvariouspurposes,includingbutnotlimitedtotheprovisionofintermediaryservices,technicalexpertise,oradditionalresources.Thefollowingprovisionsareaddedtoclarifytheroles,responsibilities,andrightsofthethirdparties,aswellasthedelineationoftheirrelationshipwiththeContractorandtheClient.7.ThirdPartyInvolvement7.1DefinitionofThirdParty:ForthepurposesofthisAgreement,a“ThirdParty”shallmeananyindividual,entity,ororganizationotherthantheContractorortheClientthatisinvolvedintheperformanceofthisAgreement,eitherdirectlyorindirectly.7.2ThirdPartyIntermediaries:TheContractormayengagetheservicesofthirdpartyintermediariestofacilitatethetranslation,curriculumdevelopment,andimplementationservices.TheseintermediariesshallberesponsiblefortheirownactionsandshallnotbindtheContractorortheClient.7.3ThirdPartyTechnicalExperts:TheContractormayalsoinvolvethirdpartytechnicalexpertstoprovidespecializedknowledgeandassistanceinthedevelopmentandimplementationofthetrainingprogram.TheseexpertsshallbeengagedtheContractorandshallactonitsbehalf.7.4ThirdPartyResources:TheContractormayutilizethirdpartyresources,suchastrainingfacilities,equipment,ormaterials,asrequiredfortheimplementationoftheservices.TheresponsibilityfortheprovisionandmaintenanceoftheseresourcesshallbeclearlydefinedintheAgreement.8.ThirdPartyResponsibilities8.1LiabilityLimitation:TheliabilityofanyThirdPartyshallbelimitedtothescopeoftheirrespectiveservicesandshallnotexceedthetotalfeespaidtheClienttotheContractorfortherelevantservices.TheContractorshallindemnifytheClientagainstanyclaimsarisingfromtheactsoromissionsoftheThirdParty.8.3Confidentiality:AllThirdPartiesshallbeboundtheconfidentialityobligationsofthisAgreementandshallnotdiscloseanyconfidentialinformationoftheClientortheContractorwithoutpriorwrittenconsent.9.RightsandObligationsoftheContractorandtheClient9.2Client’sRights:TheClientshallhavetherighttorequesttheContractortoprovideinformationregardingtheinvolvementofThirdPartiesandtorequesttheContractortoreplaceanyThirdPartydeemedunsatisfactory.9.3Contractor’sObligations:TheContractorshallberesponsiblefortheoverallperformanceoftheservicesunderthisAgreement,includingthecoordinationandmanagementofThirdParties.TheContractorshallensurethatallservicesareperformedinaccordancewiththetermsofthisAgreement.9.4Client’sObligations:TheClientshallprovidetheContractorwithallnecessaryinformationandresourcesrequiredfortheperformanceoftheservices.TheClientshallalsoberesponsibleforanycostsorexpensesincurredtheContractorinengagingThirdParties.10.ThirdPartyApproval10.1ApprovalProcess:BeforeengaginganyThirdParty,theContractorshallobtainthewrittenapprovaloftheClient.TheClientshallhavetherighttoreviewandapprovethequalifications,experience,andproposedservicesofanyThirdParty.10.2ModificationofServices:IftheClientdoesnotapproveaproposedThirdParty,theContractorshallhavetherighttoseekalternativesolutions.AnymodificationstotheservicesorfeesresultingfromtheinvolvementofaThirdPartyshallbeagreeduponbothpartiesinwriting.11.DisputeResolutionwithThirdParties11.1Contractor’sResponsibility:AnydisputesarisingbetweentheContractorandaThirdPartyinthecourseofprovidingservicesunderthisAgreementshallberesolvedtheContractor.TheContractorshallindemnifytheClientagainstanylossesordamagesarisingfromsuchdisputes.11.2Client’sRighttoIntervene:TheClientshallhavetherighttointerveneinanydisputebetweentheContractorandaThirdPartyifitdeemssuchinterventionnecessarytoprotectitsinterests.11.3Jurisdiction:AnydisputesbetweentheClient,theContractor,andaThirdPartyshallbesubjecttothesamegoverninglawanddisputeresolutionproceduresassetforthinthisAgreement.第三部分：其他補(bǔ)充性說明和解釋說明一：附件列表：1.TranslationScopeDocument:Adetaileddocumentoutliningthescopeofthetranslationservices,includingthelistofdocumentstobetranslated,thetargetlanguages,andanyspecificformattingorterminologyrequirements.2.CurriculumDevelopmentBrief:AdocumentprovidedtheClientthatdetailsthetrainingprogramrequirements,includingthedesiredlearningobjectives,coursecontent,anddeliverymethods.3.TrainingMaterials:Theoriginaltechnicaltrainingmaterialstobetranslated,includingmanuals,guides,presentations,andanyotherrelevantdocuments.4.TranslationQualityAssuranceGuidelines:Adocumentoutliningthequalitystandardsandproceduresforthetranslationprocess,includingproofreading,editing,andformattingguidelines.5.CurriculumDevelopmentPlan:Adetailedplanoutliningthesteps,timelines,anddeliverablesforthecurriculumdevelopmentprocess.6.ImplementationSchedule:Adocumentdetailingthetimelinefortheimplementationofthetrainingprogram,includingthedatesforeachtrainingsession,location,andanyotherrelevantlogistics.8.ThirdPartyAgreements:AnyagreementsbetweentheContractorandThirdParties,includingconfidentialityagreements,servicelevelagreements,andanyotherrelevantdocuments.9.FinancialStatements:FinancialrecordsandinvoicesforallpaymentsmadeunderthisAgreement.10.ConfidentialityAgreements:AnyconfidentialityagreementsenteredintowithThirdPartiesorotherstakeholders.11.DisputeResolutionDocumentation:AnydocumentationrelatedtodisputesordisagreementsarisingunderthisAgreement.說明二：違約行為及責(zé)任認(rèn)定：1.LateDelivery:IftheContractorfailstodeliverthetranslatedmaterials,curriculum,ortrainingsessionstheagreedupondeadlines,itshallbeconsideredabreachofcontract.TheClientshallbeendtoadelayfeeof_______________(amountincurrency)foreachdayofdelay.Example:IftheContractorisrequiredtodeliverthetranslatedmaterialswithin30daysandfailstodosoafter40days,theContractorshallpayadelayfeeof_______________(amountincurrency)fortheadditional10days.2.QualityDeficiency:Ifthequalityofthetranslatedmaterialsorcurriculumdoesnotmeettheagreeduponstandards,theClientshallnotifytheContractorinwritingwithin_______________(numberofdays)daysofreceivingthedeliverables.TheContractorshallrectifythedeficiencieswithin_______________(numberofdays)daysatnoadditionalcosttotheClient.Example:IftheClientfindsthatthetranslationcontainssignificanterrors,theClientshallnotifytheContractorwithin7days.TheContractorshallcorrecttheerrorswithin14dayswithoutanyadditionalcharge.Example:IftheContractorusesunauthorizedcopyrightedmaterialinthetrainingmaterials,itshallberesponsibleforanycopyrightinfringementclaimsandlegalfeesassociatedwiththematter.4.NonPaymentofFees:IftheClientfailstopaytheagreeduponfeeswithinthespecifi
