2025年度網(wǎng)絡安全技術股權轉讓合同（英文版）本合同共三部分組成，僅供學習使用，第一部分如下：2025ANNUALNETWORKSECURITYTECHNOLOGYTRANSFERAGREEMENTThisAgreement("Agreement")ismadeandenteredintoasof_,_,2025(the"EffectiveDate"),andbetweenthefollowingparties:PartyA:FullLegalName:________________________________Address:_________________________________________City,State,ZipCode:_____________________________Country:_________________________________________ContactPerson:_________________________________Position:_________________________________________PartyB:FullLegalName:________________________________Address:_________________________________________City,State,ZipCode:_____________________________Country:_________________________________________ContactPerson:_________________________________Position:_________________________________________WHEREAS,PartyA("Licensor")istheownerofcertainintellectualpropertyrightsrelatedtonetworksecuritytechnology(the"Technology"),includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets;andWHEREAS,PartyB("Lictee")desirestoobtainalicensetousetheTechnologyinaccordancewiththetermsandconditionssetforthherein;andWHEREAS,theLicensorandtheLicteewishtoenterintothisAgreementtoestablishthetermsandconditionsunderwhichtheLicensorwilltransfercertainrightstotheLictee;NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesagreeasfollows:1.GrantofLicense1.1LicensorheregrantstoLictee,effectiveasoftheEffectiveDate,anonexclusive,nontransferable,worldwidelicensetousetheTechnologysolelyforthepurposeof_______________(specifythepurposeofuse).1.2LicensorshallprovideLicteewithallnecessarydocumentation,includingbutnotlimitedtousermanuals,technicalspecifications,andanyotherrelevantmaterials(the"Documentation")tofacilitatetheuseoftheTechnologyLictee.1.3LicteeshallusetheTechnologyinaccordancewiththetermsandconditionssetforthhereinandshallnotusetheTechnologyforanyillegalorunauthorizedpurposes.2.RightsandObligations2.1Licensorshall:a.TransfertherightstotheTechnologytoLicteeinaccordancewiththetermsandconditionsofthisAgreement;b.ProvideLicteewiththeDocumentationnecessaryfortheuseoftheTechnology;c.IndemnifyLicteeagainstanyclaimsmadethirdpartiesrelatedtotheinfringementoftheirintellectualpropertyrightstheTechnology.2.2Licteeshall:a.PaytheconsiderationsetforthinSection4ofthisAgreement;b.UsetheTechnologyinaccordancewiththetermsandconditionsofthisAgreement;c.MaintaintheconfidentialityoftheTechnologyandtheDocumentation;d.Notmodify,reverseengineer,disassemble,orcreatederivativeworksoftheTechnologywithoutthepriorwrittenconsentofLicensor.3.TermandTermination4.Consideration4.1Inconsiderationoftherightsandlicensesgrantedherein,LicteeshallpayLicensoratotalconsiderationof___________(specifytheamount)(the"Consideration")inaccordancewiththefollowingschedule:a.___________uponexecutionofthisAgreement;b.___________onthefirstanniversaryoftheEffectiveDate;c.___________onthesecondanniversaryoftheEffectiveDate;d.___________onthethirdanniversaryoftheEffectiveDate.5.IntellectualProperty5.1Licensorretainsallownershiprights,,andinterestinandtotheTechnology,includingbutnotlimitedtopatents,copyrights,trademarks,andtradesecrets.5.2Licteeshallnotacquireanyownershiprights,,orinterestintheTechnologyoranyportionthereofvirtueofthisAgreement.6.Confidentiality6.1ThepartiesagreetokeepconfidentialallinformationdisclosedtothemtheotherpartyduringthetermofthisAgreementandforaperiodof__________yearsfollowingtheterminationorexpirationofthisAgreement.6.2Theobligationsofconfidentialityshallnotapplytoinformationthat:b.Isalreadyinthepossessionofthereceivingpartywithoutrestrictioninrelationtodisclosure;c.Isobtainedthereceivingpartyfromathirdpartywithoutabreachofsuchthirdparty'sobligationsofconfidentiality;d.Isindependentlydevelopedthereceivingpartywithoutuseoforreferencetothedisclosingparty'sconfidentialinformation.7.Indemnification7.1LicensorshallindemnifyLicteeagainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheinfringementofanythirdpartyintellectualpropertyrightstheTechnology.7.2LicteeshallindemnifyLicensoragainstanyandallclaims,liabilities,losses,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromLictee'suseoftheTechnologyinviolationofthisAgreement.8.LimitationofLiability8.1INNOEVENTSHALLLICENSORBELIABLETOLICEEORANYOTHERPARTYFORANYINDIRECT,INCIDENTAL,SPECIAL,CONSEQUENTIAL,ORPUNITIVEDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSTPROFITS,LOSTSAVINGS,OROTHERECONOMICLOSS,ARISINGOUTOFORINCONNECTIONWITHTHISAGREEMENTORTHEUSEORPERFORMANCEOFTHETECHNOLOGY,EVENIFLICENSORHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.8.2Licensor'stotalliabilitytoLicteeunderthisAgreementshallnotexceedtheamountoftheConsiderationpaidLicteetoLicensorunderthisAgreement.9.GoverningLawandDisputeResolution9.1ThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof___________(specifythegoverninglaw).9.2AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe___________ArbitrationAssociation(specifythearbitrationassociation).10.EntireAgreementThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.INWITNESSWHEREOF,thepartiesheretohaveexecutedthisAgreementasoftheEffectiveDate.PartyA:___________________________By:_________________________________Name:_________________________________Title:_________________________________Date:_________________________________PartyB:___________________________By:_________________________________Name:_________________________________Title:_________________________________Date:_________________________________第二部分：第三方介入后的修正10A.ThirdPartyInvolvement10A.1IntroductiontoThirdPartiesForthepurposesofthisAgreement,"ThirdParties"shallinclude,butnotbelimitedto,intermediaries,consultants,agents,subcontractors,andanyotherentitiesthatmaybeinvolvedintheperformanceofthisAgreement,eitherdirectlyorindirectly.10A.2ScopeofThirdPartyInvolvement10A.2.1LicensormayengageThirdPartiestoassistinthetransfer,implementation,andmaintenanceoftheTechnology.10A.2.2LicteemayengageThirdPartiestoassistintheuseanddevelopmentoftheTechnologywithinthescopeofthelicensegrantedhereunder.10A.2.3TheengagementofanyThirdPartyeitherpartyshallbesubjecttothepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.10A.3RightsandObligationsofThirdParties10A.3.1ThirdPartiesshallbeboundthetermsandconditionsofthisAgreementtotheextentnecessaryforthemtoperformtheirobligationsunderthisAgreement.10A.3.2LicensorandLicteeshallensurethatanyThirdPartyengagedintheperformanceofthisAgreementhasthenecessaryqualifications,experience,andauthoritytoperformtheirduties.10A.4ResponsibilitiesandLimitationsofThirdParties10A.4.1ThirdPartiesshallperformtheirobligationswithduecareandskill,inaccordancewiththespecificationsandstandardsagreedupontheparties.10A.4.2ThirdPartiesshallberesponsibleforanydamagesorliabilitiesarisingfromtheirfailuretoperformtheirobligationsunderthisAgreement.10A.4.3TheliabilityofThirdPartiesunderthisAgreementshallbelimitedtothedirectdamagescausedtheirnegligenceorwillfulmisconduct,andshallnotexceedthetotalfeespaidtotheThirdPartyeitherLicensororLicteefortheservicesrendered.10A.5IndemnificationThirdParties10A.5.1ThirdPartiesshallindemnifyLicensorandLicteeagainstanyclaims,liabilities,losses,damages,andexpenses(includingreasonableattorney'sfees)arisingoutoforresultingfromtheThirdParty'sbreachofthisAgreementortheperformanceoftheirobligationsunderthisAgreement.10A.6ThirdPartyContracts10A.6.1LicensorandLicteeshallensurethatanycontractenteredintowithaThirdPartyincludesappropriateprovisionsforconfidentiality,liability,andindemnification,asmaybenecessarytoprotecttheirinterestsunderthisAgreement.10A.6.2LicensorandLicteeshallprovideacopyofanysuchcontracttotheotherpartyuponrequest.10A.7AssignmentofThirdPartyRightsandObligations10A.7.1NeitherLicensornorLicteemayassigntheirrightsorobligationsunderthisAgreementtoaThirdPartywithoutthepriorwrittenconsentoftheotherparty,whichshallnotbeunreasonablywithheld.10A.7.2ThirdPartiesmaynotassigntheirrightsorobligationsunderanycontractenteredintowithLicensororLicteewithoutthepriorwrittenconsentofbothLicensorandLictee.10A.8DisputeResolutionforThirdParties10A.8.1AnydisputearisingbetweenaThirdPartyandeitherLicensororLicteeinrelationtotheperformanceofthisAgreementshallberesolvedinaccordancewiththedisputeresolutionprovisionssetforthinSection9ofthisAgreement.10A.8.2LicensorandLicteeshallusetheirbesteffortstoensurethatanyThirdPartyengagedintheperformanceofthisAgreementisalsoboundthedisputeresolutionprovisionsofthisAgreement.10A.9TerminationofThirdPartyInvolvement10A.10IntegrationwithExistingContract10A.10.1TheprovisionsofthisSection10AshallbedeemedtobeanintegralpartofthisAgreementandshallapplyinadditiontotheprovisionsoftheAgreementasoriginallyexecuted.10A.10.2AnyamendmentormodificationtothisSection10Ashallbemadeinwritingandshallbebindingonallpartieshereto.第三部分：其他補充性說明和解釋說明一：附件列表：1.TechnologyDescriptionDocument:要求：詳細描述所轉讓的網(wǎng)絡安全技術，包括技術原理、功能、性能指標、適用范圍等。說明：本附件是理解和使用技術的基礎，應由Licensor提供并保證其準確性和完整性。2.IntellectualPropertyRightsDocumentation:要求：列出與所轉讓技術相關的所有專利、版權、商標和商業(yè)秘密等知識產(chǎn)權的詳細信息。說明：本附件用于證明Licensor對所轉讓技術的所有權和許可權。3.UserManualsandTechnicalSpecifications:要求：提供技術使用手冊和技術規(guī)格書，詳細說明技術的操作方法和維護保養(yǎng)。說明：本附件是Lictee正確使用和維護技術的指南。4.TrainingMaterials:要求：提供培訓材料，包括培訓課程、教程、示例等，以幫助Lictee的
