hisAgreementandthatthisAgreementconstitutesitslegalandbindingobligation.12.2代理人聲明的效力TheAgent'srepresentationsandwarrantiessetforthinthisArticle12shallsurvivetheterminationofthisAgreement.第十三條附錄13.1肖像權使用樣例TheattachedScheduleAcontainsexamplesoftheuseoftheArtist's肖像權asauthorizedthisAgreement.13.2保密信息清單TheattachedScheduleBcontainsalistofconfidentialinformationasdefinedinArticle3ofthisAgreement.第十四條簽署頁14.1藝人簽署頁TheArtist'ssignaturepageisattachedheretoasExhibitA.14.2代理人簽署頁TheAgent'ssignaturepageisattachedheretoasExhibitB.第二部分：第三方介入后的修正15.第三方介入15.1定義Theterm"ThirdParty"asusedinthisAgreementreferstoanyindividual,entity,ororganizationthatisnottheArtistortheAgentandthatisinvolvedinanywayintheperformanceofthisAgreement.15.2第三方責任TheThirdPartyshallberesponsibleforitsownactsandomissionsinrelationtotheperformanceofthisAgreement,andshallindemnifyandholdharmlesstheArtistandtheAgentfromandagainstanyclaims,damages,liabilities,costs,andexpenses(includingreasonableattorney'sfees)arisingoutoforinconnectionwithsuchactsoromissions.16.第三方與甲乙方的關系16.1第三方與甲方TheThirdPartyshallhavenodirectlegalrelationshipwiththeArtist,andshallnotbeconsideredapartytothisAgreement.TheArtistshallnotbeliableforanyobligationsorliabilitiesoftheThirdParty.16.2第三方與乙方TheThirdPartyshallhavenodirectlegalrelationshipwiththeAgent,andshallnotbeconsideredapartytothisAgreement.TheAgentshallnotbeliableforanyobligationsorliabilitiesoftheThirdParty.17.第三方介入的額外條款17.1第三方選擇TheArtistandtheAgentmay,fromtimetotime,engagetheservicesofThirdPartiestoassistintheperformanceofthisAgreement.TheArtistandtheAgentshallhavetherighttoselect,terminate,andreplaceanyThirdPartyattheirsolediscretion.17.2第三方合同TheArtistandtheAgentmayenterintoseparateagreementswithThirdPartiesinrelationtotheperformanceofthisAgreement.SuchagreementsshallbesolelybetweentheArtist,theAgent,andtheThirdParty,andshallnotbebindingontheotherparty.17.3第三方責任限額TheliabilityoftheThirdPartytotheArtistandtheAgentshallbelimitedtotheextentprovidedinanyagreementsenteredintobetweentheArtist,theAgent,andtheThirdParty.TheArtistandtheAgentshallnotbeliableforanyactsoromissionsoftheThirdPartythatexceedthescopeofsuchagreements.18.第三方與合同的終止18.1第三方終止IfaThirdPartyisunabletoperformitsobligationsunderthisAgreementduetoanyreason,includingbutnotlimitedtobankruptcy,insolvency,ordeath,theArtistandtheAgentmayterminatetheiragreementwithsuchThirdParty.18.2第三方終止后的處理UponterminationoftheagreementwithaThirdParty,theArtistandtheAgentshallhavetherighttoreassigntheobligationsofsuchThirdPartytoanothersuitableThirdParty,subjecttothetermsandconditionsofthisAgreement.19.第三方與保密義務19.1第三方保密義務TheThirdPartyshallmaintaintheconfidentialityofallconfidentialinformationdisclosedtoittheArtistortheAgent,inaccordancewiththetermsandconditionsofthisAgreement.19.2第三方保密義務的例外TheThirdPartymaydiscloseconfidentialinformationtotheextentrequiredlaw,regulation,orjudicialoradministrativeorder,providedthattheThirdPartyshallusereasonableeffortstonotifytheArtistandtheAgentinadvanceofsuchdisclosureandtolimitthedisclosuretotheminimumextentrequiredlaw,regulation,ororder.20.第三方與違約責任20.1第三方違約行為AnybreachofthisAgreementaThirdPartyshallbedeemedabreachtheArtistortheAgent,asthecasemaybe,andtheArtistortheAgentshallbeendtoseekinjunctiverelief,monetarydamages,orboth,tothefullestextentpermittedlaw.20.2第三方違約責任的具體規(guī)定TheArtistortheAgentmayalsorequiretheThirdPartytoindemnifyandholdharmlesstheArtistortheAgentfromandagainstanyclaims,damages,liabilitie
