2.1.1ItisthelegitimateowneroftheFilmandhasthefullrightandauthoritytogranttheLicenseetherightsandobligationshereinprovided.

2.1.2TheFilmdoesnotinfringeuponanythird-party'sintellectualpropertyrights.

2.1.3TheFilmisfreefromanyoutstandingdisputesorclaims.

2.1.4TheLicensorhasobtainedallnecessaryapprovalsandclearancesfortheFilmtobeimportedanddistributedintheterritoryoftheLicensee.

2.2TheLicenseeherebyrepresentsandwarrantsthat:

2.2.1ItislegallycompetenttoenterintothisAgreementandhasobtainedallnecessaryapprovalsandclearancesforimportinganddistributingfilmsintheterritoryoftheLicensee.

2.2.2TheLicenseewillcomplywithallapplicablelaws,regulations,andpoliciesintheterritoryoftheLicenseeregardingtheimportationanddistributionoffilms.

2.2.3TheLicenseewillnotengageinanyillegalactivitiesrelatedtotheFilm.

RIGHTSANDOBLIGATIONS

3.1TheLicensorherebygrantstotheLicenseetheexclusiverighttoimport,distribute,andexhibittheFilmintheterritoryoftheLicensee,subjecttothetermsandconditionssetforthinthisAgreement.

3.2TheLicenseeshall:

3.2.1Obtainallnecessarylicensesandpermitsrequiredfortheimportation,distribution,andexhibitionoftheFilmintheterritoryoftheLicensee.

3.2.2PromoteandmarkettheFilminaccordancewiththeagreed-uponplansandstrategies.

3.2.3PaytheLicensortheagreed-uponfeesfortherightsgrantedunderthisAgreement.

3.2.4EnsurethattheFilmisdistributedandexhibitedincompliancewiththeapplicablelawsandregulationsintheterritoryoftheLicensee.

3.3TheLicensorshall:

3.3.1ProvidetheLicenseewiththenecessarymaterialsandinformationregardingtheFilm.

3.3.2AssisttheLicenseeinobtainingthenecessarylicensesandpermitsfortheimportationanddistributionoftheFilmintheterritoryoftheLicensee.

3.3.3ProvidetechnicalsupportandguidancetotheLicenseeregardingtheexhibitionoftheFilm.

TERMANDTERMINATION

4.1ThisAgreementshallbeeffectivefromthedateofitsexecutionandshallremaininforceforaperiodof__________years,unlessterminatedearlierinaccordancewiththeprovisionsofthisAgreement.

4.2EitherPartymayterminatethisAgreementuponwrittennoticetotheotherPartyintheeventofthefollowingcircumstances:

4.3UponterminationofthisAgreement,theLicenseeshallreturnallcopiesoftheFilmandrelatedmaterialstotheLicensor,andtheLicensorshallnotbeliableforanydamagesorlossesincurredbytheLicenseeasaresultoftheterminationofthisAgreement.

CONFIDENTIALITY

5.1ThePartiesagreetokeepallconfidentialinformationdisclosedbytheotherPartyduringthenegotiation,execution,andperformanceofthisAgreementstrictlyconfidential.

5.2TheobligationsofconfidentialityunderthisSection5shallsurvivetheterminationorexpirationofthisAgreement.

INDEMNIFICATION

6.1TheLicensorshallindemnifyandholdharmlesstheLicenseeagainstanyandallclaims,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeFilm,includingbutnotlimitedtoanyinfringementofintellectualpropertyrights.

6.2TheLicenseeshallindemnifyandholdharmlesstheLicensoragainstanyandallclaims,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeLicensee'sbreachofanymaterialtermorconditionofthisAgreement.

DISPUTERESOLUTION

7.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledthroughfriendlynegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin__________daysfromthedateofthedispute,thedisputeshallbesubmittedtothePeople'sCourtof__________forarbitration.

5.3TheThirdPartyshallindemnifyandholdharmlesstheLicensorandtheDistributoragainstanyandallclaims,damages,liabilities,andexpensesarisingoutoforinconnectionwiththeservicesprovidedbytheThirdParty,providedthatsuchclaimsarisefromthenegligenceorwillfulmisconductoftheThirdParty.

DISPUTERESOLUTION

6.1AnydisputearisingoutoforinconnectionwiththisAgreementshallbesettledthroughfriendlynegotiationsbetweentheParties.IfthePartiesfailtoreachanamicableresolutionwithin__________daysfromthedateofthedispute,thedisputeshallbesubmittedtothePeople'sCourtof__________forarbitration.
