reationsdevelopedtheEmployeeduringthecourseofemployment.10.2InterpretationIntheinterpretationofthisAgreement,theheadingsareforconvenienceonlyandshallnotaffectthemeaningorinterpretationofanyprovision.11.AssignmentTheEmployeemaynotassignortransferthisAgreementoranyoftheEmployee'srightsorobligationsunderthisAgreementwithoutthepriorwrittenconsentoftheEmployer.12.SuccessionTheEmployee'srightsandobligationsunderthisAgreementshallsurvivetheEmployee'sdeathorincapacityandshallbebindingontheEmployee'sheirs,executors,administrators,andassigns.13.NoticeAnynoticerequiredorpermittedtobegivenunderthisAgreementshallbeinwritingandshallbedeemedtohavebeendulygivenwhendeliveredtothepartyattheaddressspecifiedinthisAgreementoratsuchotheraddressasmayhereafterbefurnishedinwritingeitherpartytotheother.14.CounterpartsThisAgreementmaybeexecutedinoneormorecounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.第二部分:第三方介入后的修正1.IntroductiontoThirdPartyInvolvement1.1DefinitionofThirdPartyForthepurposeofthisAgreement,a"ThirdParty"shallrefertoanyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedinprovidingservices,consulting,orintermediationinconnectionwiththeEmployee'sroleortheEmployer'soperations.2.ThirdPartyRolesandResponsibilities2.1ServicesProvidedThirdPartiesTheEmployermayengageThirdPartiestoprovidethefollowingservices:RecruitmentandstaffingservicesProfessionalconsultingservicesTraininganddevelopmentprogramsITsupportandinfrastructureservicesLegalandfinancialadvisoryservices2.2ResponsibilitiesofThirdPartiesThirdPartiesshallperformtheirservicesinaccordancewiththetermsoftheirrespectiveagreementswiththeEmployerandinamannerthatdoesnotconflictwiththeprovisionsofthisAgreement.Theyshallbesolelyresponsibleforthequalityandtimelinessoftheirservices.3.RightsandObligationsofThirdParties3.1RightsofThirdPartiesThirdPartiesshallhavetherightto:ReceivenecessaryinformationandresourcesfromtheEmployertoperformtheirserviceseffectively.BeindemnifiedtheEmployeragainstanyclaimsarisingfromtheirperformanceofservicesunderthisAgreement.3.2ObligationsofThirdPartiesThirdPartiesshallbeobligatedto:Complywithallapplicablelaws,regulations,andindustrystandards.MaintainconfidentialityofanyconfidentialinformationprovidedtheEmployer.NotengageinanyactivitiesthatmayharmthereputationorinterestsoftheEmployer.4.AdditionalTermsandConditionsforThirdPartyInvolvement4.1AdditionalProvisionsintheAgreementThefollowingadditionalprovisionsshallbeincludedintheAgreementwhenaThirdPartyisinvolved:AspecificclauseoutliningthescopeofservicestobeprovidedtheThirdParty.AcleardefinitionoftheresponsibilitiesandexpectationsoftheThirdParty.AprovisionfortheresolutionofdisputesarisingfromtheservicesprovidedtheThirdParty.5.LimitationofLiabilityforThirdParties5.1ResponsibilityLimitationTheliabilityofThirdPartiesfortheirservicesunderthisAgreementshallbelimitedtotheamountagreeduponintheirrespectiveagreementswiththeEmployer.ThislimitationshallnotaffecttheEmployer'sorEmployee'srightsandobligationsunderthisAgreement.6.ThirdPartyIndemnification6.1IndemnificationThirdPartiesThirdPartiesshallindemnifytheEmployerandtheEmployeeagainstanyclaims,losses,damages,orexpensesarisingfromtheirbreachofthisAgreementortheirfailuretoperformtheirservicesinaccordancewiththeagreeduponterms.7.ThirdPartyRelationshipwithEmployerandEmployee7.1IndependentContractorStatusThirdPartiesshallbeconsideredindependentcontractorsandshallnotbedeemedemployeesoftheEmployerortheEmployee.8.ThirdPartyTermination8.1TerminationEmployer9.ThirdPartyCompliancewithLawsandRegulations9.1CompliancewithLaws10.ThirdPartyConfidentiality10.1ConfidentialityObligationsThirdPartiesshallbeboundconfidentialityobligationstoprotecttheEmployer'sandEmployee'sconfidentialinformation.11.ThirdPartyDisputeResolution11.1DisputeResolutionMechanismAnydisputesarisingbetweentheEmployer,Employee,andThirdPartyshallberesolvedinaccordancewiththedisputeresolutionmechanismsetforthinthisAgreementor,ifnotspecified,througharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].12.ThirdPartyInsuranceRequirements12.1InsuranceCoverageThirdPartiesshallmaintainappropriateinsurancecoverage,includingliabilityinsurance,professionalindemnityinsurance,andotherrelevantcoveragesasrequiredtheEmployer.13.ThirdPartyReportingRequirements13.1ReportingtoEmployerThirdPartiesshallprovidetheEmployerwithregularreportsontheprogressandqualityoftheirservices,asagreeduponintheirrespectiveagreementswiththeEmployer.第三部分:其他補(bǔ)充性說(shuō)明和解釋說(shuō)明一:附件列表:1.OfferLetter詳細(xì)要求:包含職位、薪資、工作地點(diǎn)、生效日期等詳細(xì)信息。附件說(shuō)明:此文件是雇主向員工發(fā)出的錄用通知,確認(rèn)員工的職位和雇傭條件。2.ConfidentialityAgreement詳細(xì)要求:明確保密信息的定義、保密期限、違約責(zé)任等。附件說(shuō)明:此協(xié)議確保員工在雇傭期間和雇傭結(jié)束后對(duì)雇主的信息保密。3.NonCompeteAgreement詳細(xì)要求:規(guī)定在雇傭結(jié)束后一定時(shí)間內(nèi)不得從事與雇主業(yè)務(wù)競(jìng)爭(zhēng)的活動(dòng)。附件說(shuō)明:此協(xié)議保護(hù)雇主的商業(yè)利益,防止員工在離職后對(duì)雇主構(gòu)成競(jìng)爭(zhēng)。4.PerformanceReviewForms詳細(xì)要求:包括績(jī)效評(píng)估的標(biāo)準(zhǔn)、評(píng)估周期、評(píng)估結(j TheEmployeegrantstheEmployeraperpetual,worldwide,royaltyfree,andnonexclusivelicensetouseanyintellectualpropertycreatedtheEmployeeduringtheEmploymentRelationship.7.TerminationofEmployment7.1NoticePeriodTheEmployeeshallprovide[NumberofDays]writtennoticetotheEmployerpriortoterminatingtheEmploymentRelationship.7.2TerminationforCauseTheEmployermayterminatetheEmploymentRelationshipimmediatelyforcause,includingbutnotlimitedtomisconduct,insubordination,orbreachofthisAgreement.7.3TerminationMutualAgreementTheEmployerandtheEmployeemayagreetoterminatetheEmploymentRelationshipmutualconsent,inwhichcasethetermsofterminationshallbesetforthinawrittenagreement.7.4TerminationtheEmployerTheEmployermayterminatetheEmploymentRelationshipwithoutcause,uponproviding[NumberofDays]writtennoticetotheEmployee.7.5TerminationtheEmployeeTheEmployeemayterminatetheEmploymentRelationshipwithoutcause,uponproviding[NumberofDays]writtennoticetotheEmployer.8.PostTerminationObligations8.1NonCompeteClause8.2NonSolicitationClauseTheEmployeeagreesnottosolicitanyoftheEmployer'scustomers,suppliers,oremployeesforaperiodof[NumberofYears]followingtheterminationoftheEmploymentRelationship.8.3ReturnofProperty9.GoverningLawandDisputeResolution9.1GoverningLawThisAgreementshallbegovernedandconstruedinaccordancewiththelawsof[Jurisdiction].9.2DisputeResolutionMechanism10.MiscellaneousProvisions10.1EntireAgreementThisAgreementconstitutestheentireagreementbetweentheEmployerandtheEmployeewithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.10.2AmendmentsAnyamendmenttothisAgreementmustbeinwritingandexecutedbothparties.10.3WaiverThefailureofeitherpartytoenforceanyprovisionofthisAgreementshallnotbedeemedawaiverofsuchprovisionnoroftherightofsuchpartytoenforcesuchprovision.10.4SeverabilityIfanyprovisionofthisAgreementisfoundtobeunenforceableorinvalid,theremainingprovisionsshallremaininfullforceandeffect.10.5AssignmentTheEmployeemaynotassignthisAgreementoranyofitsrightsorobligationshereunderwithoutthepriorwrittenconsentoftheEmployer.11.CompliancewithLaws12.Communication13.AmendmentsandModificationsAnyamendmentsormodificationstothisAgreementmustbeinwritingandexecutedbothparties.14.SignaturesThisAgreementshallbeexecutedintwocounterparts,eachofwhichshallbedeemedanoriginal,butallofwhichtogethershallconstituteoneandthesameinstrument.第二部分:第三方介入后的修正1.Introduction1.1PurposeThissectionisaddedtoclarifytheroleofthirdpartiesintheemploymentrelationshipbetweentheEmployerandtheEmployee,includingthescopeoftheirinvolvement,theirresponsibilities,andthelimitationsoftheirliability.2.DefinitionofThirdParty2.1DefinitionForthepurposesofthisAgreement,a"ThirdParty"shallmeananyindividual,entity,ororganizationthatisnotapartytothisAgreementbutisengagedeithertheEmployerortheEmployeetoprovideservices,advice,orotherassistanceinconnectionwiththeEmployee'semployment.3.ThirdPartyInvolvement3.1AuthorizationTheEmployerortheEmployeemayengageaThirdPartytoassistwithvariousaspectsoftheEmployee'semployment,suchasrecruitment,training,consulting,orprofessionalservices.4.ResponsibilitiesoftheEmployerandtheEmployee4.1Employer'sResponsibilitiesTheEmployershallensurethatanyThirdPartyengagedisqualifiedandhasthenecessaryexpertisetoperformtherequiredservices.4.2Employee'sResponsibilitiesTheEmployeeshallcooperatewiththeThirdPartyintheperformanceoftheirdutiesandshallprovideanynecessaryinformationorassistance.5.ThirdParty'sRoleandLimitations5.1ScopeofWorkTheThirdPartyshallperformtheservicesasoutlinedintheagreementorcontractenteredintobetweentheEmployerortheEmployeeandtheThirdParty.5.2LimitationsofLiabilitya.TheliabilityoftheThirdPartyshallbelimitedtothescopeoftheirservicesandshallnotextendtotheEmployee'sorEmployer'sactsoromissions.b.TheThirdPartyshallnotbeliableforanydamagesarisingfromtheEmployee'sorEmployer'sbreachofthisAgreement.c.TheEmployerortheEmployeeshallbesolelyresponsibleforanyobligationsorliabilitiesincurredwithrespecttotheEmployee'semployment.6.Indemnification6.1Employer'sIndemnificationTheEmployeragreestoindemnifytheThirdPartyagainstanyclaims,actions,demands,orliabilitiesarisingoutoforinconnectionwiththeThirdParty'sperformanceoftheirdutiesunderthisAgreement.6.2Employee'sIndemnificationTheEmployeeagreestoindemnifytheEmployeragainstanyclaims,actions,demands,orliabilitiesarisingoutoforinconnectionwiththeEmployee'sactionsorinactionsinthecourseoftheiremployment.7.ConfidentialityandNonDisclosure7.1ConfidentialityTheEmployer,theEmployee,andtheThirdPartyagreetomaintaintheconfidentialityofanyproprietaryorconfidentialinformationthatmaybedisclosedduringthecourseoftheservicesprovidedtheThirdParty.7.2NonDisclosureTheEmployer,theEmployee,andtheThirdPartyagreenottodiscloseanysuchinformationtoanythirdpartywithoutthepriorwrittenconsentoftheotherparties.8.ThirdParty'sCompliancewithLaws9.DisputeResolutionAnydisputesarisingoutoforinconnectionwiththeinvolvementofaThirdPartyshallberesolvedinaccordancewiththeGoverningLawandDisputeResolutionMec
