NOW,THEREFORE,inconsiderationofthemutualcovenantsandpromisescontainedherein,thepartiesheretoagreeasfollows:
1.VesselDescription:Thevesseltobeleased(hereinafterreferredtoasthe"Vessel")isdescribedasfollows:[VesselDescription,includingtype,registrationnumber,tonnage,andotherrelevantinformation].
2.LeaseTerm:Theleasetermshallcommenceonthe______dayof______,20____,andterminateonthe______dayof______,20____(inclusive),unlessotherwiseagreeduponbythepartiesinwriting.
3.Rent:TheLesseeshallpaytotheLessoramonthlyrentof[AmountinCurrency]fortheuseoftheVesselduringtheleaseterm.Therentshallbepaidinadvanceonorbeforethefirstdayofeachmonth.
4.Insurance:TheLessorshallmaintainandkeepinforceatalltimesduringtheleasetermcomprehensiveinsurancecoveragefortheVessel,includingbutnotlimitedtohullinsurance,cargoinsurance,andliabilityinsurance.TheLesseeshallobtainandmaintaininsurancecoverageforitsownrisksandliabilitiesassociatedwiththeuseoftheVessel.
5.MaintenanceandRepair:TheLessorshallberesponsibleforthenecessarymaintenanceandrepairsoftheVessel,exceptforthosecausedbytheLessee'smisuseornegligence.TheLesseeshallpromptlyreportanydefectsordamagetotheLessorupondiscovery.
6.OperationandUsage:TheLesseeshalloperatetheVesselinaccordancewiththelawsandregulationsoftherelevantjurisdictionsandinamannerthatdoesnotcauseharmtotheVesseloritssurroundings.TheLesseeshallnotusetheVesselforanyillegalpurpose.
7.ReturnoftheVessel:Attheexpirationoftheleaseterm,theLesseeshallreturntheVesseltotheLessorinthesameconditionasatthebeginningoftheleaseterm,ordinarywearandtearexcepted.
8.Termination:ThisContractmaybeterminatedbyeitherpartyuponwrittennoticetotheotherparty,providedthatsuchnoticeisgivenatleast[Number]dayspriortotheterminationdate.Intheeventoftermination,theLesseeshallpaytheLessortheproratarentfortheremainingperiodoftheleaseterm.
9.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
10.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterhereof.

b.ThePrincipalLesseeshallbeentitledtoreceiveallproceedsfromtheoperationoftheVessel,excludinganyexpensesorliabilitiesincurredbytheVesselLessorortheThirdParty.
c.ThePrincipalLesseeshallhavetherighttorequestrepairsormaintenanceoftheVessel,subjecttopriorapprovalbytheVesselLessor.
5.ThirdParty'sResponsibilitiesandRights:
a.TheThirdPartyshallactasanintermediarybetweenthePrincipalLesseeandtheVesselLessor,facilitatingtheleaseagreementandprovidingnecessaryservices.
b.TheThirdPartyshallensurethecomplianceofbothpartieswiththetermsandconditionsofthisContract.
c.TheThirdPartyshallbeentitledtoreceiveacommissionforitsservices,asagreeduponbytheparties.
6.VesselLessor'sResponsibilitiesandRights:
a.TheVesselLessorshallprovidethePrincipalLesseewiththeVesselinaseaworthyconditionatthecommencementoftheleaseterm.
b.TheVesselLessorshallmaintainandrepairtheVesselduringtheleaseterm,exceptforthosecausedbythePrincipalLessee'smisuseornegligence.
c.TheVesselLessorshallhavetherighttoterminatethisContractintheeventofthePrincipalLessee'sbreachofthetermsandconditionshereof.
7.PrincipalLessee'sObligations:
a.ThePrincipalLesseeshalloperatetheVesselinaccordancewiththelawsandregulationsoftherelevantjurisdictionsandinamannerthatdoesnotcauseharmtotheVesseloritssurroundings.
b.ThePrincipalLesseeshallpromptlyreportanydefectsordamagetotheVesselLessorupondiscovery.
c.ThePrincipalLesseeshallpaytherentandanyotherchargesdueunderthisContractinatimelymanner.
8.ThirdParty'sObligations:
a.TheThirdPartyshallactingoodfaithandexerciseduediligenceinperformingitsintermediaryservices.
b.TheThirdPartyshallnotdiscloseanyconfidentialinformationobtainedfromeitherpartywithoutpriorwrittenconsent.
c.TheThirdPartyshallnotbeliableforanylossordamagearisingfromthePrincipalLessee'sortheVesselLessor'sbreachofthisContract.
9.VesselLessor'sObligations:
a.TheVesselLessorshallensurethattheVesselisequippedwithallnecessarysafetyandnavigationequipment.
b.TheVesselLessorshallprovidethePrincipalLesseewithallrelevantdocumentationandinformationrequiredfortheoperationoftheVessel.
c.TheVesselLessorshallnotunreasonablywithholdconsenttoanyrepairsormaintenancerequestedbythePrincipalLessee.
10.BreachandLimitations:
a.IntheeventofthePrincipalLessee'sbreachofthisContract,theVesselLessorshallhavetherighttoterminatethisContractandrecoveranydamagessuffered.
b.ThePrincipalLesseeshallnotbeliableforanylossordamagecausedbytheVesselLessor'sortheThirdParty'sbreachofthisContract.
c.TheVesselLessorshallnotbeliableforanylossordamagearisingfromthePrincipalLessee'smisuseornegligenceoftheVessel.
11.GoverningLaw:ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[Jurisdiction].
12.EntireAgreement:ThisContractconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,whetherwrittenororal,relatingtothesubjectmatterhereof.

5.ThirdParty'sResponsibilitiesandRights:
a.TheThirdPartyshallprovideexpertadviceandoversighttothePropertyManagertoensurecompliancewithindustrystandardsandbestpractices.
b.TheThirdPartyshallreviewthePropertyManager'sperformanceandfinancialreports,andproviderecommendationsforimprovement.
c.TheThirdPartyshallhavetherighttoaccessthePropertyanditsrecordsforthepurposeofconductinginspectionsandaudits.
6.PropertyOwner'sResponsibilitiesandRights:
a.ThePropertyOwnershallprovidethePropertyManagerwithallnecessaryinformationandaccesstothePropertytofacilitateeffectivemanagement.
b.ThePropertyOwnershallhavetherighttoapproveanymajordecisionsregardingtheProperty,suchasrenovationsorchangesinrentalrates.
c.ThePropertyOwnershallhavetherighttoterminatethisContractintheeventofthePropertyManager'sbreachofthetermsandconditionshereof.
7.PropertyManager'sObligations:
a.ThePropertyManagershallmaintainthePropertyingoodconditionandensureitssafeandefficientoperation.
b.ThePropertyManagershallkeepaccuraterecordsofallfinancialtransactionsandprovideregularreportstothePropertyOwner.
c.ThePropertyManagershallcomplywithallapplicablelawsandregulationsinthemanagementoftheProperty.
8.ThirdParty'sObligations:
a.TheThirdPartyshallactwithduediligenceandprovideunbiasedadvicetothePropertyManager.
b.TheThirdPartyshallmaintainconfidentialityofallinformationobtainedduringthecourseofitsduties.
