1.SubjectMatteroftheContract

ThesubjectmatterofthisContractshallbethesupplyofbatteriesbyPartyBtoPartyAasspecifiedinSchedule1(hereinafterreferredtoas"theBatteries").

2.QuantityandQualityofBatteries

PartyBshallsupplytheBatteriesinthequantitiesandofthequalityassetforthinSchedule1.Thespecifications,standards,andotherrequirementsfortheBatteriesshallbeasstipulatedintheapplicabletechnicalspecificationsandstandards.

3.DeliveryandShipment

3.1PartyBshalldelivertheBatteriestoPartyAat[DeliveryAddress]within[DeliveryTime]aftertheconclusionofthisContract.

3.2TheBatteriesshallbeshippedby[TransportationMode]to[DestinationPort]inaccordancewiththeprovisionsoftheIncoterms2020.

4.PriceandPayment

5.InspectionandAcceptance

5.2IfPartyAfindsanydefectsordiscrepanciesintheBatteriesuponinspection,PartyAshallnotifyPartyBwithin[InspectionPeriod]afterthedeliveryoftheBatteries.PartyBshallberesponsibleforrectifyingthedefectsordiscrepanciesatitsownexpense.

6.LiabilityandIndemnification

6.1PartyBshallbeliableforanydefectsordiscrepanciesintheBatteriescausedbyitsownfault.Insuchcases,PartyBshallberesponsibleforrepairingorreplacingthedefectiveBatterieswithoutadditionalcharge.

6.2PartyAshallindemnifyPartyBagainstanyclaimsordamagesarisingfromtheimproperuseorhandlingoftheBatteriesbyPartyAoritscustomers.

7.Confidentiality

ThepartiesheretoagreetokeepconfidentialallinformationanddataexchangedbetweenthemduringtheexecutionofthisContract.

8.GoverningLawandDisputeResolution

ThisContractshallbegovernedbyandconstruedinaccordancewiththelawsof[ApplicableLaw].
