1.ScopeofServices

2.TermandDuration

3.Compensation

5.IntellectualProperty

Allintellectualpropertyrights,includingbutnotlimitedtocopyrights,patents,andtrademarks,arisingoutoforinconnectionwiththeconsultingservicesprovidedbytheConsultantshallvestintheConsultant.TheClientshallhaveanon-exclusive,non-transferablelicensetousesuchintellectualpropertyforthepurposesoftheconsultingservices.

6.Termination

ThisAgreementmaybeterminatedbyeitherPartyuponwrittennoticetotheotherParty,providedthatsuchterminationshallbeeffectiveupontheexpirationof[InsertNoticePeriod,e.g.,30days]afterthereceiptofsuchnotice.

7.GoverningLawandJurisdiction

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallbesubjecttotheexclusivejurisdictionofthecourtsof[InsertJurisdiction].

8.EntireAgreement
