Recitals
WHEREAS,theBorrowerisinneedoffundsfor[PurposeofLoan],andtheLenderiswillingtolendtotheBorrowertheprincipalamountof[PrincipalAmount](hereinafterreferredtoas"theLoan");
WHEREAS,theBorroweragreestorepaytheLoantotheLenderinaccordancewiththetermsandconditionssetforthherein;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.LoanAmount
TheLenderagreestolendtotheBorroweranamountof[PrincipalAmount](hereinafterreferredtoas"theLoanAmount").
2.InterestRate
TheinterestrateontheLoanshallbe[InterestRate]perannum,compoundedannually.Theinterestshallbecalculatedandchargedonamonthlybasis,andshallbepayabletotheLenderonthefirstdayofeachmonth.
3.RepaymentSchedule
TheBorroweragreestorepaytheLoaninaccordancewiththefollowingschedule:
a.PrincipalRepayment:TheBorrowershallmakemonthlyprincipalrepaymentsof[MonthlyPrincipalRepaymentAmount]onthefirstdayofeachmonth.
b.InterestPayment:TheBorrowershallmakemonthlyinterestpaymentsof[MonthlyInterestPaymentAmount]onthefirstdayofeachmonth.
c.TotalRepaymentAmount:TheBorrowershallmakeatotalrepaymentof[TotalRepaymentAmount]within[RepaymentPeriod].
4.Default
IntheeventofanydefaultbytheBorrowerunderthisAgreement,includingbutnotlimitedtofailuretomaketimelypaymentsofprincipalandinterest,theLendershallhavetherighttodeclaretheentireoutstandingbalanceoftheLoanimmediatelydueandpayable.
5.Security
AssecurityfortherepaymentoftheLoan,theBorrowerherebygrantstotheLenderafirstpriority,firstmortgageonthepropertydescribedintheattachedExhibitA(hereinafterreferredtoas"theSecurityProperty").
6.GoverningLawandJurisdiction
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].
AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitratorshallbefinalandbindingonbothparties.
7.EntireAgreement
ThisAgreementconstitutestheentireagreementbetweenthepartiesandsupersedesallprioragreements,understandings,andrepresentations,whetheroralorwritten,withrespecttothesubjectmatterhereof.

WHEREAS,theBorrowerisinneedoffundsfor[PurposeofLoan],andtheLenderiswillingtolendtotheBorrowertheprincipalamountof[PrincipalAmount](hereinafterreferredtoas"theLoan");
WHEREAS,theThirdPartyhasagreedtoprovidecertainguaranteesandcollateralfortherepaymentoftheLoan;
WHEREAS,theBorrowerseekstosecureitsinterestsandprotectitsrightsunderthisAgreement;
NOW,THEREFORE,inconsiderationofthemutualcovenantsandagreementscontainedherein,thepartiesheretoagreeasfollows:
1.LoanAmountandTerms

a.InterestRate:TheinterestrateontheLoanshallbe[InterestRate]perannum,compoundedannually.

2.ThirdParty'sObligations

b.Collateral:TheThirdPartyshallprovide[DescriptionofCollateral]assecurityfortherepaymentoftheLoan.
c.ThirdParty'sRights:TheThirdPartyreservestherighttoreceiveanypaymentsmadeontheLoanpriortotheBorrower,intheeventofdefaultorearlyrepayment.
3.Borrower'sRightsandObligations
TheBorrowershallhavethefollowingrightsandobligations:
a.RighttoRepay:TheBorrowerhastherighttorepaytheLoaninfullorinpartatanytimewithoutprepaymentpenalties.
b.InterestRateAdjustment:TheBorrowerreservestherighttorequestareviewandadjustmentoftheinterestrateontheLoanintheeventofchangesinmarketconditions.
c.Default:IntheeventofdefaultbytheBorrower,theBorrowershallbesubjectto[SpecificDefaultPenalties]asagreeduponbytheparties.
4.ThirdParty'sRightsandObligations
TheThirdPartyshallhavethefollowingrightsandobligations:
a.RighttoReceivePayments:TheThirdPartyhastherighttoreceiveanypaymentsmadeontheLoanpriortotheBorrower,intheeventofdefaultorearlyrepayment.
b.RighttoTerminate:TheThirdPartyreservestherighttoterminatethisAgreementiftheBorrowerfailstocomplywiththetermsandconditionsherein.
c.RighttoTerminateCollateral:TheThirdPartymay,atitssolediscretion,terminatetheagreementwithrespecttothecollateraliftheBorrowerfailstomeetitsobligations.
5.LimitationsandRestrictions
TheBorroweragreestothefollowinglimitationsandrestrictions:
a.Borrowershallnot,withoutthepriorwrittenconsentoftheLenderandtheThirdParty,transfer,assign,orencumbertheLoanoranyinterestintheLoan.
b.BorrowershallnotengageinanybusinessactivitiesthatmaynegativelyimpacttheBorrower'sabilitytorepaytheLoan.
c.BorrowershallmaintainthevalueofthecollateralprovidedbytheThirdPartytoensureitsadequacyassecurityfortheLoan.
6.GoverningLawandJurisdiction
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].
AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedthrougharbitrationinaccordancewiththerulesofthe[ArbitrationInstitution],andthedecisionofthearbitratorshallbefinalandbindingonallparties.
7.EntireAgreement

3.Borrower'sRightsandObligations

b.RighttoRepay:TheBorrowerreservestherighttorepaytheLineofCreditinfullorinpartatanytimewithoutprepaymentpenalties.

4.ThirdParty'sRightsandObligations
TheThirdPartyshallhavethefollowingrightsandobligations:
a.RighttoInformation:TheThirdPartyhastherighttoreceiveregularupdatesontheBorrower'suseoftheLineofCreditandanydefaults.
b.RighttoTerminate:TheThirdPartyreservestherighttoterminateitsguaranteeiftheBorrowerdefaultsonitsobligationsunderthisAgreement.
5.LimitationsandRestrictions
TheBorroweragreestothefollowinglimitationsandrestrictions:
a.BorrowershallnotusetheLineofCreditforanyillegalorunauthorizedpurposes.
b.BorrowershallnottransferorassignitsrightsunderthisAgreementwithoutthepriorwrittenconsentoftheLenderandtheThirdParty.
c.BorrowershallmaintainthefinancialhealthofitsoperationstoensuretheabilitytorepaytheLineofCredit.
6.Lender'sRightsandObligations
TheLendershallhavethefollowingrightsandobligations:
a.RighttoMonitor:TheLenderhastherighttomonitortheBorrower'suseoftheLineofCreditandrequestfinancialinformationasneeded.
b.RighttoTerminate:TheLenderreservestherighttoterminatetheLineofCreditiftheBorrowerfailstocomplywiththetermsandconditionsofthisAgreement.
7.GoverningLawandJurisdiction
ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningLaw].
