SCOPEOFSERVICES:

1.TheAgentagreestoactasthePrincipal'sdesignatedpurchasingagentandtopurchasegoodsorservices(hereinafterreferredtoas"theGoods/Services")onbehalfofthePrincipalinaccordancewiththetermsandconditionssetforthinthisContract.

2.ThePrincipalshallprovidetheAgentwithallnecessaryinformation,includingbutnotlimitedtospecifications,quantities,deliverydates,andqualitystandardsfortheGoods/Servicestobepurchased.

3.TheAgentshalluseitsbesteffortstoprocuretheGoods/Servicesatthemostfavorabletermsandconditions,includingpricing,quality,anddeliveryschedules,onbehalfofthePrincipal.

OBLIGATIONSANDRESPONSIBILITIES:

1.ThePrincipalshallpaytheAgentacommissionof__________%ofthetotalvalueoftheGoods/ServicespurchasedunderthisContract,whichshallbedueandpayablewithin__________daysaftertheAgenthasdeliveredtheGoods/ServicestothePrincipal.

TERMANDTERMINATION:

3.UponterminationofthisContract,theAgentshalldelivertothePrincipalallGoods/Servicesthathavebeenpurchasedbutnotyetdelivered,andthePrincipalshallpaytheAgentforsuchGoods/ServicesinaccordancewiththetermsandconditionsofthisContract.

DISPUTERESOLUTION:

1.IntheeventofanydisputearisingoutoforinconnectionwiththisContract,thePartiesshallendeavortoresolvesuchdisputethroughamicablenegotiations.

2.IfthePartiesfailtoresolvethedisputethroughnegotiations,suchdisputeshallbesubmittedtothecompetentcourtof__________forresolution.
