英文版批量采購協(xié)議合同編號：__________parties：Background：WHEREAS,theBuyerdesirestopurchasefromtheSellercertaingoodsinbulkasdescribedinExhibitAattachedhereto(the"Goods");WHEREAS,theSelleriswillingtoselltheGoodstotheBuyeronthetermsandconditionssetforthherein;NOW,THEREFORE,inconsiderationofthemutualpromisescontainedherein,thepartiesheretoagreeasfollows：Article1：Definitions1.1."Agreement"meansthisBulkPurchaseAgreement,includingallexhibitsandschedulesattachedheretoandallamendments,modifications,supplementsandwaiversheretoforeorhereaftermade.1.2."Buyer"meansthepartyidentifiedastheBuyerintheRecitalshereto,anditsaffiliates,successorsandassigns.1.3."Seller"meansthepartyidentifiedastheSellerintheRecitalshereto,anditsaffiliates,successorsandassigns.1.4."Goods"meanstheproductsdescribedinExhibitAattachedhereto,whichshallincludeallspecifications,quantities,pricesandothertermsassetforththerein.1.5."Order"meansanorderforGoodsplacedtheBuyerfromtimetotimeinaccordancewiththetermsofthisAgreement.1.6."DeliveryDate"meansthedatespecifiedintheOrderwhichtheSelleragreestodelivertheGoodstotheBuyer.1.7."Default"meansanydefault,breachorfailuretoperformanyobligationunderthisAgreement.Article2：Orders2.1.TheBuyermaysubmitanOrdertotheSelleratanytimeduringthetermofthisAgreement.EachOrdershallbeinwritingandshallbeeffectiveuponacceptancetheSeller.2.2.TheSellershallpromptlyacknowledgethereceiptofanOrderfromtheBuyerandconfirmthedetailsoftheOrder,includingtheDeliveryDate,inwriting.Article3：PricingandPaymentTerms3.1.ThepricefortheGoodsshallbeassetforthinExhibitAattachedhereto(the"Price").ThePriceshallbeexclusiveofanytaxes,duties,levies,imposts,fees,deductionsorwithholdingsofanynatureimposedanygovernmentalauthorityonthetransactioncontemplatedhere,whichshallbepaidtheBuyer.3.2.TheBuyershallmakepaymentfortheGoodswiretransfertotheSeller'sdesignatedbankaccountwithinthirty(30)daysafterthedateoftheinvoiceissuedtheSeller.3.3.TheSellershallissueaninvoicetotheBuyerfortheGoodsinaccordancewiththetermsofthisAgreement.Article4：DeliveryandInspection4.1.TheSellershalldelivertheGoodstothelocationspecifiedtheBuyerintheOrder(the"DeliveryLocation")onorbeforetheDeliveryDate.4.2.TheBuyershallhavetherighttoinspectandtesttheGoodsupondelivery.IftheGoodsdonotconformtothespecificationssetforthinExhibitA,theBuyershallnotifytheSellerinwritingwithinfive(5)daysafterdelivery.TheSellershall,atitssolediscretion,eitherreplacethenonconformingGoodsorrefundtheBuyerforthenonconformingGoods.Article5：Warranties5.1.TheSellerwarrantsthattheGoodsshallconformtothespecificationssetforthinExhibitAandbefreefromanydefectsinmaterialsandworkmanship.5.2.TheSellerfurtherwarrantsthatithastherighttoselltheGoodstotheBuyerandthatthesaleoftheGoodstotheBuyershallnotinfringeuponanythirdparty'sintellectualpropertyrights.Article6：LimitationofLiability6.1.EXCEPTASOTHERWISEPROVIDEDINTHISAGREEMENT,THESELLERDISCLMSANYANDALLOTHERWARRANTIES,EXPRESSORIMPLIED,INCLUDINGBUTNOTLIMITEDTOWARRANTIESOFMERCHANTABILITYANDFITNESSFORAPARTICULARPURPOSE.6.2.INNOEVENTSHALLTHESELLERBELIABLEFORANYINDIRECT,SPECIAL,CONSEQUENTIAL,P一、附件列表：1.附件A：Goods的詳細描述2.附件B：交付時間表3.附件C：支付條款和條件4.附件D：驗收和測試標準5.附件E：保修條款二、違約行為及認定：1.賣方未能按照訂單確認書或交付日期交付商品，或交付的商品不符合約定規(guī)格。2.賣方未能履行保修義務，如商品存在材料或工藝上的缺陷。3.買方未能在規(guī)定時間內(nèi)支付款項。4.買方未能在規(guī)定時間內(nèi)對商品進行驗收，或驗收后未在規(guī)定時間內(nèi)通知賣方商品不符合約定規(guī)格。5.任何一方違反協(xié)議中的其他條款。三、法律名詞及解釋：1.批量采購協(xié)議：指一方（買方）向另一方（賣方）采購一定數(shù)量的商品，并根據(jù)約定的價格和條件進行交易的協(xié)議。2.訂單：指買方根據(jù)協(xié)議約定的方式，向賣方提出的購買商品的要求。3.交付日期：指賣方根據(jù)訂單約定，向買方交付商品的日期。4.保修：指賣方對所售商品在一定期限內(nèi)，保證其符合約定規(guī)格和質(zhì)量，并對其出現(xiàn)的材料或工藝上的缺陷提供免費維修、更換等服務。5.違約：指任何一方未履行協(xié)議中的約定義務。四、執(zhí)行中遇到的問題及解決辦法：1.商品交付延遲：與賣方溝通，協(xié)商新的交付日期，并根據(jù)實際情況考慮是否給予賣方一定的寬限期。如賣方仍無法按時交付，買方有權(quán)解除合同并要求賣方賠償損失。2.商品不符合約定規(guī)格：買方應立即通知賣方，并說明具體不符合之處。賣方應在規(guī)定時間內(nèi)更換或修復不符合規(guī)格的商品。3.買方未能按時支付：賣方有權(quán)拒絕交付商品，并要求買方支付逾期付款
