ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoasof[InsertDate],byandbetween[InsertBuyer'sName]("Buyer"),acompanyorganizedandexistingunderthelawsof[InsertBuyer'sCountry],witharegisteredaddressat[InsertBuyer'sAddress],and[InsertSeller'sName]("Seller"),acompanyorganizedandexistingunderthelawsof[InsertSeller'sCountry],witharegisteredaddressat[InsertSeller'sAddress].

1.ProductandQuantity

TheBuyeragreestopurchasefromtheSeller,andtheSelleragreestoselltotheBuyer,[InsertProductName](the"Product")inthequantityof[InsertQuantity]units,asmoreparticularlydescribedintheattachedProductSpecifications.

2.Delivery

TheSellershalldelivertheProducttotheBuyer'sdesignatedlocation(the"DeliveryLocation")onorbefore[InsertDeliveryDate].TheProductshallbedeliveredinaccordancewiththeshippingtermssetforthinExhibitAattachedhereto.

3.PriceandPaymentTerms

ThepurchasepricefortheProductshallbe[InsertPrice](the"PurchasePrice").TheBuyershallmakepaymentfortheProductby[InsertPaymentMethod]within[InsertPaymentPeriod]daysafterthedateoftheinvoiceissuedbytheSeller.

4.Warranty

TheSellerwarrantsthattheProductconformstothespecificationssetforthintheattachedProductSpecificationsandisfreefromdefectsinmaterialsandworkmanship.TheSeller'ssoleobligationunderthiswarrantyshallbetoreplaceorrepairanyProductthatisdefectiveordoesnotconformtothespecifications,attheSeller'ssolediscretion,within[InsertWarrantyPeriod]daysafterthedateofdelivery.

5.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.

6.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[InsertGoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[InsertArbitrationInstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

7.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,understandings,negotiations,anddiscussions,whetheroralorwritten,oftheparties.
