5.IntellectualProperty:

Allmaterials,documents,andotherdeliverablespreparedbyConsultantinthecourseofperformingtheservicesshallbethepropertyofClient.Consultantherebyassignsanyandallrights,title,andinterestinsuchmaterialstoClient.

6.Termination:

EitherpartymayterminatethisAgreementbyprovidingwrittennoticetotheotherparty.Intheeventoftermination,Consultantshallbeentitledtopaymentforservicesrendereduptothedateoftermination.

7.GoverningLaw:
