ContractAgreement

ThisContractAgreement(the"Agreement")ismadeandenteredintoonthis__dayof__,20____,byandbetween[Seller'sName],acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[Seller'sAddress](the"Seller"),and[Buyer'sName],acompanyorganizedandexistingunderthelawsof[Country],witharegisteredaddressat[Buyer'sAddress](the"Buyer").

1.ProductandQuantity

TheSelleragreestosell,andtheBuyeragreestobuy,[ProductName](the"Product"),inthequantityspecifiedinExhibitAattachedhereto(the"Order").TheProductshallconformtothespecificationssetforthinExhibitBattachedhereto.

2.Delivery

TheSellershalldelivertheProducttotheBuyer'sdesignatedlocationsetforthinExhibitCattachedhereto(the"DeliveryPoint")onorbeforethedeliverydatespecifiedinExhibitA.TheProductshallbedeemeddeliveredwhentheriskoflossandtitlepassestotheBuyeruponreceiptattheDeliveryPoint.

3.PriceandPaymentTerms

ThepricefortheProductshallbeasspecifiedinExhibitA.TheBuyershallmakepaymentfortheProductbywiretransfertotheSeller'sdesignatedbankaccount,inthecurrencysetforthinExhibitA,within[number]daysafterthedateoftheinvoiceissuedbytheSeller.

4.InspectionandAcceptance

Upondelivery,theBuyershallhavetherighttoinspecttheProducttoconfirmitsconformitywiththespecificationssetforthinExhibitB.IftheProductdoesnotconformtothespecifications,theBuyershallnotifytheSellerinwritingwithin[number]daysafterdelivery,andtheSellershall,atitssolediscretion,eitherreplacethenon-conformingProductorrefundtheBuyerforthenon-conformingProduct.

5.Warranty

TheSellerwarrantsthattheProductshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof[number]monthsfromthedateofdelivery.TheSeller'ssoleobligationunderthiswarrantyshallbe,atitssolediscretion,toreplacethedefectiveProductorrefundtheBuyerforthedefectiveProduct.

6.ForceMajeure

NeitherpartyshallbeliableforanyfailureordelayintheperformanceofitsobligationsunderthisAgreementduetoanycausebeyonditsreasonablecontrol,includingbutnotlimitedtoactsofGod,labordisputes,ordisruptionsintransportation,providedthattheaffectedpartypromptlynotifiestheotherpartyoftheexistenceandnatureofsuchcause.

7.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[Country].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[arbitrationinstitution],andthedecisionofthearbitrator(s)shallbefinalandbindingupontheparties.

8.EntireAgreement

ThisAgreementconstitutestheentireagreementbetweenthepartieswithrespecttothesubjectmatterhereofandsupersedesallprioragreements,negotiations,andunderstandings,whetherwrittenororal.ThisAgreementmaybeamendedormodifiedonlybyawritteninstrumentexecutedbybothparties.
