1.AppointmentandGrantofAuthority

2.ConsignmentofGoods

3.PriceandPaymentTerms

7.Indemnification

TheBrokershallindemnifyandholdthePrincipalharmlessagainstanyclaims,losses,damages,orliabilitiesarisingoutoftheBroker'sbreachofthisAgreementoranynegligentorwillfulactoromissionoftheBroker.

8.GoverningLawandDisputeResolution

ThisAgreementshallbegovernedbyandconstruedinaccordancewiththelawsof[GoverningJurisdiction].AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedbyarbitrationinaccordancewiththerulesofthe[ArbitrationInstitution].

9.EntireAgreement
