1.GoodsandConsignment

5.ObligationsoftheCustomer

TheCustomershall:

a.DisplayandmarkettheGoodsinamannerthatisconsistentwiththeSupplier'sbrandingandqualitystandards.

b.MaintainproperrecordsoftheGoods,includingsales,inventory,andreturns.

c.NotsellordistributetheGoodstoanyunauthorizedthirdparties.

d.IndemnifyandholdtheSupplierharmlessagainstanyclaims,losses,ordamagesarisingfromtheCustomer'sactionsoromissions.

6.ObligationsoftheSupplier

TheSuppliershall:

a.ProvidetheCustomerwithallnecessaryinformationandassistancetoeffectivelymarketandselltheGoods.

b.EnsurethattheGoodscomplywithallapplicablelaws,regulations,andqualitystandards.

c.ReplaceorrefundtheCustomerforanydefectiveordamagedGoods,asperthetermsofthisAgreement.

7.IntellectualProperty

TheSupplierretainsallrights,title,andinterestinandtoanyintellectualpropertyassociatedwiththeGoods.TheCustomershallnotusetheSupplier'strademarks,tradenames,orotherproprietaryrightswithoutthepriorwrittenconsentoftheSupplier.

8.Confidentiality

BothpartiesagreetomaintainstrictconfidentialityregardinganyconfidentialinformationexchangedduringthetermofthisAgreement.Confidentialinformationshallnotbedisclosedtoanythirdpartieswithoutthepriorwrittenconsentoftheotherparty.

9.DisputeResolution

AnydisputesarisingoutoforinconnectionwiththisAgreementshallberesolvedamicablythroughnegotiationsbetweentheparties.Ifanamicableresolutioncannotbereached,thepartiesagreetosubmitthedisputetoarbitrationinaccordancewiththerulesofthe[ApplicableArbitrationInstitution].

10.GoverningLawandJurisdiction
