erp系統(tǒng)購銷合同(2024版)ERPSystemPurchaseandSalesContract(2024Edition)ContractNumber:___________________________EffectiveDate:___________________________Seller(hereinafterreferredtoas"Seller"):___________________________Buyer(hereinafterreferredtoas"Buyer"):___________________________Article1:ContractSubject1.1ThiscontractisenteredintobyandbetweentheSellerandtheBuyerforthepurchaseandsaleofanERP(EnterpriseResourcePlanning)system,includingrelatedsoftware,hardware,andservices.Article2:ProductDescription2.1TheERPsystemtobepurchasedbytheBuyerfromtheSellerincludesthefollowingcomponents:__________(describethesoftwaremodules,hardwarespecifications,andothercomponentsincluded).Article3:SystemConfigurationandCustomization3.1TheSellershallprovidetheERPsystemconfiguredtomeettheBuyer'sspecifiedbusinessrequirements,includinganynecessarycustomizationandintegrationservices.Article4:QuantityandDelivery4.1TheBuyeragreestopurchase,andtheSelleragreestosupply,thequantityofERPsystemlicensesandhardwareasdetailedinthepurchaseorder(Attachment1).4.2DeliveryoftheERPsystem,includingsoftwarelicensesandhardware,shallbeinaccordancewiththescheduleoutlinedintheprojectimplementationplan(Attachment2).Article5:Price5.1ThetotalcontractpricefortheERPsystem,includingsoftwarelicenses,hardware,andservices,shallbe__________(specifytheamountandcurrency).Article6:PaymentTerms6.1TheBuyershallmakepaymentstotheSellerinaccordancewiththepaymentschedulespecifiedinthepurchaseorder.6.2Paymenttermsmayinclude,butarenotlimitedto,adownpayment,milestone-basedpayments,andfinalpaymentuponcompletion.Article7:ImplementationandTraining7.1TheSellershallberesponsiblefortheimplementationoftheERPsystem,ensuringitisfullyoperationalandmeetstheBuyer'srequirements.7.2TheSellershallprovidetrainingtotheBuyer'sstaffaspartoftheservicesincludedinthecontractprice.Article8:Warranty8.1TheSellerwarrantsthattheERPsystemshallbefreefromdefectsinmaterialsandworkmanshipforaperiodof__________(specifywarrantyperiod)fromthedateofdelivery.8.2TheSellershallprovidemaintenanceandsupportservicesduringthewarrantyperiodinaccordancewiththetermsspecifiedintheserviceagreement(Attachment3).Article9:IntellectualPropertyRights9.1TheSellerretainsallintellectualpropertyrightstotheERPsystemsoftwareandrelatedmaterials.9.2TheBuyerisgrantedanon-exclusive,non-transferablelicensetousetheERPsystemsoftwareinaccordancewiththiscontract.Article10:Confidentiality10.1Bothpartiesshallkeepconfidentialanyproprietaryorconfidentialinformationobtainedfromtheotherpartyduringthetermofthiscontract.Article11:ContractModificationandTermination11.1Thiscontractmayonlybemodifiedinwriting,signedbybothparties.11.2Eitherpartymayterminatethiscontractintheeventofamaterialbreachbytheotherparty,subjecttothenoticeandcureperiodspecifiedinthiscontract.Article12:LiabilityforBreachofContract12.1Intheeventofbreachofcontract,thebreachingpartyshallbeliableforanylossesincurredbythenon-breachingparty,subjecttothelimitationsofliabilityspecifiedinthiscontract.Article13:ForceMajeure13.1Neitherpartyshallbeliableforanyfailureordelayinperformingitsobligationsunderthiscontractduetoforcemajeureevents.Article14:DisputeResolution14.1Anydisputesarisingfromtheexecutionofthiscontractshallberesolvedthrougharbitrationinaccordancewiththerulesofthe__________ArbitrationCommission.Article15:ApplicableLaw15.1Thiscontractshallbegovernedbyandconstruedinaccordancewiththelawsof__________.Article16:Notices16.1Allnoticesandcommunicationsunderthiscontractshallbeinwritinganddeliveredtotheaddressesspecifiedinthiscontract.Article17:EntireAgreement17.1Thiscontractconstitutestheentireagreementbetweenthepartiesandsupersedesallpriornegotiations,understandings,andagreements.Seller:___________________________Buyer:___________________________AuthorizedSignatory:___________________________AuthorizedSignatory:___________________________Date:___________________________Attachments:Attachment1:PurchaseOrderAttachment2:ProjectImplementationPlanAttachment3:ServiceAgreementAttachment4:SoftwareLicenseAgreementAttachment5:TrainingandSupportPlanPleasenotethatthiscontractisasampletemplate,andactualuseshouldbeadjustedaccordingtospecificcircumstances,anditisrecommendedtobereviewedbyaprofessionallegalprofessional.Thesecondhalfofthecontractwillbecontinuedinthenextquestion.第十七條附加條款17.1本合同如有未盡事宜，雙方應本著互惠互利的原則，通過友好協(xié)商解決。第十八條合同生效18.1本合同自雙方授權(quán)代表簽字蓋章之日起生效，并在雙方履行完畢各自的權(quán)利和義務后終止。第十九條合同語言和文本19.1本合同以中文和英文兩種文字書寫，兩種文本具有同等法律效力。如兩種文本有差異，以中文文本為準。第二十條附件列表20.1本合同的附件是本合同不可分割的組成部分，與本合同具有同等法律效力。20.2附件列表如下：-附件一：采購訂單詳細條款-附件二：項目實施計劃-附件三：服務協(xié)議-附件四：軟件許可協(xié)議-附件五：培訓和支持計劃-附件六：系統(tǒng)配置和定制化服務說明第二十一條違約行為及認定21.1違約行為包括但不限于：-未按合同約定支付貨款-未按項目實施計劃完成系統(tǒng)部署-違反保密協(xié)議條款-未經(jīng)授權(quán)使用或泄露合同內(nèi)容21.2違約認定應由雙方協(xié)商一致確定，或由仲裁機構(gòu)或法院根據(jù)相關(guān)法律法規(guī)進行判定。第二十二條法律名詞及解釋22.1“ERP系統(tǒng)”指企業(yè)資源計劃系統(tǒng)，是一種集成的信息系統(tǒng)，用于企業(yè)內(nèi)部資源的管理和協(xié)調(diào)。22.2“軟件許可”指甲方授予乙方的、在合同期限內(nèi)按照約定使用軟件的權(quán)利。22.3“服務與支持”指賣方為確保ERP系統(tǒng)正常運行而提供的維護、更新和用戶支持服務。第二十三條執(zhí)行中遇到的問題及解決辦法23.1合同執(zhí)行過程中遇到的問題應首先通過友好協(xié)商解決。23.2若因技術(shù)問題導致項目延期，賣方應負責及時解決并調(diào)整項目實施計劃。23.3若因買方原因?qū)е马椖繜o法按時完成，雙方應協(xié)商確定責任分擔和補救措施。第二十四條所有應用場景24.1本合同適用于以下ERP系統(tǒng)購銷活動場景：-企業(yè)內(nèi)部資源管理信息化升級-企業(yè)業(yè)務流程重組與優(yōu)化-企業(yè)數(shù)據(jù)集成與分析決策支持24.2雙方可以根據(jù)具體ERP系統(tǒng)購銷活動的特點，協(xié)商確定合同的具體條款。附件一：采購訂單詳細條款訂單編號：_______________________產(chǎn)品描述
