eThepartiesagreetocooperateinthefollowingmode:______.6.2DeterminationofCooperationDurationThetermofthisAgreementshallcommenceon______andshallexpireon______.6.3EffectivenessandTerminationofCooperationThecooperationshallbeeffectiveuponthesigningandsealingbybothpartiesandshallterminateupontheexpirationoftheagreedtermoruponmutualagreementoftheparties.Chapter7:MaintenanceandUtilizationofIntellectualProperty7.1ResponsibilitiesforMaintenancePartyAshallberesponsibleforthedailymaintenanceoftheintellectualproperty,includingbutnotlimitedto______.7.2ModesofUtilizationBothpartiesshalljointlydevelopaplanfortheutilizationofintellectualpropertyandutilizeitinaccordancewiththeplan.7.3UpgradesandImprovementsBothpartiesshallregularlyupgradeandimprovetheintellectualpropertybasedonmarketdemandandtechnologicaldevelopment.Chapter8:BenefitDistributionandFinancialSettlement8.1PrinciplesofBenefitDistributionThebenefitsarisingfromtheprotectionofintellectualpropertyshallbedistributedaccordingtothefollowingprinciples:______.8.2MethodsandTimingofFinancialSettlementBothpartiesshallsettlethefinancesbasedonactualearnings,accordingtotheagreedmethodsandtiming.8.3HandlingofSpecialProfitsForspecialprofits,bothpartiesshalldeterminethehandlingmethodbasedontheactualsituation.Chapter9:ConfidentialityClause9.1DefinitionofConfidentialInformationBothpartiesagreethatallinformationdisclosedormadeavailableduringthetermofthisAgreement,whethermarkedasconfidentialornot,shallbeconsideredconfidential.9.2ConfidentialityObligationsandMeasuresEachpartyshalltakeallnecessarymeasurestoprotecttheconfidentialityoftheinformationandshallnotdiscloseittoanythirdpartywithoutthepriorwrittenconsentoftheotherparty.9.3ConfidentialityPeriodandDisclosureTheobligationofconfidentialityshallcontinueforaperiodof______yearsfromthedateofsigningthisAgreementoruntiltheinformationbecomespubliclyavailablethroughnofaultofthereceivingparty.Chapter10:LiabilityforBreachofContract10.1DefinitionofBreachofContractBreachofcontractincludes,butisnotlimitedto,failuretoperformobligationsasstipulatedinthisAgreementorunauthorizeduseofintellectualproperty.10.2LiabilityforBreachofContractThebreachingpartyshallbeliablefordamages,includingbutnotlimitedto,compensationforlossesandpaymentofliquidateddamagesasagreedinthisAgreement.10.3ExemptionClausesandConditionsThebreachingpartymaybeexemptfromliabilityintheeventofforcemajeureorunderotherconditionsspecifiedinthisAgreement.Chapter11:DisputeResolutionMechanism11.1MethodsofDisputeResolutionIntheeventofanydisputearisingoutoforinconnectionwiththisAgreement,thepartiesshallfirstattempttoresolvethedisputethroughfriendlynegotiations.11.2ProceduresforDisputeResolutionIfnegotiationsfail,thedisputeshallbesubmittedtothearbitrationcommissionspecifiedinthisAgreementforarbitrationinaccordancewithitsarbitrationrules.11.3ApplicableLawandArbitrationLocationThearbitrationshallbeconductedinaccordancewiththelawsofthePeople'sRepublicofChina,andthelocationofarbitrationshallbe______.Chapter12:Modification,Renewal,andTerminationoftheAgreement12.1ConditionsandProceduresforModificationAnymodificationtothisAgreementshallbemadeinwritingandshallbecomeeffectiveuponagreementbybothparties.12.2AgreementonRenewalThepartiesmaynegotiatetherenewalofthisAgreement______monthspriortotheexpirationoftheterm.12.3CircumstancesandConsequencesofTerminationThisAgreementmaybeterminatedunderthefollowingcircumstances:______.Upontermination,bothpartiesshallsettleanyoutstandingmattersinaccordancewiththeprovisionsofthisAgreement.Chapter13:SupplementaryProvisions13.1EstablishmentofSupplementaryProvisionsThepartiesmayestablishsupplementaryprovisionsbasedonthespecificcircumstancesofthecooperation.13.2ContentofSupplementaryProvisionsSupplementaryprovisionsmayinclude,butarenotlimitedto,additionalrightsandobligations,specialterms,andconditions.13.3EffectivenessofSupplementaryProvisionsSupplementaryprovisionsshallformanintegralpartofthisAgreementandshallhavethesamelegaleffectasthemainbodyoftheAgreement.Chapter14:SignatureandEffectiveness14.1SignatureSectionPartyA(Seal):______AuthorizedRepresentativeSignature:______PartyB(Seal):______AuthorizedRepresentativeSignature:______14.2DateofSigningThedateofsigningthisAgreementis:__
