1.PurposeandScope

3.SupplyofMaterials

3.12TheSuppliershallensuretimelydeliveryofthematerialsaspertheagreeduponschedule.

3.2Buyer'sObligations:

3.21TheBuyeragreestoinspectandacceptthedeliveredmaterialspromptlyuponreceipt.

3.22TheBuyershallmakepaymentstotheSupplierinaccordancewiththepaymenttermsspecifiedinSection4ofthisAgreement.

4.PaymentTerms

4.1Price:ThepriceforthematerialsshallbeassetforthinExhibitA.

4.2Invoicing:TheSuppliershallinvoicetheBuyerupondeliveryofeachshipmentofmaterials.

4.3Payment:PaymentshallbemadetheBuyerwithin[number]daysfromthedateofinvoice.

5.QualityAssurance

5.1QualityStandards:TheSupplierwarrantsthatallmaterialssuppliedunderthisAgreementshallmeetthequalitystandardsagreedupon.

5.2Inspection:TheBuyerreservestherighttoinspectandrejectmaterialsthatdonotconformtotheagreedspecifications.

6.TermandTermination

6.2Termination:EitherpartymayterminatethisAgreementupon[number]days'writtennoticeiftheotherpartymateriallybreachesanyprovisionofthisAgreement.

7.GoverningLawandDisputeResolution
