英文版購銷合同原理合同編號：__________EffectiveDate:__________LastModified:__________CONFIDENTIALITYNOTICE:ThisAgreementisconfidentialandintendedsolelyfortheuseofthepartieshereto.Itmaynotbecopied,distributed,disclosed,orusedanyoneotherthanthepartiesheretowithoutthepriorwrittenconsentoftheparties.1.DEFINITIONS1.2Products.TheproductstobepurchasedBuyerfromSellerunderthisAgreementaredescribedinExhibitAattachedhereto(the"Products").1.3Orders.BuyermayfromtimetotimeduringtheTermplaceorderswithSellerforthepurchaseofProductsinsuchquantitiesandonsuchtermsasBuyermaydetermine(each,a"Order").2.ORDERSANDSHIPMENTS2.2Shipments.SellershallshiptheProductstothelocationspecifiedBuyerintheOrder.TheProductsshallbeshippedinaccordancewiththeshippinginstructionsprovidedBuyer.2.3TitleandRiskofLoss.TitletotheProductsshallpasstoBuyerupondeliverytothelocationspecifiedintheOrder.RiskoflossshallpasstoBuyerupondeliveryoftheProductstothecarrierdesignatedBuyer.3.PRICEANDPAYMENT3.1Price.ThepricefortheProductsshallbeassetforthintheOrder.Thepriceshallbeexclusiveofalltaxes,duties,andothersimilarcharges,whichshallbethesoleresponsibilityofBuyer.3.2Payment.BuyershallmakepaymentfortheProductsinaccordancewiththepaymenttermssetforthintheOrder.Paymentshallbemadewiretransfer,bankdraft,orsuchothermeansasthepartiesmayagree.4.WARRANTY4.1SellerWarranty.SellerwarrantsthattheProductsconformtothespecificationssetforthintheOrderandarefreefromdefectsinmaterialsandworkmanship.TheforegoingwarrantyshallnotapplytoanyProductsthathavebeenalteredormodifiedBuyeroranythirdparty.4.2Remedy.IftheProductsdonotconformtotheforegoingwarranty,BuyershallnotifySellerinwritingwithinareasonableperiodoftimeafterdiscoveryofthenonconformity.Sellershall,atitssoleoption,eitherreplacethenonconformingProductsorrefundthepurchasepriceforsuchProducts.5.LIMITATIONOFLIABILITY5.1INNOEVENTSHALLSELLERBELIABLEUNDERTHISAGREEMENTFORANYINDIRECT,INCIDENTAL,CONSEQUENTIAL,SPECIAL,ORPUNITIVEDAMAGES,INCLUDINGBUTNOTLIMITEDTOLOSTPROFITS,LOSTSAVINGS,ORLOSSOFGOODWILL,ARISINGOUTOFORRELATEDTOTHISAGREEMENT,WHETHERSUCHCLMISBASEDONBREACHOFCONTRACT,TORT(INCLUDINGNEGLIGENCE),STRICTLIABILITY,OROTHERWISE,EVENIFSELLERHASBEENADVISEDOFTHEPOSSIBILITYOFSUCHDAMAGES.SELLER'SAGGREGATELIABILITYUNDERTHISAGREEMENTSHALLBELIMITEDTOTHEAMOUNTPDBYBUYERTOSELLERFORTHEPRODUCTSGIVINGRISETOTHECLM.6.TERMINATION6.1TerminationforConvenience.eitherpartymayterminatethisAgreementuponwrittennoticetotheotherparty.6.2TerminationforCause.eitherpartymayterminatethisAgreementimmediatelyuponwrittennoticetotheotherpartyiftheotherpartybreachesthisAgreementandfailstocuresuchbreachwithin__________daysafterreceiptofwrittennoticethereoffromtheterminatingparty.7.GEN一、附件列表：ExhibitA:DescriptionofProducts二、違約行為及認(rèn)定：FailureofeitherpartytoperformitsobligationsunderthisAgreement.breachofconfidentialityprovisionsofthisAgreement.failuretomeetthedeliveryscheduleasspecifiedintheOrder.failuretoconformtheProductstothespecificationssetforthintheOrder.anyothermaterialbreachofthisAgreement.三、法律名詞及解釋：Agreement:ThisContractistheentireagreementbetweentheparties,supersedingallprioragreements,representations,andunderstandings.EffectiveDate:ThedateonwhichthisAgreementisenteredintobothparties.Products:ThegoodsorservicesthatarethesubjectofthepurchaseunderthisAgreement.Orders:ThepurchaseordersplacedtheBuyerwiththeSellerfortheProducts.Terms:ThetermofthisAgreementduringwhichtheBuyermayplaceOrderswiththeSeller.四、執(zhí)行中遇到的問題及解決辦法：Deliverydelays:SellershouldprovideupdatesonthestatusoftheshipmentandworkwithBuyertofindanalternativedeliverydate.Productnonconformity:BuyershouldnotifySellerinwritingwithinareasonableperiodoftimeafterdiscoveryofthenonconformity,andSellershouldreplacethenonconformingProductsorrefundthepurchaseprice.Breachofcontract:Incaseofabreachofcontracteitherparty,thenonbreachingpartymayterm
