一般物品采購合同樣式合同編號：__________parties1.1supplier1.2purchaseragreement2.1thisagreement(the"agreement")ismadeandenteredintoasof__________(the"effectivedate"),andbetween1.1and1.2(collectively,the"parties").2.2thepartiesagreeasfollows:articles3.1scopeofsupply3.1.1thesupplieragreestosell,supplyanddelivertothepurchaser,andthepurchaseragreestobuy,acceptandtakedeliveryofthegoods(asdefinedinarticle3.2)specifiedinthescheduleattachedhereto(the"schedule")inaccordancewiththetermsandconditionssetforthinthisagreement.3.2descriptionofgoods3.2.1thegoodsshallconformtothedescriptionandspecificationssetforthintheschedule.thesupplierrepresentsandwarrantsthatthegoodsareofgoodquality,fitfortheintendedpurposeandfreefromanyliensandencumbrances.3.3quantitiesanddelivery3.4inspectionandrejection3.4.1thepurchasershallhavetherighttoinspectandtestthegoodswithinareasonabletimeafterdelivery.ifthegoodsdonotconformtothedescriptionandspecificationssetforthintheschedule,thepurchasermay,atitssolediscretion,either:(a)requirethesuppliertoreplaceorrepairthenonconforminggoodsatthesupplier'ssolecostandexpense;or(b)returnthenonconforminggoodstothesupplierandreceiveafullrefundofthepurchasepricepaidthepurchaserforsuchnonconforminggoods.payment4.1price4.1.1thepriceforthegoodsshallbeassetforthintheschedule.thepriceisfirmandnonnegotiable.4.2paymentterms4.2.1thepurchasershallmakepaymentforthegoodstothesupplierwithin30daysafterthedateofthesupplier'sinvoice.paymentshallbemadeintheformofcash,banktransferorothermutuallyagreeablepaymentmethod.4.3interest4.3.1ifthepurchaserfailstomakeanypaymentwhendue,thesuppliershallhavetherighttochargeinterestontheoutstandingamountattherateof1.5%perannum,orsuchotherrateasmaybeagreedthepartiesfromtimetotime,calculatedfromtheduedateuntilthedateofpayment.deliveryandriskofloss5.1delivery5.1.1thesuppliershallberesponsibleforthedeliveryofthegoodstothedeliverylocation.thesuppliershallnotifythepurchaserinwritingofthescheduleddeliverydateandtimeatleast7daysinadvance.5.2riskofloss5.2.1riskoflossordamagetothegoodsshallpasstothepurchaserupondelivery.warranty6.1thesupplierrepresentsandwarrantsthatthegoodsarefreefromanydefectsinmaterialsandworkmanshipandarefitfortheintendedpurpose.thesupplier'ssoleandexclusiveliabilityforanybreachofthiswarrantyshallbelimitedtothereplacementorrepairofthenonconforminggoods,ortherefundofthepurchasepriceforsuchnonconforminggoods,asprovidedinarticle3.4.confidentiality7.1thepartiesagreetomaintaintheconfidentialityofthetermsandconditionsofthisagreement,exceptasmayberequiredlaworregulation.termination8.1eitherpartymayterminatethisagreementuponwrittennoticetotheotherpartyiftheotherpartybreachesanymaterialtermorconditionofthisagreementandfailstocuresuchbreachwithin30daysafterreceiptofwrittennoticefromtheterminatingparty.general9.1notice9.2assignment9.2.1neitherpartymayassignanyofitsrightsorobligationsunderthisagreementwithoutthepriorwrittenconsentoftheotherparty.9.3severability9.4governinglawanddisputeresolution9.4.一、附件列表：附件1：商品描述和規(guī)格說明書附件2：時間表（包括交貨日期和數(shù)量）附件3：供應(yīng)商的發(fā)票附件4：購買者的支付證明二、違約行為及認(rèn)定：供應(yīng)商未能在約定時間內(nèi)交付指定數(shù)量的商品供應(yīng)商交付的商品與描述和規(guī)格不符購買者未能在約定的付款期限內(nèi)支付款項任何一方未經(jīng)對方書面同意，違反本合同的任何條款和條件三、法律名詞及解釋：供應(yīng)商：指合同1.1方，負(fù)責(zé)提供商品的一方購買者：指合同1.2方，負(fù)責(zé)購買商品的一方交貨地點(diǎn)：指購買者指定的商品交付地點(diǎn)違約：指未能履行合同中的任何條款或條件損害賠償：指因違約行為導(dǎo)致的直接經(jīng)濟(jì)損失四、執(zhí)行中遇到的問題及解決辦法：問題：供應(yīng)商未能按時交付商品解決辦法：與供應(yīng)商協(xié)商，要求延遲交付或提供替代商品問題：交付的商品與描述和規(guī)格不符解決辦法：根據(jù)合同3.4條款，要求供應(yīng)商更換或修理非符合商品
