_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______|________________|_______|_______第二部分:第三方介入后的修正一、第三方定義在本合同中,第三方是指除甲乙雙方以外的任何個(gè)人、法人或其他組織,包括但不限于中介方、監(jiān)理方、檢測(cè)機(jī)構(gòu)、材料供應(yīng)商、設(shè)備供應(yīng)商等。二、第三方介入的情形1.中介方:在合同履行過程中,甲乙雙方可約定引入中介方協(xié)助合同履行,包括但不限于協(xié)調(diào)雙方關(guān)系、提供咨詢服務(wù)、協(xié)助合同履行監(jiān)督等。2.監(jiān)理方:為保證維修與改造工程的質(zhì)量和進(jìn)度,甲乙雙方可引入監(jiān)理方對(duì)工程進(jìn)行監(jiān)督管理。3.檢測(cè)機(jī)構(gòu):為確保維修與改造工程所用材料、設(shè)備符合國(guó)家標(biāo)準(zhǔn),甲乙雙方可引入檢測(cè)機(jī)構(gòu)對(duì)材料、設(shè)備進(jìn)行檢測(cè)。4.材料供應(yīng)商:在合同履行過程中,甲乙雙方可能需要引入材料供應(yīng)商提供工程所需的材料。5.設(shè)備供應(yīng)商:在合同履行過程中,甲乙雙方可能需要引入設(shè)備供應(yīng)商提供工程所需的設(shè)備。三、第三方責(zé)任限額1.第三方責(zé)任限額:第三方在本合同項(xiàng)下承擔(dān)的責(zé)任,不得超過其在本合同項(xiàng)下應(yīng)承擔(dān)的義務(wù)。2.第三方責(zé)任免除:因不可抗力等原因?qū)е碌谌綗o(wú)法履行其在本合同項(xiàng)下的義務(wù),第三方不承擔(dān)違約責(zé)任。3.第三方責(zé)任承擔(dān):第三方在履行本合同過程中,因故意或重大過失造成甲乙雙方損失的,應(yīng)承擔(dān)相應(yīng)的賠償責(zé)任。四、第三方責(zé)權(quán)利界定1.責(zé)任:第三方應(yīng)按照本合同約定和法律法規(guī)的要求,履行其在合同項(xiàng)下的義務(wù)。2.權(quán)利:第三方有權(quán)獲得甲乙雙方按照本合同約定支付的費(fèi)用和報(bào)酬。3.限制:第三方不得利用其在合同項(xiàng)下的地位和權(quán)利,損害甲乙雙方的合法權(quán)益。五、第三方與其他各方的劃分說明1.職責(zé)劃分:第三方在本合同項(xiàng)下的職責(zé),由甲乙雙方在合同中明確約定。2.責(zé)任劃分:第三方在本合同項(xiàng)下的責(zé)任,由甲乙雙方在合同中明確約定。3.爭(zhēng)議解決:第三方與其他各方在履行本合同過程中發(fā)生的爭(zhēng)議,應(yīng)友好協(xié)商解決;協(xié)商不成的,任何一方均可向合同簽訂地人民法院提起訴訟。六、第三方介入的流程1.約定:甲乙雙方在本合同中約定第三方介入的具體事項(xiàng)。2.引入:甲乙雙方共同邀請(qǐng)第三方介入,并簽訂相應(yīng)的合作協(xié)議。3.協(xié)同:甲乙雙方與第三方在合同履行過程中,應(yīng)保持密切溝通,共同推進(jìn)工程進(jìn)度。4.驗(yàn)收:第三方在工程完成后,應(yīng)按照本合同約定,對(duì)工程進(jìn)行驗(yàn)收。5.付款:甲乙雙方按照本合同約定,向第三方支付費(fèi)用。七、第三方介入的變更1.任何一方要求變更第三方,應(yīng)提前____個(gè)工作日書面通知對(duì)方,并經(jīng)對(duì)方同意。2.變更第三方后,原第三方與本合同項(xiàng)下的權(quán)利義務(wù)關(guān)系終止,新第三方應(yīng)按照本合同約定履行相應(yīng)義務(wù)。八、第三方介入的終止1.第三方在本合同項(xiàng)下履行完畢后,其與甲乙雙方的權(quán)利義務(wù)關(guān)系終止。2.第三方在合同履行過程中,因故無(wú)法繼續(xù)履行其在本合同項(xiàng)下的義務(wù),應(yīng)提前____個(gè)工作日書面通知甲乙雙方,并經(jīng)甲乙雙方同意后,方可終止其在本合同項(xiàng)下的義務(wù)。3.第三方在本合同項(xiàng)下發(fā)生違約行為,甲乙雙方有權(quán)終止其在本合同項(xiàng)下的義務(wù)。九、保密條款1.第三方對(duì)本合同內(nèi)容及維修與改造過程中的技術(shù)資料、商業(yè)秘密負(fù)有保密義務(wù),未經(jīng)甲乙雙方同意,不得向任何第三方泄露。2.保密期限自本合同簽訂之日起至合同終止后____年止。3.第三方違反保密條款,應(yīng)承擔(dān)相應(yīng)的法律責(zé)
