社會(huì)責(zé)任協(xié)議書(shū)SocialResponsibilityAgreement密級(jí):C級(jí)ClassifiedLevel:LevelCXXX有限公司是一家根據(jù)中華人民共和國(guó)法律設(shè)立并存續(xù)的公司,營(yíng)業(yè)地址位于中國(guó)廣東省惠州XXX,郵編516006(以下簡(jiǎn)稱為【“買方”】)。[XXXTechnologyCo.,Ltd.]isacompanyestablishedandexistingunderthelawsofthePeople’sRepublicofChina.Thecompanyislocatedin[ZhongkaiHigh-techDevelopmentZoneNo.37,Huizhou,GuangdongProvince,ZipCode:516006](hereinafterreferredtoas["Buyer")"]).【】是一家根據(jù)中華人民共和國(guó)法律設(shè)立并存續(xù)的公司,營(yíng)業(yè)地址位于【】(以下簡(jiǎn)稱為【“供方”】)。[]isacompanyestablishedandexistingunderthelawsofthePeople’sRepublicofChina.Thecompanyislocatedin[](hereinafterreferredtoas["Supplier")"]).根據(jù)具體情況,買方和供方合稱時(shí)稱為“雙方”,單指時(shí)稱為“一方”。Accordingtospecificcircumstances,thebuyerandthesupplierarecollectivelyreferredtoas"bothparties",andwhenreferredtosolelyas"oneparty".本協(xié)議經(jīng)雙方簽署后于【】年【】月【】日(“生效日期”)起生效。若本協(xié)議最后簽署日期晚于此處約定的“生效日期”,雙方確認(rèn)本《供應(yīng)商企業(yè)社會(huì)責(zé)任協(xié)議》的效力可追溯至此處約定的“生效日期”。Thisagreementwilltakeeffecton[]year[]month[]day("EffectiveDate")afterbeingsignedbybothparties.Ifthelastsigningdateofthisagreementislaterthanthe"effectivedate"agreedhere,bothpartiesconfirmthatthevalidityofthis"SupplierCorporateSocialResponsibilityAgreement"canbetracedtothe"effectivedate"agreedhere.鑒于本協(xié)議旨在明確買方對(duì)供方的CSR管理要求,確保供方采用符合社會(huì)責(zé)任的方式生產(chǎn)產(chǎn)品或提供服務(wù),促進(jìn)產(chǎn)業(yè)鏈可持續(xù)發(fā)展,因此,基于雙方充分認(rèn)同在本協(xié)議中提出的約定、前提,并基于下文所述的陳述、保證、約定、條件以及承諾且雙方同意接受法律約束的前提下,訂約雙方協(xié)議如下:Thepurposeofthisagreementistodefinetherequirementofbuyer'sCSRmanagementtothesupplier,ensuringthesupplieradoptsthemannersconformantwithsocialresponsibilityrequirementstoproduce,offerserviceandpromotethesustainabledevelopmenttothesupplierchain.Therefore,basedonthefullrecognitionfrombothpartiesonthetermsandpremiseproposedinthisagreement,andaccordingtothefollowingstatements,guarantees,agreements,conditionsandpromisesandonthepremisebothpartiesagreetobeboundbylaw,thetwopartiesagreethefollowings:CSR:企業(yè)社會(huì)責(zé)任,包括環(huán)保要求,健康和安全要求,工人權(quán)利,商業(yè)道德及管理體系等。CSR:CorporationSocialResponsibility,includingrequirementsofenvironmental
protection,healthandsafety,labors’right,commercialethicsandmanagementsystemetc.童工:年齡15歲以下勞工。如當(dāng)?shù)胤梢?guī)定最低工作年齡在15歲以上,則以該更大年齡為準(zhǔn)。如果當(dāng)?shù)胤梢?guī)定最低工作年齡為14歲以上,并且符合國(guó)際勞工組織138號(hào)公約中關(guān)于發(fā)展中國(guó)家的特例準(zhǔn)則,則以該更小年齡為準(zhǔn)。中華人民共和國(guó)規(guī)定童工年齡是小于16歲。Childlabourer:Anyoneunder15yearsold.Iftheminimumworkingagestipulatedbylocallawis15yearsoldorolder,theolderageshallprevail.Iftheminimumworkingagestipulatedbylocallawis14yearsoldorolderanditmeetstheexceptionfordevelopingcountryof138convention,InternationalLaborOrganization,theyoungerageshallprevail.ThelawofPeople’sRepublicofChinastipulatesthatthechildlabor’sageislessthan16yearsold供方應(yīng)根據(jù)國(guó)家法律建立和維持童工補(bǔ)救程序,并有效地傳達(dá)給他們直到超過(guò)法律規(guī)定最小工作年齡為止。Buyershallestablishandmaintainchildlaborremediationsystemaccordingtothenationallaw,andactivelycommunicatetothemuntiltheyexceedtheminimumworkingagerequiredbylocallaw.強(qiáng)迫或強(qiáng)制性勞動(dòng)ForcedorCompulsoryLabor供方不得使用或支持使用強(qiáng)迫或強(qiáng)制性勞動(dòng),供方不得使用監(jiān)獄勞工、抵債勞工、強(qiáng)迫勞工或其他形式的非自愿勞工,不得使用監(jiān)獄或類似機(jī)構(gòu)作為供應(yīng)商或分包商,也不得要求員工在受雇時(shí)交納“押金”或寄存身份證件。Supplierisnotallowedtouseorsupportforcedorcompulsorylaborlikeprisonlabor,bondedlabor,forcedlabororanykindofinvoluntarylabor.Vendororcontractorsuchasprisonandsimilarorganizationarenotallowed.NomoneyguaranteeorIDcarddeposittoemployeesduringtheemployment.供方不得扣留工人的部分工資、福利、財(cái)產(chǎn)或證件,以迫使員工為其連續(xù)工作。Suppliershallnotwithholdpartofwages,welfares,propertiesorIDcardtoforceemployeestowork.供方員工有權(quán)在完成標(biāo)準(zhǔn)的工作時(shí)間后離開(kāi)工作場(chǎng)所。EmployeesofSupplierhaverightstoleaveworkplaceafterstandardworkisdone.工作時(shí)間與休息Workinghourandrest供方應(yīng)遵守適用的法律及行業(yè)標(biāo)準(zhǔn)中有關(guān)工作時(shí)間和休息的規(guī)定。Suppliershallcomplywithrelatedlawandindustrystandardregardingworkinghourandrest.供方無(wú)論采用計(jì)時(shí)、計(jì)件或當(dāng)?shù)胤ㄒ?guī)認(rèn)可的綜合工時(shí)制,應(yīng)保留準(zhǔn)確的工作時(shí)間記錄。Supplierkeepsaccuraterecordsaboutworkinghour,nomatterbythemeansoftimerate,piecerateoranyothercomprehensiveworkinghourapprovedbylocallaw.供方應(yīng)建立有效的加班控制機(jī)制,確保員工加班是自愿的,確保員工身心健康。Suppliershallestablisheffectiveovertimecontrolsystemtoensureovertimeworkingisvoluntaryandemployeesarehealthyinbodyandmind.基本工資保證與社會(huì)保險(xiǎn)Guaranteetobasicwageandsocialinsurance供方支付的工資應(yīng)至少達(dá)到當(dāng)?shù)卣蛐袠I(yè)規(guī)定的最低工資標(biāo)準(zhǔn),提供國(guó)家法律規(guī)定的福利。Supplierpaysemployeeawagenotlowerthanloweststandardoflocalgovernmentorindustrystandard,andprovideswelfarestipulatedbynationallaw.供方應(yīng)按照法律規(guī)定的要求支付加班工資。Suppliershallpayovertimerateaccordingtolaw.在雇用員工時(shí),供方應(yīng)事先以易懂的書(shū)面形式規(guī)定其工作條件、工資待遇,以及發(fā)放工資的周期。不能以克扣工資作為懲罰措施,任何款項(xiàng)的扣除應(yīng)讓員工清楚。Whenrecruitingemployee,Suppliershallprovidelucidinstructiontoworkingconditions,wagestandardandpaydayinwrittendocumentinadvance.Nopunishmentlikewagereductionisallowed.Anywagedeductionshallbefullyinformedtotheemployee.工資發(fā)放時(shí)間按照當(dāng)?shù)卣ㄒ?guī)操作,不得拖欠或延遲。Paytimeshallbemadeaccordingtolawoflocalgovernmentwithoutdefaultordelay.供方應(yīng)依法為員工提供社會(huì)保險(xiǎn),包括工傷保險(xiǎn),并依法繳納相應(yīng)的保險(xiǎn)費(fèi)。Suppliershallprovidesocialinsuranceonbasicoflaw,includingemploymentinjuryinsurance,andcostistobepaidbySupplier.建立保障員工權(quán)益制度Setupproceduretoemployees’rights.供方應(yīng)依法建立保障員工權(quán)益的規(guī)章制度,包括工作時(shí)間、休息休假。Accordingtolaw,Suppliershallsetupproceduretotoprotectemployees’rights,includingworkinghour,restandvacation.工資支付、勞動(dòng)紀(jì)律、辭退等事項(xiàng),并將這些制度通過(guò)適當(dāng)方式公示,員工能隨時(shí)查閱到。Setupinstructionsonwagepayment,labordiscipline,dismissalandsoon.Suchinstructionsshallbeshowntopublicinpropermannersandcanbereadbyemployeesatanymoment.供方應(yīng)建立勞動(dòng)安全衛(wèi)生制度,嚴(yán)格執(zhí)行當(dāng)?shù)貏趧?dòng)安全衛(wèi)生規(guī)程和標(biāo)準(zhǔn),進(jìn)行勞動(dòng)安全衛(wèi)生教育,防止勞動(dòng)過(guò)程中的事故,減少職業(yè)危害。Suppliershallestablishlaborsafety
and
health
regulations,strictlyobeylocalregulationandstandardonlaborsafetyandhealth,preventaccidentfromhappeningduringworking,reduceoccupational
healthhazards.勞動(dòng)合同Laborcontract供方應(yīng)與員工簽訂勞動(dòng)合同,勞動(dòng)合同的訂立和變更應(yīng)遵循平等自愿、協(xié)商一致的原則,不得違反法律、行政法規(guī)的規(guī)定。Suppliershallsignlaborcontractwithitsemployees.Signingandmodificationofthiscontractshouldfollowtheprinciplesofequality、mutualagreement,andshallnotviolatetheprovisionsoflawsandadministrativeregulations.供方應(yīng)依據(jù)法律規(guī)定解除員工勞動(dòng)合同,并且按照法律規(guī)定提前書(shū)面通知和補(bǔ)償當(dāng)事人。Terminationoflaborcontractshallbedoneinaccordancewithlawsandregulations.Employeeshallbeinformedinadvancewithwrittennotificationandcompensationshallbemadeonbasicoflawsandregulations.未成年工和女職工保護(hù)Protectiontounderageemployeeandfemaleemployee供方應(yīng)建立適當(dāng)?shù)臋C(jī)制來(lái)驗(yàn)證勞工的年齡。Suppliershallestablishappropriatemechanismtoidentifytheageofemployees.供方可以根據(jù)需要聘用未成年工,但應(yīng)按照法規(guī)要求進(jìn)行勞動(dòng)保護(hù),包括但不限于如:不得安排未成年工從事有毒有害崗位中工作、不能安排未成年工上夜班等。Anyunderageemployeehiredbysuppliershallbeprotectedonthebasicoflaw,includingbutnotlimitedto:nounderageemployeeassignedtohazardousjob,nonightshifttounderageemployee.除當(dāng)?shù)匾?guī)定的不適合婦女的工種或者崗位外,婦女享有與男子平等就業(yè)的機(jī)會(huì)。Womenhaveequaljobopportunitywithmeninemployment,exceptforjobsorpositionsunsuitableforwomenasregulatedbylocallaws.供方應(yīng)禁止安排女職工從事當(dāng)?shù)匾?guī)定的禁忌勞動(dòng),禁止安排女職工在經(jīng)期或懷孕期間從事高處、低溫、冷水作業(yè)和當(dāng)?shù)胤梢?guī)定的其他禁忌勞動(dòng)。Supplierisnotallowedtoassignfemaleworkerstoengageintabooworkasstipulatedbylocalregulations,norengageinhigh-altitude,low-temperature,cold-waterworkandothertabooworkasstipulatedbylocallawsduringmenstruationorpregnancy.供方應(yīng)禁止安排女職工在哺乳未滿一周歲的嬰兒期間從事當(dāng)?shù)匾?guī)定的禁忌勞動(dòng)、安排延長(zhǎng)工作時(shí)間或者夜班勞動(dòng)。Supplierisnotallowedtoarrangefemaleworkerstoengageintabooworkstipulatedlocalregulations,norextendworkinghoursornightworkduringtheperiodofbreast-feedinginfantslessthanoneyearold.懲戒措施Punishment供方應(yīng)對(duì)所有人員予以尊嚴(yán)及尊重,不得從事或支持體罰、精神或肉體脅迫、性別暴力、性虐待及言語(yǔ)侮辱,也不得以粗暴、非人道的方式對(duì)待員工。Suppliershalltreatallemployeeswithdignityandrespect,shallnottreatemployeeswithcorporalpunishment,mentalorphysicalcoercion,gender-basedviolence,sexualabuseandverbalabuse,andshallnottreatemployeesinarudeorinhumanmanner.不能有歧視制度與行為Nodiscriminationregulationorbehavior在涉及聘用、報(bào)酬、培訓(xùn)機(jī)會(huì)、升遷、解職或退休等事項(xiàng)上,供方不得從事或支持基于種族、國(guó)籍、宗教、身體殘疾、性別、婚姻狀況、政治歸屬或年齡等因素上的歧視制度與行為。Suppliershallnotengageinorsupportdiscriminatorysystemsandpracticesbasedonrace,nationality,religion,physicaldisability,sex,maritalstatus,politicalaffiliationorageinmattersrelatingtoemployment,remuneration,trainingopportunities,promotion,dismissalorretirement.供方應(yīng)尊重不同種族和不同宗教信仰的員工,并在習(xí)俗上提供必要方便和條件。Suppliershallrespectemployeesofdifferentracesandreligionsandprovidenecessaryconvenienceandconditionsincustoms.供方不能允許在工作場(chǎng)所、由其提供或管理的住所和其他場(chǎng)所內(nèi)進(jìn)行任何威脅、虐待、剝削的行為及強(qiáng)迫性的性侵?jǐn)_行為,包括姿勢(shì)、語(yǔ)言和身體的接觸。TheSuppliershallnotallowanyactofthreat,abuse,exploitationandforcedsexualharassment,includingposture,languageandphysicalcontact,intheworkplace,intheshelterprovidedormanagedbytheSupplierandinotherplaces.在任何情況下,供方不得要求員工做懷孕或童貞測(cè)試。UndernocircumstancesshalltheSupplierrequiretheemployeetoundergopregnancyorvirginitytests.尊重員工結(jié)社自由和平等協(xié)商的權(quán)利Respectemployeestherightoffreedomofassociationandequalconsultation供方應(yīng)有能夠代表和維護(hù)員工的合法權(quán)益并能依法獨(dú)立開(kāi)展活動(dòng)的組織(如:工會(huì)、職代會(huì)、俱樂(lè)部和其他溝通管道)。Suppliershallhavesubordinateorganizationwhichisabletorepresentandprotectthelegitimaterightsandinterestsofemployeesandindependentlycarryoutactivitiesaccordingtolaw(suchastradeunions,laborcongresses,clubsandothercommunicationchannels).員工有權(quán)依照法律規(guī)定,通過(guò)職工大會(huì)、職工代表或者其它形式參與民主管理和平等協(xié)商。Employeesshallhavetherighttojoinindemocraticmanagementandequalconsultationthroughworkers'congress,staffrepresentativesorotherformsinaccordancewithlaws.供方應(yīng)保證參加工人組織的人員及工人代表不會(huì)因?yàn)楣?huì)成員或參與工會(huì)活動(dòng)而受到歧視、騷擾、脅迫或報(bào)復(fù),員工代表可在工作地點(diǎn)與其所代表的員工保持接觸。Suppliershallensurethatpersonnelparticipatinginworkers'organizationsandworkers'representativeswillnotbediscriminated,harassed,coercedorretaliatedbyreasonofunionmembershiporparticipationinunionactivities,andthatemployeerepresentativesmaymaintaincontactwiththeemployeestheyrepresentattheworkplace.
禁止任何媒體危機(jī)和嚴(yán)重的群體性事件,包括非正常死亡(自殺、他殺、墜樓、猝死等)、集體勞資糾紛或罷工、群體性打架斗毆、集體中毒或其他群死群傷事件。Itisprohibitedtohaveanymediacrisisandseriousmassincidents,includingunnaturaldeaths(suicide,homicide,fallingfrombuildings,suddendeath,etc.),collectivelabordisputesorstrikes,massbrawls,masspoisoningorothermassdeathsandinjuries.健康和安全要求HealthandsafetyRequirement供方應(yīng)提供安全健康的工作環(huán)境,關(guān)注行業(yè)安全知識(shí)和具體的安全隱患。通過(guò)切實(shí)可行的措施減少工作過(guò)程和工作環(huán)境中的安全隱患,采取充分措施防止事故或人身傷害。Suppliershallprovideasafeandhealthyworkingenvironment,andpayattentiontotheindustrysafetyknowledgeandspecificsafetyhazards.Reducesafetyhazardsinworkingprocessandtheworkingenvironmentthroughpracticalmeasures,andtakepropermeasurestopreventaccidentsorpersonalinjuries.員工應(yīng)得到適當(dāng)而充分的健康和安全培訓(xùn),以便他們能充分認(rèn)識(shí)到與工作過(guò)程和工作環(huán)境有關(guān)的危險(xiǎn)因素,以及如何最大限度地降低危險(xiǎn)。Employeesshouldreceiveappropriateandadequatehealthandsafetytraining,sothattheyarefullyawareoftheriskfactorsrelatedtotheworkingprocessandworkingenvironmentandhowtominimizerisks.供方應(yīng)建立檢測(cè)、防范及應(yīng)付可能危害員工健康與安全的一套機(jī)制并且例行化執(zhí)行。Suppliershallestablishandroutinelyimplementasystemfordetecting,preventingandrespondingtopotentialhazardstoemployeehealthandsafety.供方應(yīng)提供符合當(dāng)?shù)匾?guī)定的勞動(dòng)防護(hù)用品,對(duì)從事有職業(yè)危害作業(yè)的員工進(jìn)行定期健康檢查,對(duì)從事特種作業(yè)的員工進(jìn)行專門培訓(xùn)并要求取得特種作業(yè)資格。Suppliershallprovidelaborprotectionequipmentsconformingtolocalregulations,carryoutregularhealthcheckforemployeesengagedinworkwithoccupationalhazards,conductspecialtrainingforemployeesworkedinspecialoperationsandrequirethemtoobtainqualificationforspecialoperations.供方應(yīng)提供清潔衛(wèi)生的洗手間設(shè)施、飲用水,必要時(shí)要提供食物儲(chǔ)存設(shè)施。Suppliershallprovidecleantoiletfacilities,drinkingwaterandfoodstoragefacilitiesifnecessary.供方若為員工提供住宿,則其設(shè)施應(yīng)清潔且滿足員工的基本需求。Supplierprovidesaccommodationforitsemployees,itsfacilitiesshallbecleanandmeetbasicneedsoftheemployees.供方若提供員工食堂,則需要按相關(guān)規(guī)定保證食堂環(huán)境和食品衛(wèi)生安全。IfSupplierprovidescanteen,itshallguaranteethecanteenenvironmentandfoodsafetyaccordingtorelevantregulations.禁止任何傳染病疫情因內(nèi)部管理及防護(hù)不當(dāng)導(dǎo)致集體性感染事件,或因未提前做好防護(hù)物資準(zhǔn)備(如口罩、手套、防護(hù)服、消毒液等)導(dǎo)致員工健康安全或公司正常運(yùn)作遭受重大影響。Itisprohibitedforanyinfectiousdiseaseoutbreaktocauseacollectiveinfectioneventduetoimproperinternalmanagementandprotection,ortocauseamajorimpactonthehealthandsafetyofemployeesorthenormaloperationofthecompanyduetothefailuretoprepareprotectivematerials(suchasmasks,gloves,protectiveclothing,disinfectant,etc.)inadvance.供方應(yīng)定期提供給員工有效的健康和安全指示,包括現(xiàn)場(chǎng)指示,(如必要)專用的工作指示。Suppliershallperiodicallyprovideemployeeswitheffectivehealthandsafetyinstructions,includingsiteinstructions,and(ifnecessary)exclusiveworkinstructions.員工因工作時(shí)受傷,供方應(yīng)提供急救并協(xié)助工人獲得后續(xù)的治療。Ifanemployeeisinjuredatwork,Suppliershallprovidefirstaidandassisttheworkertoobtainfollow-uptreatment.供方應(yīng)評(píng)估工作行為之外孕婦所有的風(fēng)險(xiǎn),并確保采取合理的措施消除或降低其健康和安全的風(fēng)險(xiǎn)。Suppliershallassessallriskstothepregnantwomanoutsideofworkingconductandensurethatreasonablemeasuresaretakentoeliminateorreducetheriskstoherhealthandsafety.所有人員應(yīng)有權(quán)利離開(kāi)即將發(fā)生的嚴(yán)重危險(xiǎn),即使未經(jīng)供方準(zhǔn)許。Allpersonnelshallhavetherightstoleavetheimminentgravedanger,evenwithouttheSupplier'spermission.供方應(yīng)確認(rèn)并評(píng)估可能出現(xiàn)的緊急情況和意外事故,通過(guò)實(shí)施應(yīng)急方案將影響降到最低,包括:緊急報(bào)告、員工撤離、培訓(xùn)和演練、火災(zāi)報(bào)警和滅火裝置、安全出口和恢復(fù)計(jì)劃等。Suppliershallidentifyandevaluatepossibleemergenciesandcontingenciesandminimizetheimpactbyimplementingcontingencyplans,including:emergencyreporting,employeeevacuation,trainingandrehearsal,firealarmandextinguishingequipment,exitandrecoveryplans,etc.供方應(yīng)建立工傷調(diào)查、分析、統(tǒng)計(jì)流程,降低事故和工傷發(fā)生率。Suppliershallestablishaprocessofindustrialinjuryinvestigation,analysisandstatisticstoreducetheincidenceofaccidentsandindustrialinjuries.環(huán)境保護(hù)EnvironmentalProtection污染控制PollutionControl環(huán)境許可和報(bào)告:供方應(yīng)獲得所有法規(guī)要求的環(huán)境許可證、批準(zhǔn)文書(shū)和登記證,并及時(shí)更新,以及遵守許可證的操作和報(bào)告要求。Environmentalpermitsandreport:Suppliershallobtainandupdateallenvironmentalpermits,instrumentsofapprovalandregistrationcertificatesrequiredbyregulations,andcomplywiththeoperatingandreportingrequirementsofthepermit.有害物質(zhì):根據(jù),供方應(yīng)當(dāng)識(shí)別和控制釋放到環(huán)境中會(huì)造成危險(xiǎn)的化學(xué)物質(zhì)及其他物質(zhì),并采取有效管理,以確保這些物質(zhì)得到安全的處理、運(yùn)輸、存儲(chǔ)、回收或重用和處置。HazardousSubstances:,Suppliershallidentifyandcontrolhazardouschemicalsandothersubstancesreleasedintotheenvironment,andtakeappropriatemeasurestoensurethatthesesubstancesaresafelyhandled,transported,stored,recoveredorreusedanddisposedof.廢水及固體廢物:供方生產(chǎn)經(jīng)營(yíng)過(guò)程中產(chǎn)生的廢水和有害廢物,在排放或處置之前應(yīng)按照要求進(jìn)行分類、監(jiān)控、控制和處理。Wastewaterandsolidwaste:WastewaterandhazardouswastegeneratedduringSupplier'sproductionandoperationshallbeclassified,monitored,controlledandtreatedasrequiredpriortodischargeordisposal.空氣排放:供方在運(yùn)營(yíng)過(guò)程中產(chǎn)生的揮發(fā)性有機(jī)化學(xué)物質(zhì)、氣霧劑、微粒、燃燒副產(chǎn)品、臭氧化學(xué)消耗品參考《關(guān)于消耗臭氧層物質(zhì)的蒙特利爾議定書(shū)》和適用法規(guī),在排放之前應(yīng)按要求辨別、監(jiān)控、控制和處理。Airemissions:Volatileorganicchemicals,aerosols,particulates,combustionby-productsproducedbysupplier,ozonechemicalsdepletionundertheMontrealProtocolonSubstancesthatDepletetheOzoneLayerandapplicableregulationsshallbeidentified,monitored,controlledanddisposedofasrequiredpriortodischarge.節(jié)能減排Energyconservationandemissionreduction供方應(yīng)從源頭上或通過(guò)實(shí)踐(如改進(jìn)生產(chǎn)、維護(hù)設(shè)施工藝、替換材料、節(jié)約自然資源、材料回收和重用)減少和消除所有類型的消耗(包括水、電、天然氣等能源)。Suppliershallreduceandeliminatealltypesofconsumption(includingwater,electricity,naturalgas,etc.)atsourceorthroughpractices(e.g.improvedproduction,maintenancefacilityprocesses,replacementofmaterials,conservationofnaturalresources,materialrecoveryandreuse).供方應(yīng)在節(jié)能、節(jié)材、節(jié)地等方面持續(xù)引進(jìn)新技術(shù)、新產(chǎn)品、新管理等。Suppliershallcontinuouslybringinnewtechnology,newproductsandnewmanagementintheaspectsofenergysaving,materialsavingandlandsaving.供方應(yīng)提升綠色能源和新能源使用比例,減少溫室氣體排放,實(shí)現(xiàn)低碳經(jīng)濟(jì)。Suppliersshouldincreasetheproportionofgreenenergyandnewenergy,reducegreenhousegasemissions,andachievealow-carboneconomy.供方應(yīng)設(shè)定公司范圍內(nèi)的溫室氣體減排目標(biāo),并公開(kāi)這些目標(biāo)。Suppliersshallsetcorporategreenhousegasreductiontargetsanddisclosethesetargets.供方應(yīng)提高設(shè)備能效,減少產(chǎn)品能耗、推行動(dòng)態(tài)節(jié)能,減少差旅交通能耗。Suppliershouldimproveequipmentenergyefficiency,reduceproductenergyconsumption,promotedynamicenergysaving,andreducetraveltransportationenergyconsumption.供方應(yīng)推動(dòng)包裝規(guī)范化,實(shí)現(xiàn)可視化的綠色包裝和物流。Suppliershouldpromotethestandardizationofpackagingandrealizethevisualizationofgreenpackagingandlogistics.產(chǎn)品環(huán)保Productenvironmentalprotection供方應(yīng)當(dāng)遵守所有關(guān)于禁止或限制特定物質(zhì)(包括有關(guān)再生和處置的標(biāo)識(shí))的適用法律法規(guī)和客戶要求。Suppliershallcomplywithallapplicablelaws,regulationsandcustomerrequirementsrelatingtoprohibitionsorrestrictionsoncertainsubstances(includingmarksrelatingtoregenerationanddisposal).所有產(chǎn)品應(yīng)滿足RoHS、REACH、WEEE、綠色包裝等環(huán)保指令以及目標(biāo)市場(chǎng)國(guó)家、地區(qū)的環(huán)保法規(guī)要求。AllproductsshallmeettherequirementsofRoHS,REACH,WEEE,greenpackagingandotherenvironmentalprotectiondirectivesaswellastheenvironmentalprotectionlawsandregulationsoftargetmarketcountriesandregions.所有產(chǎn)品生產(chǎn)應(yīng)推行無(wú)鉛化和低毒害性控制,滿足相關(guān)法規(guī)關(guān)于化學(xué)品管理、有毒有害物質(zhì)管制要求。Allproductproductionshallbelead-freeandlow-toxicitycontrol,andmeettherequirementsofrelevantregulationsonchemicalmanagementandcontroloftoxicandhazardoussubstances.供方應(yīng)實(shí)施綠色采購(gòu),對(duì)其提供的物料應(yīng)進(jìn)行環(huán)保檢驗(yàn)和管理。Suppliershallcarryoutgreenprocurementandconductenvironmentalinspectionandmanagementonthematerialsprovidedbythesupplier.商業(yè)道德要求Businessethicsrequirement商業(yè)誠(chéng)信Commercialintegrity供方所有商業(yè)活動(dòng)應(yīng)遵循誠(chéng)信標(biāo)準(zhǔn),禁止任何形式的貪污、敲詐勒索和挪用公款、洗錢等行為,以免被政府勒令停業(yè)或受到法律制裁。AllbusinessactivitiesofSuppliershouldfollowtheintegritystandards,andallformsofcorruption,extortion,embezzlementandmoneylaunderingareprohibited,soastoavoidbeingsuspendedbythegovernmentorsubjecttolegalsanctions.無(wú)不正當(dāng)利益Nounjustified

disclosure供方依照適用法規(guī)和主要的行業(yè)慣例公開(kāi)有關(guān)商業(yè)活動(dòng)、組織結(jié)構(gòu)、財(cái)務(wù)狀況和績(jī)效信息。Disclosurebysupplierofinformationrelatingtobusinessactivities,organizationalstructure,financialstatusandperformanceinaccordancewithapplicableregulationsandmajorindustrypractices.知識(shí)產(chǎn)權(quán)Intellectualproperty供方應(yīng)尊重知識(shí)產(chǎn)權(quán),技術(shù)和生產(chǎn)經(jīng)驗(yàn)的轉(zhuǎn)讓要妥善保護(hù)知識(shí)產(chǎn)權(quán)。Thesuppliershallrespectintellectualpropertyrights,andthetransferoftechnologyandproductionexperienceshallproperlyprotectintellectualpropertyrights.公平交易、廣告和競(jìng)爭(zhēng)Fairtrade,advertisingandcompetition供方應(yīng)制定公平交易、廣告和競(jìng)爭(zhēng)的制度,應(yīng)采取保護(hù)客戶信息的措施。Thesuppliershallestablishasystemoffairdealing,advertisingandcompetition,andshalltakemeasurestoprotectcustomerinformation.身份信息保護(hù)Identityinformationprotection供方應(yīng)制定程序,以保護(hù)供方及其員工檢舉者,并確保其身份的機(jī)密性。Suppliershallestablishprocedurestoprotectitsanditsstaffwhistleblowersandtoensuretheconfidentialityoftheiridentities.社區(qū)參與Communityparticipation鼓勵(lì)參與社區(qū)活動(dòng),以推動(dòng)社會(huì)和經(jīng)濟(jì)的發(fā)展。Encourageparticipationincommunityactivitiestopromotesocialandeconomicdevelopment.無(wú)沖突礦物:供方不得采購(gòu)或使用錫、鎢、鉭、金、鈷等沖突礦物,并要求其下級(jí)供應(yīng)商不得采購(gòu)沖突礦物,以合理地確保其來(lái)源符合經(jīng)濟(jì)合作與發(fā)展組織(OECD)《受沖突影響和高風(fēng)險(xiǎn)地區(qū)礦產(chǎn)供應(yīng)鏈盡職調(diào)查指南》或同等和公認(rèn)的盡職調(diào)查框架。Conflict-freeminerals:Suppliershallnotpurchaseorusetin,tungsten,tantalum,gold,cobaltandotherconflictmineralsandshallrequireitssubordinatesuppliersnottopurchaseconflictminerals.toensurethattheirsourcesareconsistentwiththeORGANISATIONforEconomicCo-operationandDevelopment(OECD)DuediligenceGuidelinesforMineralSupplyChainsinConflict-AffectedandHigh-riskAreasorequivalentandrecognizedduediligenceframeworks.供應(yīng)商社會(huì)責(zé)任管理Suppliersocialresponsibilitymanagement供方應(yīng)對(duì)其供應(yīng)商/分包商進(jìn)行CSR管理,包括但不限于建立供應(yīng)商CSR管理體系、CSR風(fēng)險(xiǎn)評(píng)估、CSR績(jī)效管理,CSR現(xiàn)場(chǎng)稽查及問(wèn)題跟蹤改善。SuppliershallconductCSRmanagementforitssuppliers/subcontractors,includingbutnotlimitedtoestablishingsupplier'SCSRmanagementsystem,CSRriskassessment,CSRperformancemanagement,CSRon-siteinspectionandproblemtrackingandimprovement.供方應(yīng)制定供應(yīng)商CSR協(xié)議,推動(dòng)與其供應(yīng)商簽署,以促進(jìn)供應(yīng)商加SuppliershouldformulateCSRagreementofthesupplierandpromotethesigningoftheagreementwiththesupplier,soastopromotethesuppliertostrengthenthemanagementofsocialresponsibility.供方應(yīng)對(duì)其供應(yīng)商/分包商的CSR管理負(fù)責(zé)。供方應(yīng)當(dāng)向買方保證,其供應(yīng)商/分包商對(duì)本協(xié)議內(nèi)容的遵守,且買方有權(quán)就供方的供應(yīng)商/分包商違反CSR的行為直接向供方進(jìn)行合理追償。SuppliershallberesponsibleforCSRmanagementofitssupplier/subcontractor.SuppliershallguaranteetotheBuyerthatitssuppliers/subcontractorscomplywiththecontentsofthisAgreement,andtheBuyershallhavetherighttodirectlyandreasonablyrecoverfromthesupplierfortheviolationofCSRbyitssuppliers/subcontractors.供方在認(rèn)證和選擇新供應(yīng)商時(shí)應(yīng)將CSR作為一個(gè)必要條件或門檻標(biāo)準(zhǔn),如果新供應(yīng)商CSR達(dá)不到要求則不得使用。SuppliershalltakeCSRasanecessaryconditionorthresholdstandardwhencertifyingandselectingnewsuppliers.IftheCSRofnewsuppliersdoesnotmeettherequirements,itshallnotbeused.供方應(yīng)推動(dòng)和幫助其供應(yīng)商提升CSR意識(shí)和能力,共同促進(jìn)產(chǎn)業(yè)鏈可持續(xù)發(fā)展。SuppliershouldpromoteandhelpitssupplierstoenhanceCSRawarenessandability,andjointlypromotethesustainabledevelopmentoftheindustrialchain.違反本協(xié)議的責(zé)任LiabilityforbreachofthisAgreement若供方行為不符合本協(xié)議的約定,供方應(yīng)在買方指定的合理期限內(nèi)糾正其不符的行為,直至符合本協(xié)議要求。IfSupplierdoesnotcomplywiththeprovisionsofthisAgreement,Suppliershallcorrectthenon-compliancewithinareasonableperiodspecifiedbyBuyeruntiltherequirementsofthisAgreementaremet.供方應(yīng)積極采取措施,確保買方的客戶稽查一次性通過(guò)。如果供方或其供應(yīng)商/分包商未能一次性通過(guò)買方客戶或第三方的稽查,導(dǎo)致后續(xù)發(fā)生所有費(fèi)用需由供方承擔(dān),包括但不限于:買方、買方的客戶、第三方現(xiàn)場(chǎng)稽查人員的差旅費(fèi)和稽查期間費(fèi)用。SuppliershalltakeactivemeasurestoensurethatBuyer'scustomerinspectionispassedatonetime.IfSupplieroritssuppliers/subcontractorsfailtopasstheinspectionbyBuyer'scustomersorthethirdpartyatonetime,allsubsequentexpensesshallbebornebySupplier,includingbutnotlimitedto:thetravelexpensesofBuyer,Buyer'scustomers,thesiteinspectionpersonnelofthethirdpartyandtheinspectionexpenses.如買方或買方的客戶發(fā)現(xiàn)供方或其下游的供應(yīng)商/分包商存在違反《通力供應(yīng)商CSR紅線要求》(詳見(jiàn)附件)買方有權(quán)向供方進(jìn)行追償。IfBuyerorBuyer'scustomersfindthatthesupplieroritsdownstreamsuppliers/subcontractorshaveviolatedthe"XXXSupplierCSRRedLineRequirements"(seetheattachmentfordetails),Buyerhastherighttoclaimfromthesupplier.如供方或其下游的供應(yīng)商/分包商因存在違反《通力供應(yīng)商CSR紅線要求》(詳見(jiàn)附件)的問(wèn)題而被媒體曝光,且曝光內(nèi)容被證實(shí),買方有權(quán)立即單方面解除與供方之間已簽訂的所有商業(yè)協(xié)議且不需承擔(dān)任何賠償或補(bǔ)償責(zé)任,且買方有權(quán)向供方進(jìn)行追償。IfSupplieroritsdownstreamsupplier/subcontractorisexposedtomediaforexistenceviolatethe“XXXsupplierCSRredlinerequirements”(seetheappendixoffurniturelistfordetail),andiftheexposureisproven,buyershallhavetherighttounilaterallycancelallbusinessagreementswithSupplierwithoutanycompensationorc
