1/5XX有限公司反不正當(dāng)競(jìng)爭(zhēng)協(xié)議XXCo.,Ltd.Anti-UnfairCompetitionAgreement甲方：地址：法定代表人：聯(lián)系電話：PartyA:Address:LegalRepresentative:Phone:乙方：地址：法定代表人：聯(lián)系電話：PartyB:Address:LegalRepresentative:Phone:甲方和乙方合稱“雙方”，單稱“一方”。PartyAandPartyBarereferredtoas,together,the“Parties”andindividually,a“Party.”為共同制止不正當(dāng)競(jìng)爭(zhēng)及商業(yè)賄賂行為、維護(hù)雙方共同的合法權(quán)益，經(jīng)甲乙雙方友好協(xié)商，達(dá)成以下反不正當(dāng)競(jìng)爭(zhēng)協(xié)議（“本協(xié)議”），以資雙方信守履行：Topreventunfaircompetitionandcommercialbribery,andprotecttheParties’legalrights,PartyAandPartyBtogether,throughfriendlynegotiation,reachthisAnti-UnfairCompetitionAgreement(the“Agreement”)asfollows:甲乙雙方同意，本協(xié)議作為甲乙雙方已經(jīng)簽訂的采購合同（“采購合同”）的附件，與采購合同具備同等法律效力。ThePartiesagreethat,thisAgreementshallbedeemedastheattachmenttothepurchaseagreementpreviouslyexecutedbytheParties(the“PurchaseAgreement”),andbeofthesamelegaleffectasthePurchaseAgreement.甲乙雙方保證并同意，完全遵守并促使其員工、董事、管理者、代理或代表其行事的其他人員（僅在本協(xié)議中統(tǒng)稱為“工作人員”）完全遵守中國(guó)關(guān)于反不正當(dāng)競(jìng)爭(zhēng)及商業(yè)賄賂的相關(guān)法律法規(guī)，包括且不限于《反不正當(dāng)競(jìng)爭(zhēng)法》及《刑法》，通過正常途徑開展雙方合作的相關(guān)業(yè)務(wù)工作。ThePartiesagreetofullycomply,andcausetheirrespectiveemployees,directors,management,agents,andanyotherrepresentatives(onlyinthisAgreement,together,the“Employees”)tocomply,withtherelevantPRClawsandregulationsregardinganti-unfaircompetitionandanti-commercialbribery,includingbutnotlimitedtothePRCAnti-UnfairCompetitionLawandtheCriminalLawofthePRC,andtoconductbusinesswiththeotherPartythroughnormalchannel.乙方承諾，在薄利多銷、雙方共贏的基礎(chǔ)上，給予甲方最優(yōu)惠的市場(chǎng)價(jià)格，雙方應(yīng)隨時(shí)就價(jià)格變化進(jìn)行溝通。PartyBwarrantstoofferPartyAthemostfavorablemarketpriceonthebasisofsmallprofitsforquickturnoverandforwin-winoutcome.ThePartiesshallcommunicatewitheachotheratanytimeregardingpricechanges.乙方同意，乙方或其關(guān)聯(lián)方不會(huì)以獲得雙方合作業(yè)務(wù)為目的，直接或間接地與任意第三方串通價(jià)格，或通過采取其他非法排除競(jìng)爭(zhēng)的手段獲取商業(yè)利益。PartyBagreesthat,PartyBanditsrelatedpartiesshallnot,directlyorindirectly,colludewithanyotherthirdpartiestoanagreedormanipulatedpriceforthepurposeofgainingbusinessopportunityfromPartyA,ortakeonanyotherillegalactionstoexcludecompetitionforthepurposeofgainingcommercialprofits.乙方同意以同價(jià)同質(zhì)供貨至甲方及甲方集團(tuán)內(nèi)的其他公司。如甲方發(fā)現(xiàn)，乙方在供貨時(shí)存在未主動(dòng)提供最優(yōu)惠市場(chǎng)價(jià)格，而導(dǎo)致出現(xiàn)甲方及甲方集團(tuán)內(nèi)的其他公司之間的供貨價(jià)格差異，甲方有權(quán)向乙方追繳過往所有采購差價(jià)；差價(jià)金額超過人民幣100,000元的，甲方有權(quán)取消乙方的供應(yīng)商資格，終止一切業(yè)務(wù)往來。PartyBagreestosupplyproductsofsamepriceandsamequalitytoPartyAandothercompanieswithinthePartyA’scorporategroup.IfPartyAdiscoversthatPartyBfailstovoluntarilyofferthemostfavorablemarketprice,whichcausepricedifferencesinproductssuppliedtoPartyAandtoothercompaniesinPartyA’scorporategroup,PartyAshallhavetherighttodemandpaymentsofallthepreviouspricedifferencesfromPartyB.IncasethatthepricedifferenceisoverRMB100,000,PartyAshallhavetherighttocancelPartyB’ssupplierqualificationandterminateallthebusinesseswithPartyB.在甲乙雙方商談促成合作或業(yè)務(wù)合作期間，一方或其工作人員不得向?qū)Ψ降墓ぷ魅藛T或其親屬，及其他與對(duì)方有利益關(guān)系的單位或個(gè)人，提供、承諾提供或建議提供任何精神及物質(zhì)上直接或間接的饋贈(zèng)，包括但不限于：現(xiàn)金、支票、信用卡禮品、樣品或其他商品、娛樂票券、會(huì)員卡、無息貸款、貨幣或貨物形式的回扣、回傭、就業(yè)或置業(yè)、旅游、宴請(qǐng)及個(gè)人服務(wù)、其他形式的私人好處，及其他一切物質(zhì)或精神上有直接受益的開支，以期獲取或保留雙方合作業(yè)務(wù)關(guān)系或獲得不正當(dāng)優(yōu)勢(shì)。Duringtheperiodofnegotiatingforbusinessorworkingtogether,neitherPartyoritsEmployeesshall,forthepurposeofgainingormaintainingbusinessopportunitiesorunfaircompetitionadvantage,directlyorindirectlyprovide,promisetoprovide,orsuggesttoprovidetheotherParty,itsEmployeesortheirrelatives,oranyotherinterestedpartiesoftheotherParty,withanyspiritualormaterialgifts,includingbutnotlimitedto,cashes,checks,creditcardgfits,samplesorotherproducts,entertainmenttickets,membershipcards,interest-freeloans,rebatesinformsofmoneyorproduct,employmentorhomeownershipopportunities,travels,leisuirediningorpersonalservices,personalbenefitsinotherforms,andanyotherspirituallyormateriallybenefitedexpenditures.如有發(fā)現(xiàn)乙方違反上述第6條，一經(jīng)查實(shí)，即視為乙方違約，甲方有權(quán)收取乙方過往12個(gè)月貨款作為違約金，并取消乙方供應(yīng)商資格，終止一切業(yè)務(wù)往來。IfPartyBisfoundtoviolateSection6ofthisAgreement,onceconfirmed,PartyBshallbedeemedtobreachthisAgreement,andPartyAshallhavetherighttoclaimthesumoftheprevious12-monthpurchasesfromPartyBasliquidateddamage,cancelPartyB’ssuplierqualification,andterminateallthebusinesses.受限于上述第6條，基于雙方合作業(yè)務(wù)需要及商業(yè)接待禮儀，雙方可為對(duì)方工作人員提供合理的工作餐、住宿、交通等與業(yè)務(wù)相關(guān)的工作方便。雙方工作人員因業(yè)務(wù)需要參加的餐會(huì)，餐會(huì)后不得有其他任何性質(zhì)的娛樂活動(dòng)。如因業(yè)務(wù)溝通所需，確需安排人均消費(fèi)人民幣300元以上的宴請(qǐng)，乙方應(yīng)事先報(bào)備甲方受宴請(qǐng)人員部門總監(jiān)或以上。SubjecttoSection6ofthisAgreement,fortheParties’businessrelationshipandbusinessetiquette,thePartymayprovidereasonalbusinessmeal,accommodation,transportationandotherbusinessconveniencesfortheotherParty’sEmployees.IncasethattheEmployeesofthePartiesattenddinnerforbusinesspurposes,noentertainingactivitiesshallbeprovidedafterdinner.IfPartyBisinneedofpreparingdinnerworthoverRMB300perpersonforPartyAEmployees,PartyBshallgiveadvancenoticetodirectorsoraboveofthedepartmentthatsuchinvitedPartyAEmployeeisin.如乙方未按上述第8條及時(shí)向甲方報(bào)備即安排宴請(qǐng)，一經(jīng)查實(shí)，視為乙方違約，甲方有權(quán)收取乙方上一個(gè)月的貨款作為違約金。IncasethatPartyBfailstogivepriornoticeasrequiredbySection8andpreparedinnerforPartyAEmployees,PartyBisdeemedtobreachthisAgreementandPartyAshallhavetherighttoclaimthesumofthepurchaseofthepreviousmonthfromPartyBasliquitdateddamages.如乙方發(fā)現(xiàn)或懷疑甲方工作人員有違反本協(xié)議第6、8條的，乙方應(yīng)及時(shí)通過甲方的不正當(dāng)競(jìng)爭(zhēng)投訴電子郵箱auditing@.hk與甲方合規(guī)部取得聯(lián)系，向甲方進(jìn)行檢舉、揭發(fā)，并配合甲方合規(guī)部查處甲方相關(guān)工作人員的違規(guī)行為，一經(jīng)查實(shí)按甲方相關(guān)管理制度處理。甲方應(yīng)為乙方檢舉人員進(jìn)行保密，同時(shí)有權(quán)獎(jiǎng)勵(lì)乙方檢舉人員，并在同等條件下優(yōu)先考慮與乙方繼續(xù)合作。IfPartyBdiscoversorsuspectsanyPartyAEmployeeisinviolationofSection6and/or8ofthisAgreement,PartyBshalltimelycontactPartyA’sComplianceDepartmentviaPartyA’sunfair-competitioncomplainemailauditing@.hktoreportsuchviolation,andtoworkwithPartyA’sComplianceDepartmentoninvestigationofsuchviolation.Onceconfirmed,theviolatingPartyAEmployeeshallbehandledinaccordancewiththerelevantpoliciesofPartyA.PartyAshallkeepconfidentialoftheidentifyofPartyB’sreportingperson,andshallhavetherighttorewardsuchreportingpersonandgivepreferencetoPartyBforfurtherbusinessopportunityunderthesamecondition.甲乙雙方應(yīng)當(dāng)自覺遵守國(guó)家、地方法律法規(guī)以及本協(xié)議的約定，在合同的訂立、履行過程中廉潔自律。ThePartiesshallvoluntarilycomplywiththenationalandlocallaws,regulations,andrules,andthetermsandconditionsofthisAgreement,andshallperformtheirrespectivedutieshonestlyandfaithfully.本協(xié)議適用中華人民共和國(guó)法律并依照該等法律進(jìn)行解釋。ThisAgreementshallbegovernedbyandconstruedinaccordancewiththePRClawsandregulations.因本協(xié)議而引起或與本協(xié)議有關(guān)的任何爭(zhēng)議，雙方應(yīng)友好協(xié)商解決，如協(xié)商不成，任意一方可依法在對(duì)方公司登記所在地的管轄人民法院進(jìn)行起訴。IncaseanydisputearisingfromorinconnectionwiththisAgreement,thePartiesshallsettlethedisputethroughfriendlyconsultation.IfthePartiesfailtosettlesuchdispute,eitherPartymaysubmitthedisputetothelocalPeople’sCourtwheretheotherPartyisregistered.本協(xié)議經(jīng)雙方簽字、簽章之日生效。甲乙雙方終止采購合同、解除供銷關(guān)系時(shí)，本協(xié)議自動(dòng)失效。ThisAgreementshallbecomeeffectiveasofthedatesignedandsealedbybothParties,andshallauto
