委托加工合同ContractOFProcessing合同編號ContractNO.:甲方(委托方):地址：PartyA(entrustingparty):BusinessAddress：乙方(被委托方):地址：PartyB(entrustedparty):BusinessAddress:乙雙方本著平等、自愿、誠實(shí)信用的原則，就甲方委托乙方加工產(chǎn)品達(dá)成如下協(xié)議:PartyAandPartyB,onthebasisofequality,willingnessandgoodfaith,havereachedthefollowingagreementonPartyA'sentrustmentofPartyBtoprocessproducts:委托加工產(chǎn)品品名、規(guī)格、等級及單價(jià)序號NO.品名Product數(shù)量Quantity規(guī)格Specifications單價(jià)UnitPrice備注Remarks123上列價(jià)格為含包裝費(fèi)之成品含稅價(jià)，從乙方至甲方倉庫運(yùn)費(fèi)由乙方承擔(dān)。Theabovepriceincludestaxandpackagingcosts.ThefreightfromPartyBtoPartyA'swarehouseshallbebornebyPartyB.質(zhì)量標(biāo)準(zhǔn)和資質(zhì)要求1、產(chǎn)品質(zhì)量標(biāo)準(zhǔn)見經(jīng)雙方蓋章的附件(一)2、乙方須向甲方提供以下有效證件:“營業(yè)執(zhí)照”復(fù)印件、“稅務(wù)登記證”復(fù)印件、“認(rèn)證證書”復(fù)印件、“質(zhì)量檢驗(yàn)報(bào)告”及其它國家獲準(zhǔn)乙方產(chǎn)品進(jìn)入市場的相關(guān)證件和條件。QualityStandardsandQualificationRequirements1.TheproductqualitystandardsareshowninAttachment(1)stampedbybothparties.2.PartyBshallprovidePartyAwiththefollowingvaliddocuments:copiesof"BusinessLicense","TaxRegistrationCertificate","CertificationCertificate","QualityInspectionReport"andotherrelevantdocumentsandconditionspermittedbythestateforPartyB'sproductstoenterthemarket.三、訂貨和交貨1、甲方按實(shí)際需求向乙方書面下達(dá)生產(chǎn)訂單。2、乙方按雙方約定的質(zhì)量標(biāo)準(zhǔn)和每一訂單品種、規(guī)格、等級和數(shù)量為甲方定牌生產(chǎn)產(chǎn)品，并于甲方下達(dá)生產(chǎn)訂單之日起30天內(nèi)生產(chǎn)完畢。交貨地點(diǎn)為甲方指定倉庫。OrderingandDelivery1.PartyAissueswrittenproductionorderstoPartyBaccordingtoactualneeds.2.PartyBshallproducePartyA'sproductsaccordingtothequalitystandardsagreedbybothpartiesandthevarieties,specifications,gradesandquantitiesofeachorder.Theproductsshallbecompletedwithin30daysfromthedatewhenPartyAissuestheproductionorder.TheplaceofdeliveryisthewarehousedesignatedbyPartyA.四、委托加工產(chǎn)品的驗(yàn)收1、甲方派員在乙方工廠對委托加工產(chǎn)品進(jìn)行初步驗(yàn)收。2、客戶對產(chǎn)品所提異議，乙方應(yīng)協(xié)助甲方進(jìn)行處理:若產(chǎn)品經(jīng)判定為不符本合同雙方約定質(zhì)量標(biāo)準(zhǔn)，其責(zé)任由乙方負(fù)責(zé)。3、乙方所交付委托加工產(chǎn)品的質(zhì)量責(zé)任期限，應(yīng)以該產(chǎn)品自甲方出賣給第三方之日起算3年。出賣之日以甲方開具發(fā)票之日為準(zhǔn)。AcceptanceofEntrustedProcessingProducts1.PartyAshallsendstafftoPartyB'sfactorytoconductpreliminaryacceptanceoftheentrustedprocessingproducts.2.PartyBshallassistPartyAinhandlingcustomerobjectionstotheproducts.Iftheproductsaredeterminednottomeetthequalitystandardsagreedbybothpartiestothiscontract,PartyBshallberesponsible.3.ThequalityresponsibilityperiodfortheentrustedprocessingproductsdeliveredbyPartyBshallbe3yearsfromthedatewhenPartyAsellstheproductstoathirdparty.ThedateofsaleshallbesubjecttothedatewhenPartyAissuestheinvoice.付款方式和期限付款方式:電匯2、付款條件收貨驗(yàn)收合格后全額支付，付款期限:月結(jié)30天3、若為人民幣結(jié)算，為了保證甲方驗(yàn)收記帳和按時(shí)付款，乙方在送貨同時(shí)或后7個(gè)工作日天內(nèi)，須向甲方提供發(fā)票，否則甲方可將付款日期順延一個(gè)月，并不因此承擔(dān)逾期付款責(zé)任。PaymentMethodandDeadline1.Paymentmethod:WireTransfer2.Paymentterms:Fullpaymentafterreceiptofgoodsandacceptance.Paymenttimelimit:Monthlysettlementwithin30days3.IfsettlementismadeinRMB,inordertoensurePartyA'sacceptanceandtimelypayment,PartyBshallprovidePartyAwiththeinvoicewithin7workingdayswhendeliveringthegoodsorthereafter.Otherwise,PartyAmaypostponethepaymentdatebyonemonthwithoutassumingtheresponsibilityforoverduepayment.六、產(chǎn)品的包裝1、產(chǎn)品采用甲方指定的包裝予以包裝。2、甲方提供包裝設(shè)計(jì)圖稿和要求，乙方負(fù)責(zé)制作。PackageTheproductsshallbepackagedinthepackagingdesignatedbyPartyA.2.PartyAprovidespackagingdesigndrawingsandrequirements,andPartyBshallberesponsibleforproduction.

七、知識產(chǎn)權(quán)的保護(hù)1、乙方應(yīng)在甲方的授權(quán)范圍內(nèi)對其委托加工產(chǎn)品和包裝上使用“Rfree”注冊商標(biāo)標(biāo)識，不得擅自使用甲方的品牌和商標(biāo)。2、未經(jīng)甲方特別許可，乙方不得將甲方的委托加工產(chǎn)品以任何形式流向第三方或市場。3、雙方應(yīng)對委托加工過程中的相關(guān)文件、資料、以及專有技術(shù)、商業(yè)秘密等做好保密工作，不得泄露給任何第三方。ProtectionofIntellectualPropertyRights1.PartyBshallusetheregisteredtrademark"Rfree"onitsentrustedprocessingproductsandpackagingwithinthescopeauthorizedbyPartyA,andshallnotusePartyA'sbrandandtrademarkwithoutauthorization.2.WithoutPartyA'sspecialpermission,PartyBshallnotdistributePartyA'sentrustedprocessingproductstoanythirdpartyorthemarketinanyform.3.Bothpartiesshallkeepconfidentialtherelevantdocuments,materials,proprietarytechnologies,tradesecretsandotherinformationinvolvedintheentrustedprocessing,andshallnotdisclosethemtoanythirdparty.八、環(huán)境、職業(yè)健康和安全1、乙方承擔(dān)本合同履行過程中健康、安全生產(chǎn)及環(huán)境保護(hù)的全部責(zé)任。2、乙方提供的產(chǎn)品必須滿足國家和行業(yè)現(xiàn)行的關(guān)于安全、健康和環(huán)保的標(biāo)準(zhǔn)、規(guī)范及合同中有關(guān)要求。EnvironmentProtection,HealthyandSafeProduction1.PartyBshallassumefullresponsibilityforhealth,safetyproductionandenvironmentalprotectionduringtheperformanceofthiscontract.2.TheproductsprovidedbyPartyBmustmeetthecurrentnationalandindustrialstandards,specificationsandcontractualrequirementsregardingsafety,healthandenvironmentalprotection.九、違約責(zé)任1、因委托加工產(chǎn)品遭甲方客戶的質(zhì)量投訴，應(yīng)由甲乙雙方到現(xiàn)場共同進(jìn)行處理或由甲方代理乙方處理。所產(chǎn)生的一切費(fèi)用由乙方負(fù)擔(dān)。2、客戶質(zhì)量投訴經(jīng)甲乙雙方確認(rèn)為乙方生產(chǎn)造成的，所產(chǎn)生的一切費(fèi)用包括但不限于產(chǎn)品價(jià)款、施工費(fèi)等各項(xiàng)依法可獲得的賠償。3、乙方逾期交貨應(yīng)按逾期交貨款額的日千分之八向甲方承擔(dān)違約金，如造成甲方損失的，應(yīng)按實(shí)際損失賠償。逾期交貨達(dá)15天，視為乙方履行訂單不能。4、乙方履行訂單不能，甲方有權(quán)解除合同，并由乙方承擔(dān)由此造成的甲方損失。5、乙方產(chǎn)品若存在質(zhì)量問題，應(yīng)負(fù)責(zé)更換。由于更換而造成甲方逾期交貨給第三人的，所產(chǎn)生的損失由乙方承擔(dān)。一方違反知識產(chǎn)權(quán)保護(hù)約定，應(yīng)承擔(dān)另一方由此而產(chǎn)生的損失。LiabilityforBreachofContract1.IntheeventofqualitycomplaintsabouttheentrustedprocessingproductsfromPartyA'scustomers,PartyAandPartyBshalljointlyhandlethemonsiteorPartyAshallhandlethemonbehalfofPartyB.AllcostsincurredshallbebornebyPartyB.2.IfitisconfirmedbyPartyAandPartyBthatthequalitycomplaintsfromcustomersarecausedbyPartyB'sproduction,PartyBshallbearallcostsincurred,includingbutnotlimitedtothepriceofproducts,constructionfeesandothercompensationslegallyobtainable.3.IfPartyBdelaysdelivery,itshallpayPartyAabreachofcontractpenaltyattherateof0.08%perdayoftheamountofdelayeddelivery.IflossesarecausedtoPartyA,compensationshallbemadeaccordingtotheactuallosses.Delayeddeliveryfor15daysshallbedeemedasPartyB'sfailuretofulfilltheorder.4.IncasePartyBfailstofulfilltheorder,PartyAshallhavetherighttoterminatethecontractandPartyBshallbearthelossescausedtoPartyAthereby.5.IftherearequalityproblemswithPartyB'sproducts,PartyBshallberesponsibleforreplacement.PartyBshallbearthelossesarisingfromPartyA'sdelayeddeliverytothirdpartiesduetoreplacement.6.Ifapartybreachestheagreementonintellectualpropertyprotection,itshallbearthelossesarisingtherefromtotheotherparty.本協(xié)議未盡事宜或委托加工新產(chǎn)品時(shí)，雙方可另行訂立補(bǔ)充協(xié)議，補(bǔ)充協(xié)議具有法律效力。Formattersnotc
