AgreementNo.:DesignServiceAgreementPartyA(Consigner):Address:Contact:PartyB(Consignee):Designer:IdentifyCardNo.:Contact:Emergencycontactperson:InaccordancewiththeContractLawofthePeople ’sRepublicandofrelevaChinatlawsandregulationsinthePRC,bothPartiesagreethefollowingcontentthroughamicablenegotiation:Article1-CooperationDescriptionDesigninteriorwayfindingsystemofXXXX,detailspleaseseeattachment ”XXXX”(Hereinafterreferredasthe .“design”)Article2-TheRightsandObligations2.1PartyBshalldesignstrictlyinaccordancewithPartyA’sstandardsandrequests.2.2PartyBshallsubmitfinaldesignafterthewritingacceptanceofPartyA.Article3-CommissionandPayment3.1Within15workingdaysafterdesignbeenacceptedbyPartyA,PartyAshallpayPartyBcommissionfeeofRMBXX.3.2TheabovefeereceivablebyPartyBshallberemittedtothebankaccountdesignatedbyPartyB,TheinformationofPartyB ’sbankaccountisasbelow:BankName:AccountName:BankaccountNo.:Article4-WarrantiesandCommitments4.1PartyBguaranteesthedelivereddesignworksshallbeoforiginalityanddonotcontainanycontentwhichmayinfringeanythirdparty'srights,includingbutnotlimitedtointellectualpropertyrights.Otherwise,anylegalliabilitiesgeneratedfromtheaforesaidinfringementsshallbe1/5AgreementNo.:bornebyPartyB.4.2PartyBshallberesponsibleforpromptlyrevisingorsupplementingfortheflaworerrorsinPartyB’sdesignserviceanddesignworksfreeofcharge.4.3ThedesignserviceanddesignworksthatPartyBprovidestoPartyAshallbeinconformitywithChina'slawsandregulations.Article5-BreachLiability5.1Ifeitherpartyfailstoperformorrendersnon-conformingperformance,therebycausinglosstotheotherparty,theamountofdamagespayableshallbeequivalenttotheotherparty’lossresultingfromthebreach,providedthattheamountshallnotexceedthelikelylossresultingfromthebreachwhichwasforeseenorshouldhavebeenforeseenbythebreachingpartyatthetimeofconclusionofthecontract;5.2ThefailureofpartiestocomplywithanyobligationunderthisContractbecauseofanactofwar,fire,riot,earthquake,actofpublicenemies,actionsofgovernmentalauthoritiesorforanyreasonbeyondthereasonablecontrolshallnotbedeemedabreachofthisContractandsuchpartyshallhavenoliabilitybyreasonofsuchevent.Article6-IntellectulpropertyCopyrightandrelatedintellectualpropertyrightsdesignrelatedshallvestinPartyA,PartyBcouldonlyusetheIPrightsafterPartyA ’sapprovalinwritingandpayingreasonablefee.Article7-ConfidentialityofProprietaryInformationBothpartiesshallholdallinformationreceivedfromtheotherpartyinconfidenceandshallnotdiscloseorusesuchConfidentialand/orProprietaryInformation,otherwiseshouldberesponsibleforallthelossowningtothebreach.Article8-Thecontracteffectiveandrevisionterm8.1Thiscontractshallbecomeeffectivewhensignedbytherepresentativeandstampedbythetwoparties;8.2Thiscontracthasfourcopies,eachpartyhastwocopieswithequallegaleffect(Attachmentaseffectivecontractpart),anyrevisionofcontracttermsshallbebothapprovedinwrittenbybothparties.8.3Othermiscellaneousitemsuncoveredinthiscontractwillbenegotiatedbybothpartiesandsignappendixattachmentwhichhasequallegaleffectofthecontract.(Nomaintextfollowing)2/5AgreementNo.:(Signaturepage)PartyA: PartyB:(signatureandstamp) (signature)Date:設(shè)計(jì)服務(wù)協(xié)議甲方:地址:聯(lián)系方式:乙方：設(shè)計(jì)師：XX身份證號(hào)：XXX聯(lián)系方式：XX緊急聯(lián)絡(luò)人： XXX根據(jù)《中華人民共和國(guó)合同法》以及相關(guān)法律法規(guī)，經(jīng)過(guò)友好協(xié)商，甲乙雙方達(dá)成如下協(xié)議：第一條 合作內(nèi)容XXXX形象設(shè)計(jì)，細(xì)節(jié)以附件 XXXX為準(zhǔn)。第二條 權(quán)利與義務(wù)3/5AgreementNo.:2.1乙方應(yīng)嚴(yán)格依據(jù)甲方標(biāo)準(zhǔn)及要求設(shè)計(jì)；2.2乙方交付最終設(shè)計(jì)前應(yīng)得到甲方書(shū)面確認(rèn)。第三條 費(fèi)用和支付3.1甲方驗(yàn)收設(shè)計(jì)后 15個(gè)工作日內(nèi)支付乙方傭金人民幣 XX萬(wàn)元3.2上述傭金甲方應(yīng)匯到乙方指定的銀行賬號(hào)。乙方的銀行賬號(hào)信息為：銀行名：賬戶名：賬戶：第四條 保證及承諾4.1乙方保證所交付的設(shè)計(jì)具有獨(dú)創(chuàng)性，不存在任何權(quán)利瑕疵，包括但不限于知識(shí)產(chǎn)權(quán)瑕疵，否則，由此引起的任何法律責(zé)任由乙方承擔(dān)。4.2乙方對(duì)其提供的服務(wù)及成果中出現(xiàn)的紕漏負(fù)責(zé)進(jìn)行免費(fèi)、及時(shí)的修改或補(bǔ)充。4.3乙方保證向甲方提供的服務(wù)及成果符合中國(guó)法律法規(guī)的要求。第五條 違約責(zé)任5.1在合同履行過(guò)程中，若發(fā)生違約行為，違約方應(yīng)承擔(dān)自己的違約行為而給守約方造成的一切損失，但承擔(dān)損失不應(yīng)超過(guò)違約方在簽訂合同時(shí)預(yù)見(jiàn)或應(yīng)當(dāng)預(yù)見(jiàn)的范圍；5.2甲乙雙方中任何一方因戰(zhàn)爭(zhēng)、 嚴(yán)重水災(zāi)、火災(zāi)、臺(tái)風(fēng)和地震，以及經(jīng)雙方認(rèn)可的其他此等不可抗力事件阻礙而無(wú)法按期履行合同，將不承擔(dān)違約責(zé)任。第六條 知識(shí)產(chǎn)權(quán)因設(shè)計(jì)產(chǎn)生的著作權(quán)等知識(shí)產(chǎn)權(quán)性質(zhì)權(quán)利均歸甲方所有，乙方如需使用應(yīng)經(jīng)過(guò)甲方書(shū)面許可并支付合理費(fèi)用。第七條 保密條款雙方均應(yīng)對(duì)于磋商、締結(jié)、履行本合同過(guò)程中獲取或知悉的商業(yè)秘密負(fù)保密義務(wù)，否則違約方應(yīng)承擔(dān)商業(yè)
