LOANAGREEMENT

THISAGREEMENTISMADEthedayofyear

3. Interest: TheLoanshallbearinterestontheunpaidprincipalatanannual

rateofpercent(%).Intheeventofadefaultinpaymenttheaforesaidinterestrateshallapplytothetotalofprincipalandinterestdueatthetimeofdefault.

4. Payment: Paymentshallbeinaccordancewiththetermscontainedinthe

Note.TheNotemay,atanytimeandfromtimetotime,bepaidorprepaidinwhole

orinpartwithoutpremiumorpenalty,exceptthatanypartialprepaymentshallbe(a)

inmultiplesof ￡,(b)aminimumof ￡,appliedtoanyinstalmentsdueundertheNote

intheinverseorderoftheirmaturity.Uponthepaymentoftheoutstandingprincipalinfulloralloftheinstalments,ifany,theinterestontheLoanshallbecomputedandafinaladjustmentandpaymentofinterestshallbemadewithinfive(5)daysof

thereceiptofnotice.Interestshallbecalculatedonthebasisofayearofdaysandtheactualnumberofdayselapsed.

5. Security: TheBorroweragreestosecuretherepaymentoftheLoanby

executingthosesecuritydocumentsattachedheretoasExhibitB(the

“Security

Documents”)andshalldelivertheSecurityDocumentsontheLoanDate.FromtimetotimetheLendermaydemand,andtheBorrowershallexecute,additionalloan

documentswhicharereasonablynecessarytoperfecttheLender

’ssecurityinterests.

6. RepresentationsandWarranties: TheBorrowerrepresentsandwarrants:

thattheexecution,deliveryandperformanceofthisagreement,andtheNoteandSecurityDocumentshavebeendulyauthorisedandareproper;(ii)thatthefinancialstatementsubmittedtotheLenderfairlypresentsthefinancialconditionoftheBorrowerasofthedateofthisagreementknowingthattheLenderhasreliedthereoningrantingtheLoan;(iii)thattheBorrowerhasnocontingentobligationsnotdisclosedorreservedagainstinsaidfinancialstatement,andatthepresenttimetherearenomaterial,unrealisedoranticipatedlossesfromanypresentcommitmentoftheBorrower;(iv)thattherewillbenomaterialadversechangesinthefinancialconditionoftheBorroweratthetimeoftheLoanDate;(v)thattheBorrowerwilladvisetheLenderofmaterialadversechangeswhichoccuratanytimepriortotheLoanDateandthereaftertothedateoffinalpayment;and(vi)thattheBorrowerhasgoodandvalidtitletoallofthepropertygivenassecurityhereunder.TheBorrowerrepresentsandwarrantsthatsuchrepresentationsandwarrantiesshallbedeemedtobecontinuingrepresentationsandwarrantiesduringtheentirelifeofthisagreement.

7.Default:TheBorrowershallbeindefault:(i)ifanypaymentduehereunderisnotmadewithin()daysofthedatedue;(ii)intheeventofassignmentbythe

Borrowerforthebenefitofcreditors;(iii)uponthefilingofanyvoluntaryorinvoluntarypetitionforbankruptcybyoragainsttheBorrower;or(iv)iftheBorrowerhasbreachedanyrepresentationorwarrantyspecifiedinthisagreement.

8.GoverningLaw:Thisagreement,theNote(s)andtheSecurityDocumentsshallbegovernedby,construedandenforcedinaccordancewiththelawofEnglandandWalestothejurisdictionofwhicht
