2023冷藏冷凍食品倉庫租賃合同（中英文對照）冷藏冷凍食品倉庫租賃合同（中英文對照）LEASEAGREEMENTOFREFRIGERATEDFROZENFOODWAREHOUSE目錄TABLEOFCONTENTS第一條冷庫的基本情況及用途Basicconditionsanduseofcoldstorage第二條租賃期限LeaseTerm第三條租金、水電費(fèi)以及稅費(fèi)支付Paymentofrent,water/electricityandtaxes第五條甲方的權(quán)利和義務(wù)rPartyA'srightsandobligations第六條乙方的權(quán)利和義務(wù)PartyB'srightsandobligations第七條冷庫場地的轉(zhuǎn)租Subleaseofcoldstoragesite第八條違約責(zé)任Liabilityforbreach乙方貯存散裝食品時(shí)，應(yīng)在貯存位置標(biāo)明食品的名稱、生產(chǎn)日期、保質(zhì)期、生產(chǎn)者名稱及聯(lián)系方式等內(nèi)容。PartyBshould,atthetimeofstoringbulkfood,identifythestoragelocationwiththenameofthefood,dateofproduction,shelflife,nameoftheproducerandcontactdetails.乙方應(yīng)遵循先進(jìn)先出的原則，定期檢查冷藏冷凍食品安全狀況，及時(shí)清理腐敗變質(zhì)、油脂酸敗、污穢不潔或者感官性狀異常、超過保質(zhì)期的食品。PartyBshouldfollowtheprincipleoffirst-in,first-out,regularlycheckthefoodsafetyconditionofrefrigeratedandfrozenfood,andpromptlycleanupanyfoodwhichisspoiled,sour,dirtyorwithabnormalorganolepticproperties,orhasexceededitsshelflife.方應(yīng)記錄食品進(jìn)庫、出庫時(shí)間和貯存溫度及其變化。PartyBshallmakerecordoftheentryandstoragetime,storagetemperatureanditschangesoffood.9.乙方不得有下列行為：PartyBshallnotcommitthefollowingacts:(1)貯存《食品安全法》第34條規(guī)定的禁止生產(chǎn)經(jīng)營的食品、無國家海關(guān)部門出具的隨附合格證明材料的進(jìn)口冷藏冷凍食品、來源不明的冷藏冷凍食品、非食品以及其他不符合法律、法規(guī)或者食品安全標(biāo)準(zhǔn)的冷藏冷凍食品；StorethefoodprohibitedfromproductionandmarketingasstipulatedinArticle34oftheFoodSafetyLaw,importedrefrigeratedfrozenfoodwithoutthequalificationcertificatesissuedbytheState7sCustomsauthorities,importedrefrigeratedandfrozenfoodofunknownorigin,non-food,andotherrefrigeratedandfrozenfoodwhichfailtoconformtolaws,regulationsorfoodsafetystandards;(2)在貯存過程中添加非食用物質(zhì)和有毒有害物質(zhì)；Additionofnon-ediblesubstancesandtoxicandharmfulsubstancesinthecourseofstorage.(3)將冷藏冷凍食品與有毒有害物品一同貯存。Storageofrefrigeratedandfrozenfoodswithtoxicandhazardoussubstances.第七條冷庫場地的轉(zhuǎn)租Article7Subleaseofcoldstoragesite乙方未經(jīng)甲方同意對租賃的冷庫場地進(jìn)行轉(zhuǎn)租的，甲方可以解除合同。甲方同意轉(zhuǎn)租的，乙方轉(zhuǎn)租前應(yīng)書面告知甲方，轉(zhuǎn)租期限應(yīng)在本合同租賃期限之內(nèi)。轉(zhuǎn)租期間，本合同繼續(xù)有效。次承租人對租賃場地造成損失的，乙方應(yīng)承擔(dān)賠償責(zé)任。WherePartyBsubletstheleasedcoldstoragespacewithoutPartyA'sconsent,PartyAmayterminatethecontract.ProvidedthatPartyAagreestosublet,PartyBshallinformPartyAinwritingpriortosublettingandthesubleasetermshallbewithintheleasetermhereof.Thiscontractshallcontinuetobevalidduringthesubleaseperiod.Ifthesuccessorlesseecausesdamagetotheleasedpremises,PartyBshallbeliableforcompensationthereof.第九條合同解除條款Contractsrescission第十條合同爭議的解決方式Settlementofcontractdisputes第十一條送達(dá)條款Service第十二條附則SupplementaryProvisions部分章節(jié)示例如下：第一條冷庫的基本情況及用途Article1Basicconditionsanduseofcoldstorage.冷庫的基本情況Basicconditionsofcoldstorage(1)冷庫應(yīng)保持完好、環(huán)境整潔，與有毒、有害污染源有效分隔;Coldstorageshallbemaintainedingoodcondition,withacleanandtidyenvironment,andeffectivelyseparatedfromtoxicandharmfulsourcesofpollution.(2)冷庫地面應(yīng)做到硬化，平坦防滑并易于清潔、消毒，并有適當(dāng)?shù)拇胧┓乐狗e水；Thecoldstoragefloorshouldbehardened,flat,non-slip,easytocleananddisinfect,withappropriatemeasurestopreventwateraccumulation.(3)冷庫應(yīng)有良好的通風(fēng)、排氣裝置，保持空氣清新無異味，避免日光直接照射；Coldstorageshouldbeequippedwiththedevicesofgoodventilationandexhaustsothattokeeptheairfreshandodorless,inadditiontoavoiddirectsunlight.(4)冷庫外部具備便于監(jiān)測和控制的設(shè)備儀器，并定期校準(zhǔn)、維護(hù),確保準(zhǔn)確有效。Theexteriorofthecoldstoreshouldbeinstalledtheequipmentandinstrumentswhichcanbeeasilymonitoredandcontrolled,inadditiontoberegularlycalibratedandmaintainedtoensuretheaccuracyandeffectivenessthereof.2.依據(jù)冷庫場地平面圖，甲方將以下符合冷藏冷凍食品貯存條件的冷庫出租給乙方。PartyAwill,inaccordancewiththecoldstoragesiteplan,leasetoPartyBthefollowingcoldstoragefacilitieswhichmeetthestorageconditionsforrefrigeratedandfrozenfood.甲方在日常管理中發(fā)現(xiàn)乙方在冷庫租賃使用過程中存在以下情形的,應(yīng)當(dāng)及時(shí)向所在地市場監(jiān)管部門報(bào)告，并有權(quán)予以制止：PartyA,wherefindsthefollowingcircumstancesintheleaseprocessofthecoldstorageinthedailymanagement,shallwithoutanydelayreporttothelocalmarketsupervisionauthoritiesandreservetherighttostopit:(1)乙方無合法資質(zhì)的；WithoutlegalqualificationbyPartyB;(2)貯存腐敗變質(zhì)或者感官性狀異常的食品；Storageoffoodthatisspoiledorhasabnormalorganolepticproperties.(3)貯存病死、毒死、死因不明或者來源不明的畜、禽、獸、水產(chǎn)動(dòng)物肉類及其制品；Storageofthelivestock,poultry,veterinaryandaquaticanimalmeatandproductsthereofwhicharediseased,poisoned,ofunknowncauseofdeathorofunknownorigin.(4)貯存無標(biāo)簽的預(yù)包裝食品；Storageofunlabelledprepackagedfood;(5)貯存國家為防病等特殊需要明令禁止生產(chǎn)經(jīng)營的動(dòng)物肉類及其制□.口口,StorageoftheanimalmeatanditsproductsexpresslyprohibitedbytheStatefordiseasepreventionandotherspecialneeds;(6)貯存其他不符合法律法規(guī)或者食品安全標(biāo)準(zhǔn)的食品。Storageofotherfoodproductswhichfailtocomplywithlawsandregulationsorfoodsafetystandards.3.甲方負(fù)責(zé)冷庫設(shè)備、設(shè)施的管理和維護(hù)，具體包括：PartyAisresponsibleforthemanagementandmaintenanceofthecoldstorageequipmentandfacilities,including.(1)定期測定、記錄冷庫溫度，并予以保存。Thetemperaturesofcoldstorageshouldberegularlymeasured,recordedandkept(2)定期消毒、除霜、清潔和維護(hù)冷庫的冷藏冷凍設(shè)備、設(shè)施，保留相關(guān)校驗(yàn)、清潔、消毒、維護(hù)等記錄，并承擔(dān)費(fèi)用。若因乙方原因造成冷藏冷凍設(shè)備、設(shè)施損壞，則由乙方負(fù)責(zé)維修或承擔(dān)維修費(fèi)用(自然損耗除外)；若無修復(fù)價(jià)值，由乙方折價(jià)賠償。Toregularlydisinfect,defrost,cleanandmaintaincoldstoragerefrigerationandfreezingequipmentandfacilities,keeprecordsofrelevantcalibrations,cleaning,disinfectionandmaintenance,andbearthecosts.PartyBshallberesponsibleforrepairingorbearingtherepaircostsfortheequipmentandfacilitiesofrefrigeration&freezingwhicharedamagedduetoPartyB'sreason(exceptfornaturalwearandtear);ifnorepairvaluethereof,PartyBshallcompensateatadiscount.第六條乙方的權(quán)利和義務(wù)Article6PartyB'srightsandobligations乙方在簽訂合同前，應(yīng)當(dāng)驗(yàn)看甲方的證照資質(zhì)，確認(rèn)其是否具有出租該冷庫的權(quán)利，如有冷庫備案要求，是否已經(jīng)備案。PartyBshould,priortoconclusionofthecontract,checkPartyA'slicensequalificationtoconfirmwhetherithastherighttorentoutthecoldstorage,andifthecoldstorageshouldbeputonrecordrequiredbytherelevantregulationswhetherPartyAhasdoneso.在租賃期間，若遇甲方轉(zhuǎn)讓冷庫的部分或全部所有權(quán)，本合同對新所有權(quán)人繼續(xù)生效。在同等受讓條件下，乙方對本租賃物享有優(yōu)先購買權(quán)。Duringtheleaseperiod,wherePartyAtransferspartoralloftheownershipofthecoldstore,thiscontractshallremainvalidforthesuccessorownerandPartyBshallhavethepreferentialrighttopurchasetheleasedpremisesunderthesameconditionsofassignment.3.乙方應(yīng)當(dāng)分區(qū)、分架、分類存放冷藏冷凍食品。應(yīng)當(dāng)根據(jù)有關(guān)規(guī)定設(shè)置足夠數(shù)量的存放架，其結(jié)構(gòu)及位置能使貯存的冷藏冷凍食品離墻離地，保持規(guī)定距離，不得擠壓食品；生食與熟食等容易交叉污染的食品應(yīng)采取適當(dāng)?shù)姆指舸胧?，固定存放位置并明確標(biāo)識。PartyBshallstorerefrigeratedandfrozenfoodinseparatesections,shelvesandcategories.Thesufficientnumberofstorageracksshouldbeprovidedinaccordancewiththerelevantregulations,withastructureandlocat
