2008OFFICERENTALAGREEMENT二OO八年辦公室租賃協(xié)議(修改后)Lessee: **ResourcesLtd.承租方: **有限公司Lessor: ****DevelopmentLimitedCompany出租方: **房地產(chǎn)開發(fā)有限責(zé)任公司TheLeasedanditsusage:租賃物和用途:TheLesseerentsfromtheLessorallspacesonthe2ndFloor(**area1031.67m2)of**RealEstateDevelopment**,whichislocatedinSanhaoyuan,**,includingbutnotlimitedtotherooms,corridorandcarparkingarea,asoffices.承租方租用出租方位于**三號院**房地產(chǎn)開發(fā)大樓的二樓(建筑面積1031.67平方米)作為辦公室,包括但不限于所有房間、走廊及停車位。Hereinafterreferredtoasthe'LeasedOffices'.以下稱"租賃辦公室"。Termofrental:租賃期限:February1,2008toJanuary31,2011,plustheLessee'srighttorenewthisagreementonthesametermsandconditionsonayearbyyearbasis.InthisperiodtheLesseeandLessorshallgiveasixty(60)daynoticetotheotherpartybeforetheendofeachyear’stermabouttherenewalorterminationoftheAgreement.二零零八年二月一日至二零一一年一月三十一日。在繼續(xù)租用情況下,在每年一續(xù)的基礎(chǔ)上,承租方有權(quán)利以同樣的條款續(xù)簽該協(xié)議。在此期間內(nèi),每年協(xié)議到期前六十(60)天,承租方和出租方應(yīng)通知對方有關(guān)續(xù)簽與否的意向。Rental:租金:FromFebruary1,2008toJanuary31,2011:RMBonehundredandtwelvethousandninehundredandsixtyeightYuan(112,968)perquarteronly.Centralheatingfee:RMBtwentyninethousandtwohundredandsixteen(29,216.40)YuanfortyFenperwinterseason.二零零八年二月一日至二零一一年一月三十一日:每季度人民幣十一萬叁仟玖佰捌拾玖元(112,967元)整。每個(gè)冬季采暖費(fèi)人民幣貳萬玖仟貳佰拾壹柒元整(29,217元)。Paymentandterm:付款方式和期限:Paymentcanbemadebycheckorbanktransfer.可用支票或電匯支付租金。TheLesseeshallprepaythequarterlyrentalforthefollowingthreemonthsinadvance.承租方需按季度預(yù)付隨后三個(gè)月的租金。IftheLesseefailstomakepaymentasstipulatedintheprecedingclause,theoverdueamountpayableshallbearsimpleannualinterestatthethenprevailinginterestrateofdepositsannouncedbythePeople'sBankofChinauntilsuchtimeasthepaymentismade.IftheLesseefailstomakepaymentin60daysaftertherentalbecomespayabletheLessorhastherighttoterminatetheagreement.如承租方未能按上款支付租金,則應(yīng)加付延期付款期間的利息,直至租金得以支付。利率按中國人民銀行公布的同期存款年單利率執(zhí)行。如果承租方在60天內(nèi)未按約定支付租金,出租方有權(quán)解除本租賃協(xié)議。TheLesseeshallpaytheyearlycentralheatingfeewithinoneweekuponreceiptofpaymentnoticeandtheLessorwillissueanofficialinvoiceonthesamedayofreceiptofthepayment.承租方在收到支付采暖費(fèi)通知后,支付年度采暖費(fèi),出租方在收到付款的當(dāng)日開具正式發(fā)票。TheLessorshallsupplytheLesseewithanofficialinvoice(taxreceipt)onthesamedayofthereceiptofrentalpayment.出租方應(yīng)在收到租金當(dāng)日向承租方出具正式(含稅)發(fā)票。TheLesseewillpaytheLessoramountofRMBOneHundredThousandYuan(100,000.00)asadepositforstartingtheinternaldecorationuponsignatureofthisAgreement.Thedepositwillbedeductedfromthefirstquarterlyrentaldue.本租賃協(xié)議簽訂后,承租人將支付出租人人民幣壹拾萬元押金,啟動內(nèi)部裝修。該押金將從第一個(gè)季度租金應(yīng)付款中扣除。RightsandObligationsoftheParties:雙方權(quán)利與義務(wù):TheLessorshallpermittheLesseetomoveinandinstallsomeofficefurnituretotheLeasedOfficesduringfinaldecorationstagebeforetheofficialcontracttermcommencesformovingpurpose.出租方應(yīng)允許承租方在正式協(xié)議租賃期限開始前在裝修末期搬入并安裝部分辦公家具,為辦公環(huán)境做好準(zhǔn)備。TheLessorshallhavetheLessee'swrittenacceptanceoftheleasingconditionatthetimeofhandingoverincludingbutnotlimitedtothefollowingpoints:出租方應(yīng)得到承租方對以下幾點(diǎn)交接時(shí)的出租環(huán)境的書面認(rèn)可,包括但不限于:TheLessorshallstartinternaldecorationtotheLeasedOfficesatitsowncostuponsigningofthisleaseagreementwithstandardasfollowing:whitepaintedwall,whitewindowblind,ceramictilefloorinofficeandgranitestonefloorincorridor,goodqualityairconditioner,hotwaterforwashbasin,autoflushurinal,onesittingandonesquattingtypetoiletsinMen’sroom,twosquattingtypetoiletsinLady’sroom.Partitionentrydoublesecuritydoorinfrontofelevator.Securitydoorsonstairwayentry.Coffeeandtearoomnexttowashroomshallhaveasinkwithhotandcoldwaterpipeinstalled.Partitionwallanddoorchangemaybeneededasrequired.DetailsofthesedecorationspecificationswillbeprovidedbytheLessee.自本租賃協(xié)議簽字生效之日起,出租方應(yīng)自費(fèi)對租賃辦公室進(jìn)行內(nèi)部裝修,其裝修標(biāo)準(zhǔn)如下:白色墻漆墻面、白色百葉窗、辦公室房間內(nèi)為瓷磚地面、走廊為花崗巖地面、高品質(zhì)空調(diào)機(jī)、衛(wèi)生間洗手盆有熱水、男衛(wèi)生間小便池自動感應(yīng)沖水,一個(gè)蹲便和一個(gè)坐便、女衛(wèi)生間兩個(gè)蹲便、衛(wèi)生間旁邊的茶水間要有冷熱水管和水池、電梯前安裝入戶雙開防盜門、樓梯入口安裝雙開防盜門、隔墻和房間門可能會根據(jù)要求進(jìn)行改動。承租方將提供這些裝修要求詳細(xì)說明清單。AllLeasedOfficesshallbeprofessionallycleanedandtidybyJanuary31,2008,includingbutnotlimitedtoallfloors,ceilings,windows,walls,blinds,washroomandthecorridor.截止二零零八年一月三十一日,所有出租辦公室應(yīng)是職業(yè)性的整潔狀態(tài),包括但不限于所有的地面、天花板、門窗、墻壁、百葉窗、衛(wèi)生間及走廊。Allair-conditioners,lightingandwaterpipeandplumbingshallbeingoodworkingcondition,andalllightsshallbeinplace.所有的空調(diào)、照明和上下水管道應(yīng)工作狀態(tài)良好。所有的照明燈均就位。Lightsinofficeroomandonthecorridorshallbeenergy-savingfluorescentlampwithswitches.房間和走廊上的照明均為開關(guān)式節(jié)能日光燈。ThereareatleastfourpowersocketsineachofficeandtelephoneandinternetlinesineachroomshallbelaidaspertheLessee’srequirement.每個(gè)租用辦公室應(yīng)具備至少四個(gè)電源插座,各辦公室配備足夠的網(wǎng)線和電話線接頭(承租方將提出具體布線要求)。TheLessorshallallowtheLesseetoputthecompanynameboardoftheLesseeintheentryareaoftheoffice**yardforthefunctionofdirectinglessees’svisitors.出租方應(yīng)準(zhǔn)許承租方在辦公樓院門前掛立公司標(biāo)牌,為承租方的來訪者提供指示。TheLessorshallprovidethree(3)vehicleparkingspaceincludedintherentalfordayandnightandallowfreeparkingduringdaytimeinsidetheyardfortheLesseeifanyvehiclesoflesseeorhiredbytheLesseewouldparkinsidetheyardofthe**.租金包含出租方為承租方在辦公大樓院里提供三個(gè)晝夜停車位,并允許承租方自己或租用車輛在白天免費(fèi)停車。TheLessorshallincludetheLeasedOfficewithinitsownsecuritycheckingareatwentyfourhoursperdaythroughoutthewholeyear.HowevertheLessorhasnoresponsibilitytocompensateforlossiftheLessee’spropertyisstolenintheoffice.TheLesseeshallobservethesecurityruleoftheLessor,andhavetheliabilitiestowatchthesecurityinsidetheLeasedOfficearea.出租方應(yīng)將租賃辦公室劃為其保安范圍內(nèi),全年每天二十四小時(shí)值班。然而,出租方不承擔(dān)承租方在辦公室被盜損失的賠償責(zé)任。承租方應(yīng)遵守出租方的安全保衛(wèi)制度,有義務(wù)維護(hù)辦公區(qū)域的安全。TheLessorshallkeeponesetofthekeytotheentrydoor,sealedinapackagebytheLessee,toalltheroomsinsidetheLeasedOfficearea.TheLessorshallnotopenthepackageunlessundertheemergency(suchasfire)andtheexplanationshallbegiventotheLesseeofthepackageopening.出租方應(yīng)保留一套由承租方打包封存的租賃辦公室大門的鑰匙。除非在緊急情況下(如火災(zāi)等)出租方不得啟封。啟封后應(yīng)向承租方做出說明。TheLessorshallperformthedutyofthemaintenanceworkoftheLeasedOfficesandcommonareassuchastheelevatorincludingbutnotlimitedtotheair-conditioning,heating,electricitysupply,watersupplyandplumbing.IfthereisnoresponsebytheLessorwithinoneweekaftertheLessee’sapplicationfortheabovemaintenance,oriftheLessorcannotperformitsdutyofmaintenance,aftertheagreementoftheLessor,theLesseemaymaintaintheLeasedOfficesatitsowndiscretion,andthecostsincurredshallbedeductedfromtherentalpayment.ThemaintenanceinthisarticlereferstotherecoveryofnormalfunctionoftheLeasedOffice.出租方應(yīng)履行對租賃辦公室及公共區(qū)域如電梯的維修義務(wù),包括但不限于空調(diào)、供暖、供電、及上下水管道。如果在承租方提出維修申請一周內(nèi),沒有答復(fù)或出租方不能維修,承租方在征得出租方同意后,可以自行維修,維修費(fèi)用從租金中扣除。ThestaffoftheLesseeshallhavetherightofaccesstotheLeasedOfficesfrom6:30amto9:00pmonanydayduringtheyear.Foranytimeoutoftheabovetime,theSecurityDepartmentshallbenotifiedinadvance.LesseepersonnelshallnotstayovernightintheLeasedOffice.TheSecurityGuardoftheLessorhastherighttoinquirythestaffandassociatesoftheLesseeandtheentryregistrationwillbeaskedtoenter.AccesstotheLessee'sofficebystaff,ContractororassociatesoftheLessorshallbebyauthorizationoftheLessee.承租方的雇員有權(quán)在一年內(nèi)任何日期的早上6:30到晚上9:00進(jìn)出租賃辦公室,超出該時(shí)間范圍應(yīng)提前與出租方保衛(wèi)部門通報(bào)。承租方人員不得在租賃辦公室內(nèi)留宿。出租方保衛(wèi)有權(quán)對承租方員工及客戶進(jìn)行詢問和出入登記。對于出租方的員工、其合同商及與出租方有關(guān)的單位進(jìn)入租賃辦公室,應(yīng)得到承租方的認(rèn)可。TheLesseewillberesponsibleforthepaymentofelectricitychargesfortheLessee'sofficespaceasmeasuredbytheLessor'sseparatemeterforthefloorspaceoccupiedbyLessee.TheelectricitywillbechargedbytheLessorbasedonthe**electricitychargingstandard.承租方將負(fù)責(zé)支付其辦公區(qū)域內(nèi)的用電,電量將由出租方提供的單獨(dú)用于承租人租賃樓層的電表計(jì)量。出租方將按本地收費(fèi)標(biāo)準(zhǔn)收取電費(fèi)。IftheLesseeoritsvisitorsdamagetheLessor'sfacilities,theLesseeshallcompensatetheLessorfortheloss,withtheexceptionofnormalwearandtearanddamagescausedbynormaluse.如承租方或其訪客損壞出租方的設(shè)施,承租方應(yīng)予賠償,但正常使用中造成的損壞和磨損除外。TheLesseeshallberesponsibleforitsownvaluables,cash,furniture,equipmentanddocumentsheldattheLeasedOffices.IftheLessororitspersonnelcausethedamageorlossoftheLessee’soritspersonnel’svaluables,cash,documentandthelike,theliabilitiesandcompensationswouldbedecidedbytheagreementbetweentwoparties.Ifthecriminalcaseorcivilcasehasincurredthereof,theliabilitiesandcompensationswouldbedecidedbythejudgmentofthelawexecutivebody.承租方應(yīng)負(fù)責(zé)其放在租賃辦公室的貴重物品、現(xiàn)金、家具、設(shè)備及文件的安全。如出租方或其人員造成承租方或其人員的貴重物品、現(xiàn)金、文件等的損壞或丟失,責(zé)任及賠償應(yīng)由雙方協(xié)商處理。如由此引發(fā)各類刑事、民事案件,賠償責(zé)任應(yīng)以執(zhí)法機(jī)關(guān)的最終判決為準(zhǔn)。TheLesseeshallhavetherighttosub-leasepartofitsleasedfloortoothercompanyororganizationonthebasisofbeingasoleLesseetotheLessorforitsleasingresponsibility.承租人有權(quán)部分再出租其租賃面積給其它公司或機(jī)構(gòu),但條件是對于出租人而言,承租人承擔(dān)全部承租人責(zé)任。IftheLesseeintendstoterminatethisagreement,itshallgivetheLessorsixty(60)daysnoticeinwriting.InthecaseofintentionalmaliciousconductbytheLesseewhichhavetakenseriousharmtotheLessor,theLessorshallhavetherighttoterminatethisContractbygivingtheLesseesixty(60)daysnoticeinwriting.如承租方欲中止本協(xié)議,需提前六十(60)天書面通知出租方。若承租方有故意的惡意行為而給出租方帶來了重大損失,出租方有權(quán)提前六十(60)天書面通知承租方中止本協(xié)議。AnyamendmentofthisagreementshallbediscussedbetweentheLesseeandtheLessorandmutuallyagreeabletermsandconditionsarrivedat.對本協(xié)議的修改,需經(jīng)出租方與承租方協(xié)商,并就其條款達(dá)成一致。TheissuesnotcoveredbythisagreementshallbeimplementedaccordingtotheContractLawofthePeople'sRepublicofChinathathasbeenpromulgated.Theissuesnotcoveredbythesaidlawshallberesolvedthroughfriendlyconsultationbetweentheparties.本協(xié)議未盡事宜按已頒布的《中華人民共和國合同法》執(zhí)行,該法未涵蓋的,雙方通過友好協(xié)商解決。**ResourcesLtd. **房地產(chǎn)開發(fā)有限責(zé)任公司TheLeasedanditsusage:租賃物和用途:TheLesseerentsfromtheLessorallspacesonthe2ndFloorof**RealEstateDevelopment**,whichislocatedinSanhaoyuan,**,includingbutnotlimitedtotherooms,corridorandcarparkingarea,asoffices.承租方租用出租方位于**三號院**房地產(chǎn)開發(fā)大樓的二樓作為辦公室,包括但不限于所有房間、走廊及停車位。Hereinafterreferredtoasthe'LeasedOffices'.以下稱"租賃辦公室"。Termofrental:租賃期限:February1,2008toJanuary31,2011,plustheLessee'srighttorenewthisagreementonthesametermsandconditionsonayearbyyearbasis.InthisperiodtheLesseeshallgiveasixty(60)daynoticetotheLessorbeforetheendofeachyear’stermabouttherenewalorterminationoftheAgreement.二零零八年二月一日至二零一一年一月三十一日。在繼續(xù)租用情況下,在每年一續(xù)的基礎(chǔ)上,承租方有權(quán)利以同樣的條款續(xù)簽該協(xié)議。在此期間內(nèi),每年協(xié)議到期前六十(60)天,承租方應(yīng)通知出租方有關(guān)續(xù)簽與否的意向。Rental:租金:FromFebruary1,2008toJanuary31,2011:RMBonehundredandthirteenthousandninehundredandeightynineYuan(113,989.00)perquarteronly.Centralheatingfee:RMBtwentyninethousandfourhundredandeightyone(29,481.00)Yuanperwinterseason.二零零八年二月一日至二零一一年一月三十一日:每季度人民幣十一萬叁仟玖佰捌拾玖元(113,989.00)整。每個(gè)冬季采暖費(fèi)人民幣貳萬玖仟肆佰捌拾壹元整。Paymentandterm:付款方式和期限:Paymentcanbemadebycheckorbanktransfer.可用支票或電匯支付租金。TheLesseeshallprepaythequarterlyrentalforthefollowingthreemonthsinadvance.承租方需按季度預(yù)預(yù)付隨后三個(gè)個(gè)月的租金。IftheLLesseeefaillstomakepaymeentassstippulateedintheppreceddingcclausee,theeoverrdueaamounttpayaablesshallbearsimplleannnualiintereestattthethenprevaailingginteerestrateofdeeposittsannnounceedbythePPeoplee'sBaankoffChinnaunttilsuuchtiimeassthepaymeentissmadee.如承租方未能按上上款支付租金金,則應(yīng)加付付延期付款期期間的利息,直直至租金得以以支付。利率率按中國人民民銀行公布的的同期存款年年單利率執(zhí)行行。TheLessseeshhallppaythheyeaarlyccentraalheaatingfeewwithinntwennty(220)daaysupponreeceipttofaanoffficiallinvooice.承租方在收到采暖暖費(fèi)正式發(fā)票票后二十日內(nèi)內(nèi)支付年度采采暖費(fèi)。TheLesssorshhallssupplyytheLesseeewitthanofficcialiinvoicce(taaxrecceipt))inaadvancceoftherreceipptofrentaalpayyment..出租方在收到租金金之前應(yīng)向承承租方出具正正式發(fā)票。TheLesseeewilllpayytheLessooramoountoofRMBBOneHundrredThhousanndYuaan(1000,0000.00)asadepossitfoorstaartinggtheinterrnalddecoraationuponsignaatureofthhisAggreemeent.TThedeeposittwilllbeddeducttedfrromthhefirrstquuarterrlyreentaldue.本租賃協(xié)議簽訂后后,承租人將將支付出租人人人民幣壹拾拾萬元押金,啟啟動內(nèi)部裝修修。該押金將將從第一個(gè)季季度租金應(yīng)付付款中扣除。RightsaandObbligattionsofthheParrties:雙方權(quán)利與義務(wù)::TheLesssorshhallppermitttheLesseeetomoveinanndinsstallsomeofficcefurrniturretotheLLeaseddOffiicesdduringgfinaaldeccoratiionsttagebbeforeetheofficcialccontraactteermcoommenccesfoormovvingppurposse.出租方應(yīng)允許承租租方在正式協(xié)協(xié)議租賃期限限開始前在裝裝修末期搬入入并安裝部分分辦公家具,為辦公環(huán)境做好準(zhǔn)備。TheLesssorshhallhhavettheLeessee''swriittenaccepptanceeofttheleeasinggcondditionnattthetiimeoffhanddingooveriincluddingbbutnootlimmitedtothhefolllowinngpoiints:出租方應(yīng)得到承租租方對以下幾幾點(diǎn)交接時(shí)的的出租環(huán)境的的書面認(rèn)可,包包括但不限于于:TheLesssorshhallsstartinterrnalddecoraationtothheLeaasedOOfficeesatitsoowncoostupponsiigninggoftthislleaseagreeementwithstanddardaasfolllowinng:whhiteppainteedwalll,whhitewwindowwblinnd,ceeramicctileeflooorinofficceanddgrannitesstonefloorrinccorriddor,ggoodqqualittyairrcondditionner,hhotwaaterfforwaashbaasin,autoflushhurinnal,oonesiittinggandonessquatttingttypettoilettsinMen’srooom,twwosquuattinngtyppetoiiletsinLaady’srooom.Paartitiionenntryddoubleesecuuritydoorinfrrontoofeleevatorr.Seccurityydoorrsonstairrwayeentry..Cofffeeanndteaaroommnextttowwashrooomshhallhhaveaasinkkwithhhotandccoldwwaterpipeinstaalled..Parttitionnwalllanddoorchanggemayybenneededdasrrequirred.SSecuriitybaarstoowinddows.Detaiilsoffthessespeecificcationnswilllbeproviidediinaffloorplandrawiing.自本租賃協(xié)議簽字字生效之日起起,出租方應(yīng)應(yīng)自費(fèi)對租賃賃辦公室進(jìn)行行內(nèi)部裝修,其其裝修標(biāo)準(zhǔn)如如下:白色墻墻漆墻面、白白色百葉窗、辦辦公室房間內(nèi)內(nèi)為瓷磚地面面、走廊為花花崗巖地面、高高品質(zhì)空調(diào)機(jī)機(jī)、衛(wèi)生間洗洗手盆有熱水水、男衛(wèi)生間間小便池自動動感應(yīng)沖水,一一個(gè)蹲便和一一個(gè)坐便、女女衛(wèi)生間兩個(gè)個(gè)蹲便、衛(wèi)生間旁邊邊的茶水間要要有冷熱水管管和水池、電電梯前安裝入入戶雙開防盜盜門、樓梯入入口安裝防盜盜門、隔墻和和房間門可能能會根據(jù)要求求進(jìn)行改動。窗窗戶加裝防盜盜護(hù)欄。這些些要求將提供供詳細(xì)說明的的樓層平面圖圖。AllLeassedOffficessshalllbeprofeessionnallycleannedanndtiddybyJanuaary311,20008,inncludiingbuutnottlimiitedttoalllflooors,cceilinngs,wwindowws,waalls,blindds,waashrooomanddthecorriidor.截止二零零八年一一月三十一日日,所有出租租辦公室應(yīng)是是職業(yè)性的整整潔狀態(tài),包包括但不限于于所有的地面面、天花板、門門窗、墻壁、百百葉窗、衛(wèi)生生間及走廊。Allair--condiitioneers,llightiinganndwatterpiipeanndpluumbinggshalllbeingooodwoorkinggcondditionn,anddalllighttsshaallbeeinpplace..所有的空調(diào)、照明明和上下水管管道應(yīng)工作狀狀態(tài)良好。所所有的照明燈燈均就位。Lightsiinoffficerroomaandonnthecorriidorsshallbeennergy--savinngfluuoresccentllampwwithsswitchhes.房間和走廊上的照照明均為開關(guān)關(guān)式節(jié)能日光光燈。TherearreatleasttfourrpoweersoccketsineaachoffficeandttelephhoneaandinnterneetlinnesinneachhroommshalllbelaidaspeertheeLesssee’srequuiremeent.每個(gè)租用辦公室應(yīng)應(yīng)具備至少四四個(gè)電源插座座,各辦公室室配備足夠的的網(wǎng)線和電話話線接頭(承承租方將提出出具體布線要要求)。TheLesssorshhallaallowtheLLesseeetopputthhecommpanynameboarddofttheLeesseeinthheenttryarreaofftheofficce**yarrdforrthefuncttionoofdirrectinnglesssees’’svissitorss.出租方應(yīng)準(zhǔn)許承租租方在辦公樓樓院門前掛立立公司標(biāo)牌,為為承租方的來來訪者提供指指示。TheLesssorshhallpproviddethrree(33)vehhicleparkiingsppaceiincluddedinntherentaalforrdayandnnightandaallowfreeparkiingduuringdayttimeinnsidetheyyardfforthheLessseeiifanyyvehiiclesofleesseeorhiiredbbytheeLessseewoouldpparkiinsideetheyardofthhe**.租金包含出租方為為承租方在辦辦公大樓院里里提供三個(gè)晝晝夜停車位,并并允許承租方方自己或租用用車輛在白天天免費(fèi)停車。TheLesssorshhalliincluddetheeLeassedOffficewithiinitssownsecurrityccheckiingarreatwwentyfourhourssperdaytthrougghouttthewholeeyearr.ThheLessseesshallobserrvethheseccurityyruleeofttheLeessor,,andhavethelliabillitiesstowwatchthessecuriityinnsidetheLLeaseddOffiicearrea.TheFFire-pproofLiabiilityAgreeementshalllbessigneddwithhtheLessoor.出租方應(yīng)將租賃辦辦公室劃為其其保安范圍內(nèi)內(nèi),全年每天天二十四小時(shí)時(shí)值班。承租租方應(yīng)遵守出出租方的安全全保衛(wèi)制度,有有義務(wù)維護(hù)辦辦公區(qū)域的安安全,應(yīng)與出出租方簽訂防防火責(zé)任書。TheLesssorshhallkkeepooneseetofthekkeytootheentryydoorr,seaalediinappackaggebytheLLesseee,toallttherooomsiinsideetheLeaseedOffficeaarea.TheLessoorshaallnootopeentheepackkageuunlesssundeertheeemerrgencyy(succhasfire))andtheeexplannationnshalllbegivenntottheLeesseeofthhepacckageopeniing.出租方應(yīng)保留一套套由承租方打打包封存的租租賃辦公室大大門的鑰匙。除除非在緊急情情況下(如火災(zāi)等出出租方不得啟啟封。啟封后后應(yīng)向承租方方做出說明。TheLesssorshhallpperforrmtheedutyyoftthemaaintennanceworkofthheLeaasedOOfficeesanddcommmonarreasssuchaastheeelevvatorincluudingbutnnotliimiteddtottheaiir-connditiooning,,heatting,electtricittysuppply,waterrsuppplyanndpluumbingg.IfftherreisnoreesponssebytheLLessorrwithhinonneweeekaftterthheLesssee’sappplicattionfforthheaboovemaaintennance,,oriiftheeLesssorcaannottperfformiitsduutyoffmainntenannce,aaftertheaagreemmentooftheeLesssor,ttheLeesseemaymmaintaainthheLeaasedOOfficeesatitsoowndiiscrettion,andtthecoostsiincurrredshhallbbededducteddfrommtherentaalpayyment..TheemainntenannceinnthissartiiclerrefersstotthereecoverryofnormaalfunnctionnofttheLeeasedOfficce.出租方應(yīng)履行對租租賃辦公室及及公共區(qū)域如如電梯的維修修義務(wù),包括括但不限于空空調(diào)、供暖、供供電、及上下下水管道。如如果在承租方方提出維修申申請一周內(nèi),沒沒有答復(fù)或出出租方不能維維修,承租方方在征得出租租方同意后,可可以自行維修修,維修費(fèi)用用從租金中扣扣除。ThestafffoftheLLesseeeshalllhavvetheerighhtofaccessstotheLLeaseddOffiicesffrom66:30ammto99:00pmmonaanydaaydurringttheyeear.Foraanytimmeouttofttheabbovettime,theSSecuriityDeepartmmentsshallbenootifieedinadvannce.LLesseeeperssonnellshalllnottstayyoverrnighttinttheLeeasedOfficce.TTheSeecurittyGuaardofftheLessoorhasstherightttoiinquirrytheestafffanddassoociateesoftheLLesseeeandtheeentryregisstratiionwiillbeeaskeedtoenterr.AcccessttotheeLesssee'sofficcebystafff,ConntracttororrassoociateesoftheLLessorrshalllbebyauuthoriizatioonoftheLLesseee.承租方的雇員有權(quán)權(quán)在一年內(nèi)任任何日期的早早上6:30到晚上9:00進(jìn)出租賃辦辦公室,超出出該時(shí)間范圍圍應(yīng)提前與出出租方保衛(wèi)部部門通報(bào)。承承租方人員不不得在租賃辦辦公室內(nèi)留宿宿。出租方保保衛(wèi)有權(quán)對承承租方員工及及客戶進(jìn)行詢詢問和出入登登記。對于出出租方的員工工、其合同商商及與出租方方有關(guān)的單位位進(jìn)入租賃辦辦公室,應(yīng)得得到承租方的的認(rèn)可。TheLessseewiillbeerespponsibblefoortheepaymmentoofeleectriccitycchargeesforrtheLesseee'soofficeespacceasmeasuuredbbytheeLesssor'sseparratemmeterforttheflloorsspaceoccuppiedbbyLesssee.TheelecttricittywilllbecharggedbyytheLessoorbassedonnthe***eleectriccitycchargiingsttandarrd.承租方將負(fù)責(zé)支付付其辦公區(qū)域域內(nèi)的用電,電電量將由出租租方提供的單單獨(dú)用于承租租人租賃樓層層的電表計(jì)量量。出租方將將按本地收費(fèi)標(biāo)準(zhǔn)準(zhǔn)收取電費(fèi)。IftheLLesseeeoriitsviisitorrsdammagettheLeessor''sfaccilitiies,ttheLeesseeshalllcomppensattetheeLesssorfoortheelosss,witththeeexceeptionnofnnormallwearrandtearandddamageescauusedbbynorrmaluuse.如承租方或其訪客客損壞出租方方的設(shè)施,承承租方應(yīng)予賠賠償,但正常常使用中造成成的損壞和磨磨損除外。TheLessseeshhallbberessponsiiblefforittsownnvaluuabless,cassh,fuurnituure,eequipmmentaanddoocumenntsheeldatttheLeaseedOfffices..IfttheLeessororittsperrsonneelcauusethhedammageoorlosssoftheLLesseee’soritsppersonnnel’svalluablees,caash,ddocumeentanndtheelikee,theeliabbilitiiesanndcommpensaationsswoulldbedeciddedbyytheaagreemmentbbetweeentwoopartties.Iftthecrriminaalcasseorcivillcaseehasincurrredtthereoof,thheliaabilittiesaandcoompenssationnswouuldbeedeciidedbbytheejudggmentofthhelawwexeccutiveebodyy.承租方應(yīng)負(fù)責(zé)其放放在租賃辦公公室的貴重物物品、現(xiàn)金、家家具、設(shè)備及及文件的安全全。如出租方方或其人員造造成承租方或或其人員的貴貴重物品、現(xiàn)現(xiàn)金、文件等等的損壞或丟丟失,責(zé)任及及賠償應(yīng)由雙雙方協(xié)商處理理。如由此引引發(fā)各類刑事事、民事案件件,賠償責(zé)任任應(yīng)以執(zhí)法機(jī)機(jī)關(guān)的最終判判決為準(zhǔn)。TheLessseeshhallhhavettheriightttosubb-leasseparrtofitslleaseddflooortootherrcomppanyoororgganizaationonthhebassisoffbeinngassoleLLesseeetottheLeessorforiitsleeasinggrespponsibbilityy.承租人有權(quán)部分再再出租其租賃賃面積給其它它公司或機(jī)構(gòu)構(gòu),但條件是是對于出租人人而言,承租租人承擔(dān)全部部承租人責(zé)任任。IftheLLesseeeinteendsttoterrminattethiisagrreemennt,ittshalllgivvetheeLesssorsiixty((60)ddaysnnoticeeinwwritinng.IIntheecaseeofiintenttionallmaliiciousscondductbbytheeLessseewhhichhhavettakenseriooushaarmtootheLessoor,thheLesssorsshallhavetherrighttoteerminaatethhisCoontracctbygivinngtheeLessseesiixty((60)ddaysnnoticeeinwwritinng.如承租方欲中止本本協(xié)議,需提提前六十(60)天書面通知知出租方。若若承租方有故故意的惡意行行為而給出租租方帶來了重重大損失,出出租方有權(quán)提提前六十(60)天書面通知知承租方中止止本協(xié)議。AnyamenndmenttoftthisaagreemmentsshallbediiscusssedbeetweenntheLesseeeanddtheLessooranddmutuuallyagreeeabletermssandcondiitionssarriivedaat.對本協(xié)議的修改,需需經(jīng)出租方與與承租方協(xié)商商,并就其條條款達(dá)成一致致。TheissuuesnootcovveredbythhisaggreemeentshhallbbeimpplemenntedaaccorddingttotheeConttractLawooftheePeopple'sRepubblicoofChiinathhathaasbeeenproomulgaated.Theiissuessnotcoverredbyythesaidlawsshallbereesolveedthrroughfrienndlycconsulltatioonbettweentheppartiees.本協(xié)議未盡事宜按按已頒布的《中中華人民共和和國合同法》執(zhí)執(zhí)行,該法未未涵蓋的,雙雙方通過友好好協(xié)商解決。**ResouurcesLtd.
