5、原因，致使賣方不能全部或部分裝運(yùn)或 延期裝運(yùn)合同貨物，賣方對這種不能裝運(yùn)或延期裝運(yùn)本合同貨物不負(fù)有責(zé)任。賣方須于15天內(nèi)用傳真通知買方。The sellers shall not be held responsible for late delivery or non-delivery for all or part of the contracted goods owing to such Force Majeure causes as war, earthquake, flood, conflagration, rainstorm and snowstorm. However, in su

6、ch a case, the sellers shall inform the buyers by fax within 15days.異議與索賠：Discrepancy and Claim:貨物到達(dá)目的地后，買方若對貨物的質(zhì)量/數(shù)量 /重量有異議，應(yīng)在貨物到達(dá)目的地后 15天內(nèi)憑賣方承認(rèn)的公眾鑒定人出具的檢驗(yàn)證明向賣方提出，否則賣方將不承擔(dān)責(zé)任。對由不可抗力造成的損失，或?qū)儆诔羞\(yùn)人 或保險(xiǎn)人責(zé)任范圍內(nèi)的，賣方不予賠償。任何一方未按上述規(guī)定的期限履約，無論是賣方?jīng)]有發(fā)運(yùn)還是買 方?jīng)]有開證，或者信用證不符合合同條款而買方又沒有及時修改，對方都有權(quán)解除合同，并向另一方索賠 補(bǔ)償直接損失。遭受不可抗

In the event either the Sellers fail to effect the shipment or the Buyers fail to establish t

9、he relevant L/C within the respective time limits as set forth in the above, or the L/C does not correspond with the Contract terms and the Buyers fail to amend it in time, the plaining Party shall have the right to cancel this contract and to claim on the Party at fault for pensation of direct loss

10、es, if any, sustained there from, unless in cases where Force Majeure is applicable.仲裁：Arbitration: 凡因執(zhí)行本合同所發(fā)生的或與本合同有關(guān)的一切爭議，雙方應(yīng)通過協(xié)商解決；如果協(xié)商不能解決，應(yīng)提交 北京中國國際經(jīng)濟(jì)貿(mào)易仲裁委員會，根據(jù)該會的仲裁規(guī)則進(jìn)行仲裁。仲裁裁決是最終的，對雙方都有約束 力。仲裁費(fèi)用除仲裁機(jī)構(gòu)另有規(guī)定外，均由敗訴方承擔(dān)。Any dispute arising from the execution of, or in connection with, this Contract s
