12、imultaneouslyadvise the Buyer ' sshipp ing age nt at the load ing port, 30 days before the con tracted time of shipme nt, of the Con tract No., n ame of commodity,qua ntity, load ing port and expected date ofarrival of the goods at the loading port, enabling the Buyer to arranges for shipping sp

Abse nce of such advice with in the time specified above shall be con sidered as Seller ' s readiness to deliver the goods during the time of shipment contracted and theBuyer shall arrange for shipping space accordingly.b）買方應(yīng)在船只受載期12天前將船只、預(yù)計受載日期、裝載數(shù)量、合同號碼、船舶代理人，以傳真通知賣方。賣方應(yīng)聯(lián)系船舶代理人配合船期裝船。如買方因

14、故需要變更船只或更改船 期時，買方或船舶代理人應(yīng)及時通知賣方。The Buyer shall advise the Seller by fax, 12 days before the expected loading date, of the estimated laydays, Contract No., name of vessel, quantity to be loaded and shipping agent. The Seller shall then arrange with the shipping agent for loading accordingly. In case

15、of necessity for substitution of vessel or alteration of shipping schedule, the Buyer or the shipping agent shall duly advise the Seller to the same effect.c ）買方所租船只按期到達裝運口岸后，如賣方不能按時備貨裝船，買方因而遭受的一切損 失包括空艙費、滯期費及/或罰款等由賣方負擔(dān)。如船只不能于船舶代理人所確定的受載期內(nèi)到達，在港口免費堆存期滿后第16天起發(fā)生的倉庫租費、保險費由買方負擔(dān)，但賣方仍負有載貨船只到達裝運口岸后立即將貨物裝船之義

16、務(wù)并負擔(dān)費用及風(fēng)險。前述各種損失均憑原始單據(jù)核實支付。In the event of the Seller ' s failure in effecting shipment upon arrival of the vessel at the loading port, all losses, including dead freight, demurrage and/or fines etc., thus incurred, shall be for Seller' s account. If the vessel fails to arrive at the loading

17、 portwithin the laydays previously declared by the shipping agent, the storage charges and insurance premium from the 16th day after expiration of the free storage time at the port shall be borne by the Buyer. However, the Seller shall be still under the obligation to load the goods on board the car

18、rying vessel immediately after her arrival at the loading port, at their own expenses and risks. The expenses and losses mentioned above shall be reimbursed against original receipts or invoices.C&F (CFR )或 CIF 價格的裝運條件Terms of Shipments (C&F/CFR or CIF)賣方負責(zé)將本合同所列貨物由裝運口岸到目的口岸，中途不得轉(zhuǎn)船。The Selle

19、r shall undertake to ship the contracted goods from the port of loading to the port of destination, with no transshipment allowed.a)賣方應(yīng)在不遲于裝運前 30日，以傳真通知買方裝運船只的船名、船籍、船齡和其他有關(guān)該船的詳細情況，以及每次裝運貨物的合同號。經(jīng)買方對船只確認(rèn)接受后，賣方才可裝運。 但 買方不能無理拖延上述確認(rèn)，買方應(yīng)在接到通知后 5個工作日內(nèi)作出確認(rèn)，否則即視為該船只 已被確認(rèn)。The Seller shall, not later than 30 d

20、ays before the time of shipment, inform the Buyer by Fax of the name, nationality, age and other details of the carrying vessel as well as the contract number of each shipment. The shipment shall not be effected without the confirmation from the Buyer with respect to the acceptability of the vessel,

21、 provided that Buyer shall not unreasonably withhold such confirmation. Buyer shall confirm the vessel by Fax within 5 working days, otherwise the vessel shall be regarded as confirmed.b)賣方所租船只應(yīng)適航和適貨，租船時應(yīng)慎重、認(rèn)真地選擇承運人及船只。買方不接受非保賠協(xié)會成員船只。賣方指定船舶的國籍不得違反買方所在國承諾的國際義務(wù)。The carrying vessel chartered by Seller

22、shall be seaworthy and cargoworthy. Seller shall be obliged to act prudently and conscientiously when selecting the vessel and the carrier when chartering such vessel. Buyer is justified in not accepting vessels chartered by Seller that are not members of the P&I CLUB. The nationality of the ves

23、sel nominated by Seller shall not be in conflict with the international commitments undertaken by the country where Buyer is located.c)賣方所租船只船齡不得超過15年。對超過15年船齡的船只其超齡額外保險費由賣方負擔(dān)。買方不接受超過20年船齡的船只。The age of the carrying vessel chartered by Seller shall not exceed 15 years, Theextra overage insurance pre

Vessel morethan 20 years of age in no event be acceptable to Buyer.d）賣方應(yīng)和載運貨物的船只保持密切聯(lián)系，并以最快方式通知買方船只在途中發(fā)生的一切事故，賣方應(yīng)對未及時通知買方而造成買方的一切損失負責(zé)賠償。Seller shall maintain close contact with the carrying vessel and shall notify Buyer byfastest means of communication ab

25、out any and all accidents that may occur while the carrying vessel is on route. Seller shall assume full responsibility and shall compensate Buyer for all losses incurred for its failure to give timely advice or notification to Buyer.12 .裝運通知：賣方在貨物裝船后，一個小時內(nèi)（填入24或48或72）將合同號、品名、件數(shù)、 毛重、凈重、發(fā)票金額、載貨船名及裝船日

26、期以傳真（傳真號：-）通知買方。Advice of shipment The Seller shall, upon completion of loading, advise the Buyerwithin hours by fax （fax No. ） of the Contract No., name of commodity, number of packages, gross and net weights, invoice value, name of vessel and loading date.13 .卸貨條款（Discharging Term ）：按照卸貨港慣常速度快速卸貨，

27、不計滯期費或速遣費。customary quick despatchDischarging rate on discharging port is as per CQD14 . 保險(Insurance ):FOB 或 C&F/CFR 價格的保險Insurance (FOB or C&F/CFR):買方應(yīng)負責(zé)按 規(guī)則投保。但賣方應(yīng)按本合同第12條通知買方。 如賣方未能及時通知買方，買方因而遭受的一切損失全由賣方承擔(dān)。Insurance shall be procured by Buyer, in accordance with the insurance regulations

28、ofFor this purpose the Sellers shall advise the Buyers by fax of the particulars as called for in Clause 12 ofthis Contract. In the event of the Buyers being unable to arrange for insurance in consequence of the Sellersfailure to send the above advice, the Sellersshall be held responsible for all th

29、e losses thus sustained by the Buyers.CIF 價格的保險Insurance(CIF):賣方應(yīng)遵照 規(guī)則按發(fā)票金額的110%投保 險。Insurance shall be procured by Seller in accordance with the insurance regulationsof for 110% of the invoice value against.附加險應(yīng)包括 Additional insurance shall include15 .檢驗(Inspection ):15.1 制造商(裝運港檢驗機構(gòu))檢驗：賣方應(yīng)在貨物裝運前向買

30、方出具制造商(裝運港檢驗機構(gòu))根據(jù)本合同的規(guī)定標(biāo)準(zhǔn)對貨物的品質(zhì)、規(guī)格、數(shù)量、重量、包裝、安全、衛(wèi)生或健康要求簽發(fā)的檢驗報告。上述檢驗報告應(yīng)構(gòu)成賣方要求付款時出具的單據(jù)之一。15.1 Inspection by manufacturerinspection organization on loading portThe Seller shall, before the time of shipment, provide the inspection reports signedby the manufacturers ( inspection organization on loading po

31、rt ) on the quality, specification, quantity,weight,packaging and requirementsfor safety andsanitation/hygiene of the goods in accordance with the standards stipulated in this Contract.The aforesaidinspection reports shall be an integral part of the documents to be presented for payment.15.2 到貨檢驗：買方

32、有權(quán)在貨物到達（卸貨港）后向檢驗機構(gòu)申請檢驗貨物。檢驗機構(gòu)是：中華人民共和國（填入相應(yīng)地名，如北京等）出入境檢驗檢疫局。15.3 Inspection upon arrivalBuyer shall have the right to apply to the inspection organization for the inspectionof the goods after the arrival of the goodsat.Inspectionorganization: Exit-Entry Inspection and Quarantine Bureau of the People

33、' sRepublic of China.15.4 最終檢驗：卸貨港的檢驗證書如與制造商或裝貨港的檢驗證書有沖突，則 檢驗證書具有最終 效力。15.5 Final InspectionInspection certificate issued by shall be final in case it is in conflictwith that issued at loading port or issued by manufacture.16 .不可抗力：合同當(dāng)事人一方因戰(zhàn)爭、洪水、火災(zāi)、地震、雪災(zāi)、旱災(zāi)、冰雹、颶風(fēng)、暴亂、罷工、政府禁令或其他該方當(dāng)事人無法控制、并在簽訂本合同時不

34、能合理預(yù)見、不可避免或無法克服的事件造成其無法履行或遲延履行全部或部分合同義務(wù)，則該合同當(dāng)事人應(yīng)免責(zé)。但是，因不可抗力而 其履約受影響的合同一方應(yīng)向另一方盡快通知不可抗力事件的發(fā)生，并應(yīng)在事件發(fā)生后不遲于15天，向另一方發(fā)送由主管機關(guān)或當(dāng)?shù)厣虝鼍叩年P(guān)于發(fā)生不可抗力事件的證明文件。Force Majeure:Neither party shall be liable for failure or delay to perform all or any part of this Contractdue to war, flood, fire, earthquake, snowstorm, dro

35、ught, hailstorm, hurricane, civil commotion, strike, government prohibition or any other events that are beyond the control of the affected party and could not reasonably be expected at the time of conclusion of this Contract or have been avoided or overcome by such party. However, the party who 

36、9; s performance is affected by the event of Force Majeure shall give a notice to the other party of its occurrence as soon as possible and a certificate or a document of the occurrence of the Force Majeure event issued by the relative authority or the local chamber of commerce shall be sent to the

37、other party not later than 15 days after its occurrence.17 .延遲交貨及罰款：除本合同第16條人力不可抗拒事故，使賣方不能如期交貨，罰款率為每10天合同金額的1%,不足10天的部分按1%計算，最多不超過合同金額的 5%。賣方延期交貨超過 30天，買 方有權(quán)提出解除合同。 如果買方不宣布解除合同，則賣方除承擔(dān)上述罰款外，還應(yīng)賠償其延期交付給買方造成的全部損失。Delay in delivery and PenaltyShould the Seller fail to effect delivery on time asstipulated

38、 in this Contract owing to causes other than Force Majeure as provided for inClause 16 of this Contract, a delay penalty should be charged at the rate of 1% of the total contract value for every 10 days, odd days less than 10 days should be counteredas 10 days , total penalty shall not exceed 5% of

39、the total value. If the Seller' s delay indelivery is over 30 days, the Buyer is entitled to terminating the contract. In case the Buyer chooses not to terminate the contract, the Seller shall compensate the Buyer for all losses due to the delay other than the delay penalty.18 .索賠（Claims ）:18.1

40、如果貨物的品質(zhì)、規(guī)格、數(shù)量、重量、包裝及對安全、衛(wèi)生或健康的要求不符合本合同的規(guī)定,買方有權(quán)憑本合同第15.2條規(guī)定的檢驗機構(gòu)簽發(fā)的檢驗證書在貨物到達最終目的地之后90日內(nèi)，只要該日不超過貨物到達卸貨港車站機場 之日后90日內(nèi)及 時向賣方提出索賠，并列明索賠理由。18.2 Should the quality, specifications, quantity, weight, packing and requirements for safety , sanitation or hygiene of the goods be found not in conformity with the

41、stipulations of this Contract, Buyer shall have the right to lodge claims against Seller based on the Inspection Certificate issued by the inspection organization provided in Clause 15.2 of this Contract and itemize the reasons for the claims within 90 days from the date of arrival of the goods at t

42、he final destination, provided that such date shall not exceed 90 days from the date of arrival of the goods at the port ofunloading railway station airport ;18.3 賣方在收到本合同第15.2規(guī)定的檢驗機構(gòu)出具的檢驗證書后，應(yīng)當(dāng)于此后 20日內(nèi) 答復(fù)買方的索賠要求。如果賣方未在上述期限內(nèi)作出答復(fù)，則買方的索賠要求被視為接受。18.4 Seller shall reply to Buyer ' s claim not later

43、than 20 days after receiptof the inspection certificate issued by the inspection organization providedin Clause 15.2 of this Contract and the claims shall be regarded as having been accepted if Seller fails to reply within the above-mentioned time limit.18.5 如果賣方聲稱貨物的數(shù)量和質(zhì)量問題是由于賣方不負責(zé)任的原因造成，如屬于保險公 司及/

44、或船公司的責(zé)任，賣方應(yīng)承擔(dān)舉證責(zé)任。因索賠所發(fā)生的一切費用（包括檢驗費用）均由賣方負擔(dān)。FOB價格條件時，如重量短缺，買方有權(quán)同時索賠短重部分的運費。18.6 Seller shall take the burden of proof for his allegation that discrepancy of quantity and quality is due to some reason to which seller shall not be responsible, such as circumstances where the insurer/carrier shall be r

45、esponsible. All costs including survey cost shall be born by the Seller in case of claim. Under FOB terms, the Buyer is entitled to the overpaid freight accordingly in case of shortage.19 .通知(Notices ):任何通知應(yīng)以書面形式， 并應(yīng)有專人送交、 傳真發(fā)送或航空快件寄送， 專人送交時視為已給 予通知; 如以傳真發(fā)送，則發(fā)送之日第二天視為已給予通知；如航空快件寄送，則另一方當(dāng)事人 在本合同抬頭列明的地

46、點收到信件時，通知視為送達。Any notice to be given hereunder shall be in writing and shall be hand delivered, transmitted by facsimile or sent by express airmail shall be deemed given when so hand-delivered, or if transmitted by facsimile, one day after the date of such facsimile so transmitted, or if sent by exp

47、ress airmail when received, by the other party at the addresses specified at the head of this Contract.20 .法律的適用：除非另有約定，本合同適用聯(lián)合國國際貨物銷售合同公約并在 聯(lián)合國國際貨物銷售合同公約沒有規(guī)定的情況下適用中國法。Applicable law : Unless otherwise agreed, the United Nations Convention on Contracts for the International Sale of Goods (CISG)and Chinese Law (in case of those matters not stipulated in CISG) shall beapplied.21 .仲裁：一切因執(zhí)行本合同或與本合同有關(guān)的爭執(zhí)，應(yīng)由雙方通過友好方式協(xié)商解決。如經(jīng)協(xié)商不能 得到解決時，應(yīng)提交中國國際經(jīng)濟貿(mào)易仲裁委員會，按其仲裁規(guī)則進行仲裁。 仲裁委員會的仲裁
