9、/T 。Sellers s Bank information ： 賣(mài)方銀行資料：10. SHIPMENT:The Sellers shall ship the goods within the shipment time from the port of shipment to the destination. Transshipment is allowed. Partial shipment is not allowed.運(yùn)輸：賣(mài)方應(yīng)于交貨期內(nèi)將合同貨物從裝貨港運(yùn)到目的港， 不許分批， 允 許轉(zhuǎn)運(yùn)。11. SHIPPING ADVICE:The sellers shall, immedia

10、tely upon the completion of the loading of the goods, advise by fax the buyers of the Contract No., commodity, quantity, invoiced value, gross weight, name of vessel and date of delivery etc. In case due to the sellers not having faxed in time, all losses caused shall be borne by the sellers.裝運(yùn)通知：賣(mài)方

11、應(yīng)于裝貨后，立即用傳真將有關(guān)合同號(hào)、貨物、數(shù)量、發(fā) 票價(jià)值、毛重、運(yùn)輸工具名稱(chēng)、交貨日期、貨物預(yù)計(jì)抵達(dá)日等資料通知買(mǎi)方。如 果由于賣(mài)方未能通知買(mǎi)方而造成的所有損失均由賣(mài)方承擔(dān)。. GUARANTEE OF QUALITY:The Sellers guarantee that the Commodity hereof is made of the best materials with first class workmanship, brand new and unused, and complies in all respects with the quality and specifica

12、tion stipulated in this Contract.質(zhì)量保證：賣(mài)方保證合同貨物采用最好的材料、精湛的做工、全新、未使 用過(guò)、質(zhì)量和技術(shù)規(guī)格均符合合同的要求。13. CLAIMS:. If the Sellers fail to answer the Buyers within one month after receipt of the aforesaid claim, the claim shall be reckoned as having been accepted by the Sellers.索賠：由于貨物內(nèi)在的質(zhì)量、 差的做工、 選材不當(dāng)而造成操作中的貨物損壞，買(mǎi)方應(yīng)

13、立即書(shū)面通知賣(mài)方， 并同時(shí)隨附中國(guó)商檢局出具的檢驗(yàn)報(bào)告作為索賠 依據(jù)。賣(mài)方在接到買(mǎi)方的索賠后， 有責(zé)任立即解決相應(yīng)的質(zhì)量問(wèn)題、 全部或部分 地替換貨物或根據(jù)貨物損壞的程度進(jìn)行折價(jià)； 如果賣(mài)方在收到買(mǎi)方的上述索賠 后一個(gè)月內(nèi)未能作出答復(fù)，則視為索賠已為賣(mài)方所接受。14. FORCE MAJEURE:The Sellers shall not be held responsible for the delay in shipment or non-delivery of the goods due to Force Majeure, which might occur during the pro

14、cess of manufacturing or in the course of loading or transit. The Sellers shall advise the Buyers immediately of the occurrence mentioned above and within fourteen days thereafter, the Sellers shall send by airmail to the Buyers for their acceptance a certificate of the accident issued by the Compet

15、ent Government Authorities where the accident occurs as evidence thereof. Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.不可抗力：對(duì)于制造或裝船運(yùn)輸過(guò)程中可能產(chǎn)生的不可抗力而造成的遲交 貨或不能交貨， 賣(mài)方可以不承擔(dān)責(zé)任。 賣(mài)方應(yīng)立即在不可抗力產(chǎn)生的十四日內(nèi)將 有關(guān)情況通知買(mǎi)方，

16、并且賣(mài)方應(yīng)用航空郵件將有關(guān)政府當(dāng)局部門(mén)出具的證明不可 抗力產(chǎn)生的文件寄送給買(mǎi)方。 在此情況下， 賣(mài)方仍應(yīng)盡最大努力采取各種措施促 使貨物的發(fā)運(yùn)。15. LATE DELIVERY AND PENALTY:Should the Sellers fail to make delivery on time as stipulated in the Contract, with exception of Force Majeure causes specified in Clause 15 of this Contract. The Buyers shall agree to postpone the

17、 delivery on condition that the Sellers agree to pay a penalty which shall be deducted by the paying bank from the payment. The Penalty, however, shall not exceed 5%o f the total value of the goods involved in the late delivery. The rate of penalty is charged at 0.5% for every seven days. Odd days l

18、ess than seven days should be counted as seven days. In case the Sellers fail to make delivery ten weeks later than the time of shipment stipulated in the Contract, the Buyers shall have theright to cancel the contract and the Sellers, in spite the cancellation, shall still pay the aforesaid penalty

19、 to the Buyers without delay.遲交貨和罰金：如果賣(mài)方未能按合同規(guī)定及時(shí)交貨 （除了本合同 15 條款所 言的不可抗力 ） ，買(mǎi)方同意在賣(mài)方付罰金的前提下遲交貨。罰金的金額不超過(guò)遲 交貨的合同貨物部分的價(jià)值的 5%，罰金按每 7日 0.5%計(jì)算，少于 7日的增加天 數(shù)按 7 日計(jì)。如果賣(mài)方未能于合同規(guī)定的交貨期之后的十周內(nèi)發(fā)運(yùn)， 買(mǎi)方有權(quán)取 消該合同，除此之外，賣(mài)方仍要將有關(guān)罰金不加拖延地付給買(mǎi)方。16. TERMINATION OF CONTRACT:Terminate contract by through negotiation by both sides. Sellers should give back mould that have paid, The transport costs of give back mould, to be covered by buyers.合同終止： 經(jīng)雙方協(xié)商終止合同的。 賣(mài)方應(yīng)將買(mǎi)方已付費(fèi)的模具全部歸還 買(mǎi)方，歸還模具產(chǎn)生的運(yùn)輸費(fèi)用，由買(mǎi)方支付。17. ARBITRATION:Any dispute arising from or in connection with this Contract shall be submitted to China International
