1、Lesson Seven Offer(Offer(報(bào)盤報(bào)盤) ) 實(shí)盤是發(fā)盤人(Offerer)按其提供的條件以達(dá)成交易目的 的明確表示。實(shí)盤具有法律效力.受盤人(Offeree)一旦在 有效期限內(nèi)接受實(shí)盤上的條件和內(nèi)容,發(fā)盤人就無權(quán)拒絕售 貨.一項(xiàng)實(shí)盤必須具備: 1) 發(fā)盤的內(nèi)容和詞句必須肯定,不能用大約 (about),參考價(jià)(reference price)等摸棱兩 可的詞。 2) 發(fā)盤的內(nèi)容明確完整,其內(nèi)容應(yīng)包括商品品質(zhì) (Quality),數(shù)量(Quantity),包裝(Packing),價(jià) 格(Price),裝運(yùn)(Shipment),支付(Payment),有 效期(Validit

2、y )等。 3) 發(fā)盤中不能有保留條件如:以我方最后確認(rèn)為準(zhǔn) subject to our final confirmation 以貨物的未售出為準(zhǔn) subject to goods being unsold 虛盤是發(fā)盤人所作的不肯定交易的表示.凡不符合實(shí)盤所具 備的上述三個(gè)條件的發(fā)盤,都是虛盤.虛盤無須詳細(xì)的內(nèi)容和 具體條件,也不注明有效期.它僅表示交易的意向,不具有法 律效力.出現(xiàn)下列一類的詞句者,皆為虛盤: -Without engagement. 不負(fù)任何責(zé)任. -subject to prior sale 有權(quán)先售 -All quotations are subject to our
