SALE AND PURCHASE CONTRACTFORSTEAM COAL OF INDONESIAN ORIGIN印尼原產(chǎn)動力煤的購銷合同Contract N: Date: 合同號： 日期： This Sales and Purchase Contract of steam coal (Hereinafter referred to as the “Contract”) is made and entered into this 本購銷合同（下稱合同）是以下雙方就動力煤簽訂并于年月日生效。BETWEENa company incorporated in (Hereinafter referred to as “the Seller “ ) of the one part AND (Hereinafter referred to as “the Buyer “) of the other part 甲方：（即合同中所指賣方），注冊地為，位于。乙方：（合同中所指買方），注冊地為中國， Whereas說明(1) The Seller with full corporate authority and responsibility hereby represents and warrants that it can fulfil the requirements of the Contact and supply the Product defined in Article 2 of the Contract (Hereinafter referred to as the Product) in accordance with the terms and conditions hereinafter set forth;賣方擁有授權(quán)并全權(quán)負責和保證能按照合同要求執(zhí)行合同，按照以下條款規(guī)定提供本合同條款2中所描敘產(chǎn)品（即合同中所指購買產(chǎn)品）(2) The Buyer with full corporate authority and responsibility hereby confirms that it is ready willing and able to purchase the Product in accordance with the terms and conditions hereinafter set forth.買方擁有授權(quán)并全權(quán)負責和確認購買愿意，并能根據(jù)以下條款規(guī)定購買產(chǎn)品。NOW THE PARTIES HERETO AGREE as follows:雙方就以下條款達成一致：Article 1 DEFINITIONS1名詞定義條款I(lǐng)n this Contract, the following terms and definitions shall, unless otherwise specifically defined, have the following meaning:本合同中，在沒有特別說明外，以下術(shù)語概念定義如下：A. “ASTM” means the American Society for Testing and Materials. “ASTM”指美國試驗材料學會B. “B/L” means Bill of Lading; “B/L”指提單C. “Coal” means the Product set out in Article 2 complying with the specification in Article 5 or which is otherwise accepted by the Buyer. “Coal”指條款2中規(guī)定的并符合條款5中規(guī)格的產(chǎn)品，或是買方接受的其他商品。D. “Dollars”, “US Dollars”, “USD”, “US$”, “$”, “Cents” where used shall refer to the currency of the United States of America.合同中所用“Dollars”, “US Dollars”, “USD”, “US$”, “$”, “Cents”等都是指美元現(xiàn)票。E. “CIF” means Cost, Insurance & Freight.“CIF”指的是成本，保險和運費F. “Discharging Port” means port, Fujian, China.“Discharging Port” 指的是中國福建港口為卸貨港G. “Demurrage” means a sum or amount in to be paid by the Buyers liquidated damages for delay beyond the laytime for the discharge port.“Demurrage“ 指的是由買方賠付償金的滯港總時間，該時間指的是在卸貨港規(guī)定裝卸時間之外的耗時。H. “Metric ton” means a ton of 1,000 Kgs and Dry Metric Ton means a metric ton determined on a dry basis and wet metric ton means a metric ton determined on a wet basis.“Metric ton”指一噸，即1000千克，Dry Metric Ton指干煤測量基準噸數(shù)，wet metric ton指濕煤測量基準噸數(shù)I. “Wet basis” refers to steaming coal in a natural wet state. “Wet basis” 指的是自然狀態(tài)下的動力煤J. “WMT” means a wet metric ton. “WMT”指濕煤噸數(shù)K. “ARB” means as received basis. “ARB” 指收到基L. “ADB” means air dried basis. “ADB”指空干基M. “Price” shall mean the price for invoicing purposes expressed in US Dollars with any calculated price rounded up or down to the nearest cent“Price”指的是發(fā)票上計算的美元價格，應(yīng)計算到最近的美分單位N. “mm” means millimeter as defined in “International System of Units”. “ mm”指國際標準單位制下的毫米O. “Working day” means a day upon which business is regularly transacted and unless expressly stated, the term “day” shall be deemed to mean “calendar day”. “Working day”指正常商務(wù)交易日，除額外規(guī)定外，合同條款中所指的“day”是以陽歷計算P. “Pratique” means permission to do business at a port by a ship that has complied with all applicable local health regulations. “Pratique”指船符合當?shù)亟】蛋踩?guī)定時的入港允許Q. “Laytime” means time allowed to load the cargo on to the Vessels. “Laytime”指船只允許的裝卸貨時間R. “NOR” means Notice of Readiness. “NOR”指備貨通知，即裝卸準備完成通知S. “Indonesia” means the Republic of Indonesia. “Indonesia”指印度尼西亞共和國T. “Independent Company” means PT Geoservices or a neutral independent inspection and survey company appointed mutually by the Seller and the Buyer.“Independent Company”指印尼船運監(jiān)管公司PT Geoservices或其他買賣雙方商議制定的獨立第三方檢驗調(diào)查公司。Article 2 Product and Origin 2. 貨物名稱及產(chǎn)地2.1 Steam coal, origin is south Kalimantan Indonesia.動力煤，產(chǎn)地為印度尼西亞南加里曼丹。2.2 Packing 包裝In Bulk 海運散裝2.3 Load port 裝運港PORT OF LOADING Jetty at Batulicin and Taboneo Port/Open-Sea Anchorage of SouthKalimantan, Indonesia裝運港：印尼南加里曼丹2.4 Destination port 目的港FuJian port P.R.China, Buyers opinion and declare before the vessel sail from loading port.中國福建港口，買方在船離開裝運港前宣布。2.5 QUANTITY: A trail of 100,000MT + 200,000 MT monthly for 12 months, in 50,000 MT shipments 供貨量：10萬噸試單+每月20萬噸*12月，每船5萬噸Article 3 SHIPMENT PERIOD 3-裝船期條款3.1 Shipload: 50,000Mts per shipload 10% at Buyers option.船載量：50,000公噸/船載量由買方根據(jù)實際裝船情況允許10%短溢裝。LOADING RATE 8,000 10,000 MT per day depending on weather 裝載率：根據(jù)天氣情況每天8000-10000噸Discharging Port: FuJian Port of P.R.ChinaThe parties hereby agree that the term of this agreement shall commence from the date of signing of this Agreement. Buyer shall purchase the coal from Seller on CIF according to the payment terms in Article11 . The shipments laycan are from the Year 2011, month ,Date .雙方同意此合同條款至簽訂之日起開始。買方將從賣方處以CIF為交易條件，具體付款條款按照條款11執(zhí)行。此批貨物裝貨期在2011年 月 日裝運。Article 4 QUANTITY4數(shù)量條款A(yù)fter a trial order with a volume of 100,000 MT 10%, with quality satisfying Article5 and approved by Buyer, is implemented in the first month, from the second month on the delivery will be monthly four shipments, 50,000 MTS each shipment, totally 200,000MTS/month .The contract price shall continue to be executed for 4 months after that The unit price shall be adjusted by negotiation between the two parties every 3 months. If the two parties fail to reach agreement in the price for specific month, the volume for this month shall not be implemented. The price is to include coal price, insurance and freight. INSURANCE 110% value of the cargo. prices to be reviewed quarterly, INCOTERMS 2010 Apply本合同下所供應(yīng)煤炭單價為CIF南方港109.5 美元/噸，北方港口111.5美金/噸。本價格包括貨煤價格、保險費和運費。保險為貨物貨值的110% 每季度重新議價，依據(jù)國際商會2010標準。At the Loading Port: freight tax (if any), wharf age (if any), export duty/taxes, custom clearance and custom service charges including any other charges by the Authority shall all be for the account of the Seller.若在裝運港產(chǎn)生運費稅，碼頭費，出口關(guān)稅，清關(guān)費，海關(guān)服務(wù)收費和其他應(yīng)收費用由賣方負責。At the Discharge Port: taxes (if any), wharf age (if any demurrage), import duty/taxes, custom clearance and custom service charges shall be borne for the account of the Buyer.若在目的港產(chǎn)生關(guān)稅，滯港時碼頭使用費，進口關(guān)稅，清關(guān)費和海關(guān)服務(wù)附加費等所有費用均由買方負責。Article 7 COAL PRICE ADJUSTMENT ON QUALITY7-質(zhì)量問題時價格的調(diào)整條款The following price adjustments based on quality determinations by an Independent Company made in accordance with the specifications set out in Article 5 above, shall apply to the shipment of Coal made hereunder.價格調(diào)整是基于第三方獨立公司對質(zhì)量檢驗之后，根據(jù)以上條款5所規(guī)定的產(chǎn)品規(guī)格確定的如下調(diào)整情況，再申請裝船。(a) Net Calorific Value (NAR)In the event the certified Nett Calorific Value of Coal is less than Contracted basis 5500 kcal/kg, the price per ton shall be reduced by the amount calculated by the following formula: 5500 - Y(Amount of reduction) = The FOBT price x - 5500 In the above formula, Y shall refer to the certified Nett Calorific Value (NAR) of Coal as determined under Article 5.In the event the certified Nett Calorific Value of Coal is in excess of Contracted basis 5500 kcal/kg, the price per ton shall be increased by the amount calculated by the following formula: Y - 5500 (Amount of increase) = The FOBT price x - 5500In the above formula, Y shall refer to the certified Nett Calorific Value(NAR) of Coal as determined under Article 5. Maximum premium is set at NCV 5700(NAR).In the event the certified Nett Calorific Value of Coal is less than 5300 kcal/kg the Buyer has the option to reject the Coal or accept the Coal with the penalty as confirmed in Article 7(a).a. 低位發(fā)熱量如果賣方供應(yīng)煤炭的低位發(fā)熱量NCV(NAR)通過第三方獨立公司檢驗大于5300Kcal/kg時,煤價調(diào)整如下：調(diào)整后價格（美元/噸）= 條款6中規(guī)定價格X實際收到基總發(fā)熱量/5500The Buyer shall have the right to reject the shipment of Coal if, based on the Inspection Companys determination, the NCV of that shipment of Coal is below the rejection limit as specified in Article 5.If the Buyer determines not to reject such shipment of Coal, a further price reduction shall be made as mutually agreed by the Parties.如果賣方供應(yīng)和裝運煤炭的總發(fā)熱量通過第三方檢驗公司檢驗小于條款5中規(guī)定的拒收范圍，買方有權(quán)拒收該批貨物。如果買方?jīng)Q定不拒收，有關(guān)進一步的降價需由雙方協(xié)商再定。(b) Total Moisture (ARB)The Buyer shall have the right to reject the shipment of Coal if, based on the Inspection Companys determination, the total moisture exceeds the rejection limit as specified in Article 5.If the Buyer determines not to reject such shipment of Coal, a further price reduction for such shipment shall be made as mutually agreed by the Parties. Weight adjustment for Total Moisture (ARB) If the total moisture of the coal in the load port analysis exceeds the specified total moisture in the contract of 18%, the following weight adjustment shall be made:Where FIQ means Final Invoice QuantityWhere DSQ means Draft Survey Quantity DSQ x( 1-actual total moisture) FIQ = - 1-18% b. 收到基全水分 如果裝運煤炭的全水分通過第三方檢驗公司檢驗超過條款5中規(guī)定的拒收范圍，買方有權(quán)拒收該批貨物。如果買方?jīng)Q定不拒收，有關(guān)進一步的降價需由雙方協(xié)商再定。(c) Ash Content (ADB)If the actual Ash Content (ADB) of the Coal as determined by the Inspection Company at the loading port is above the rejection limit as specified in Article 5, the Buyer shall have the right to reject the Coal or to apply a penalty of USD 0.1/MT for each 1 % above the rejection limit, fraction pro-rata.c. 空干基灰分如果煤炭實際灰分在裝運港通過第三方檢驗公司檢驗超過條款5中規(guī)定的拒收范圍，買方有權(quán)拒收該批貨物，或者向賣方申請每超過1%按分數(shù)比例收取0.1美元/噸的賠償金。(d) Total Sulphur (ADB)If the actual Total Sulphur (ADB) of the Coal as determined by the Inspection Company at the loading port is above the rejection limit as specified in Article 5, the Buyer shall have the right to reject the Coal or to apply a penalty of USD 0.5/MT for each 0.1 % above the rejection limit, fraction pro-rata.The Buyer shall have the right to reject the shipment of Coal if, based on the Inspection Companys determination, the actual sulphur content is above the rejection limit as specified in Article 5.If the Buyer determines not to reject such shipment of Coal, a further price reduction for such shipment shall be made as mutually agreed by the Parties.d. 空干基總硫含量如果煤炭實際空干基總硫含量在裝運港通過第三方檢驗公司檢驗超過條款5中規(guī)定的拒收范圍，買方有權(quán)拒收該批貨物，或者向賣方申請每超過0.1%按分數(shù)比例收取0.5美元/噸的賠償金。如果裝運煤炭的實際總硫含量通過第三方檢驗公司檢驗超過條款5中規(guī)定的拒收范圍，買方有權(quán)拒收該批貨物。如果買方?jīng)Q定不拒收，有關(guān)進一步的降價需由雙方協(xié)商再定。e. Buyer and Seller shall agree every three calendar months from the date of contract signing will be a Price Review between Buyer and Seller based on the Indonesian Coal Index (ICI) and also the USD:IDR currency rate. Both Parties will agree at each Price Review a fair and appropriate price. Buyer signs and seals four (4) hard copies of the contract and sends to Seller by courier. Upon receipt, the Seller signs and seals all hard copies of the contract and sends two (2) to Buyer by courier. 買賣雙方簽署并交換電子版合同，使合同在法律上成立并受法律約束。買方簽署并蓋章四份合同通過快遞寄給賣方。賣方接到合同后簽署蓋章，然后通過快遞寄回2份給買方。8.6 Immediately after there has been an electronic exchange of the contracts, Buyers bank confirms readiness to issue financial instruments to Sellers bank, including verbiage agreed for the draft DLC (acceptable RWA includes MT 799 or Pre-Advice LC). 在電子合同簽署交換后，買方銀行立即準備好簽署提供給賣方銀行的金融票據(jù)，包括備用信用證(可接受的依據(jù)MT799或者預(yù)先通知信用證的風險加權(quán)資產(chǎn)證明和資金證明) 8.7 Within five (5) working days after receiving acceptable RWA, Sellers bank sends Proof of Product (POP) documents to the Buyers bank and confirms its readiness to issue Performance Bond. 在接到RWA后5個工作日內(nèi)，賣方銀行向買方銀行發(fā)出供貨證明文件并確認準備好簽署PB履約保函。8.8 Within three (3) working days of the receipt of the POP documents by the Buyers bank, Sellers bank must receive from Buyers bank a non-operative DLC. 在買方銀行接到POP供貨證明文件后3個工作日內(nèi)，賣方必須接到由買方銀行簽署的暫不生效跟單信用證DLC。8.9 Within three (3) working days of receipt of non-operative financial instruments, Sellers bank will send to Buyers bank an operative 2% Performance Bond, receipt of which by Buyers bank immediately makes operative the DLC. 在接到非操作性DLC之后3個工作日內(nèi)，賣方銀行向買方銀行發(fā)出可操作的2%PB，在買方銀行接到PB后則原來的暫不生效DLC立即轉(zhuǎn)為生效的DLC。8.10 Delivery and shipment commence as per schedule within the contract. 具體發(fā)貨及裝船條款按照合同相關(guān)條款執(zhí)行。Article 9 QUALITY DETERMINATION CONTROL9質(zhì)量檢驗和控制條款9.1 The Parties hereto agree to appoint an Independent Company to perform the inspection, sampling and quality determination in accordance with this Article.買賣雙方按照以下條款同意通過指定第三方獨立公司對產(chǎn)品進行檢驗，取樣和質(zhì)量檢查。9.2 All sampling and sample analysis necessary pursuant to the term of this Agreement shall be made in accordance with the ASTM procedures. The samples taken by the Independent Company at the loading port shall be divided into 4 parts:本合同下有關(guān)取樣和樣品化驗應(yīng)當遵循美國試驗材料學會規(guī)定程序。檢驗公司在裝運港所取樣品分為四類：- 1 (one) sample being the shipment analysis sample (the “Shipment Sample”);- -1份船運樣品化驗（即裝運樣品）- 1 (one) sample being the SELLERs sample (the “Sellers Sample”);- 1份賣方提供樣品化驗（即賣方樣品）- 1 (one) sample being the BUYER s sample (the “Buyers Sample”), if requested;- 如有需要，1份買家提供樣品化驗（即買家樣品）- 1 (one) sample being the Umpire sample (the “Umpire Sample”) which shall be retained by the Independent Company for 60 (Sixty) days from the date when loading commences.- 1份仲裁人樣品化驗（即仲裁用樣品），該樣品應(yīng)在裝船日期開始后由檢驗公司保留60天These samples shall be clearly labelled (including without limitation sample and container weight) and kept in airtight sealed containers.樣品，包括無限制的樣品和容器重量都應(yīng)作好清晰標記，并保存在密封容器內(nèi)。The Shipment Sample shall be analyzed by the Independent Company which shall perform an analysis of the characteristics specified in Article 5, and shall issue the Certificate of Sampling and Analysis certifying the results of such analysis.第三方檢驗公司應(yīng)對裝船樣品按照條款5中規(guī)定特性進行分析，并且應(yīng)出具樣品分析報告以證明其分析結(jié)果。9.3 The aforesaid Certificate of Sampling and Analysis shall be final and binding upon the Parties hereto and it shall be the basis for invoicing by the Seller.前面所敘樣品分析報告證明為最終件并對雙方具有約束力，因此該證明將作為賣方開具發(fā)票依據(jù)。9.4 The Buyer has the right at any time to observe during the shipment or appoint an observer/rep/third party international inspection agency to observe the loading and inspect and sample the Coal at the time and before loading onto the vessel and to observe the loading process at the loading port at its own cost.裝運過程中，買方任何時候都有權(quán)監(jiān)管或者授權(quán)其他監(jiān)管單位和第三方國際檢驗機構(gòu)對裝運進行檢查并取樣，在裝運時買方可自付費用對裝運過程監(jiān)督。9.5 In the event that either party wishes to challenge the result of the analysis of the Independent Company, it shall do so within thirty (30) days from the date of the Bill of Lading (date of completion of loading of the Vessels). In such an event the Umpire Sample shall be sent to a mutually acceptable internationally recognized independent commercial laboratory (the “Umpire Laboratory”). The Umpire Laboratory shall perform an analysis of the specifications for the parameters requested by the party calling for the umpire analysis, and shall issue a certificate (the “Umpire certificate”) certifying the results of such analysis.如果任何一方對于檢驗公司分析結(jié)果不滿，應(yīng)在提單日（即裝運完成日）30日內(nèi)提出異議。在此情況下，1份仲裁用樣品將被送到雙方都接受且國際認可的獨立商業(yè)化驗室（又叫仲裁實驗室）。根據(jù)請求仲裁分析一方的要求，仲裁實驗室將對各規(guī)格系數(shù)進行分項化驗并出具一份證明（又叫仲裁證明）以證明其分析結(jié)果。9.6 In the event that the results of the analysis of the Umpire Sample deviate beyond the reproducibility limits from the analysis repo
